GENERAL TERiIS AND CONDITIONS


SCHEDULE A

I.COMPENSATION

For all services you rendered, you shall receive a salary as stated herewith and based on the frequenry indicated
herewith. Other components of your fees are:
a) No work, no pay.
b) You will receive your pay in full. Taxes and mandatory govemment contributions are not in the scope of this
freelance agreement.
c) -
You will receive semi-annual bonus amount is subject to management's discrelion and business
performance for the whole quarters.
d) No Overtime, Holiday pay, Rest Day premium fees on top of hourly rates unless announced.
e) Payment is via fund transfer to your bank account or online e-wallet.
0 Pay cycle is as follows:
a. Monday to Sunday, pay release is on the following Monday of the week.
s) For full-time staff, 40 hours of work is required before first payment can be made
h) lf staff resigns or is terminated, the final payable hours will be subject to approval. This applies to both full-
time and part-time staff.
i) Commissions, incentives, and bonuses may be earned. The amount will also be released via payroll as part
of the salary upon documented confirmation of the client.
j) Discussions about your compensation are to be done only with the Management.

II, JOB DESCRIPTION CHANGES

The job description stated in your job offer and this agreement may be changed and updated depending on the job's
need and in relation to the position offered. lf there should be major changes and significant differences between your
originaljob description, the changes should be raised to the management for proper handling. Should you not be able
to work or fulfill your job because of such changes, make sure to contact your immediate head.

III. PRODUCTIVITY AND EQUIPMENT

You agree to use productivity and time monitoring dools to track your paid hours. Paid hours will be subject to
productivity audits. Manipulation of time tracking data with the intent to gain more hours or falsely
reporting of your hours will result in immediate termination.

IV. BUSINESS CODE OF CONDUCT

You are expected to be always an excellent professional in terms of character, relationship with your managers and
colleagues and interaction with customers and suppliers in all channels. You will conduct yourself with integrity and
respect.

V. TERMINATION

The Company reserves the right to terminate your agreement with this client, and may or may not redeploy
you depend on your performance. The following are the grounds for termination:

unscneduled absences or failure to notify such absences.
b. Failure to meet agreed schedules.
c. Absconding work.
d. Mismanagement of work hours.

b.) Productivity
a. Frequent technical issues resulting to inability to or poor quality of work.
b. Failure to meet work requirements and submissions.
c. Failure to pass the quali$ of work.
d. Failure to communicate work or assignments.

c.) Adherence
a. Failure to follow work instructions resulting to financial loss to the Company.
b. Deliberate failure to follow work instructions resulting to rework.

d.) Cessation or Cancellation of Work or Assignment


a. Decision of the Company that your service, for whatever reason, is no longer needed.
b. Acfual cessation of work or assignment.
c. Retraction or cancellation of the Job Offer.. ,

VI. EXIT PROCEDURE

lf you intend to end the agreement, contact your Operations Manager of your decision 14 days before your intended
last day; otherwise, you will not be considered cleared of your accountabilities and any salary due to you will be forfeited.
The hours or output approved and determined by the client will comprise your final pay. Do not reach out to the client
to bargain for more, either directly or indirectly, whether explicitly stated or implied. Doing so will be considered a breach
of this Freelance Agreement that states that discussions about pay will be conducted with Franco's Apartelle's

Management (1. Compensation) and may result in your being blacklisted by the Company.

VII. INTELLECTUAL PROPERW

As a material condition to which you agree in exchange for the opportunity to provide your services, you expressly
acknowledge and agree that all reports, documents, improvements, discoveries, inventions, processes, designs, plans,
and trade secrets, whether of a technical nature or not, made or developed by you alone or in conjunction with any
other person or entity while doing your work or developed during this engagement, which relates to or affects the
business of the Company, hall be the sole and exclusive property of the Company.

VIII. CONFIDENTIALITYAND NON.DISCLOSURE .,


You shall not at any time, wfrether during or after your engagement with the Company, either directly or indirectly,
divulge, disclose or communicate to any person, natural or juridical, or in any other manner whatsoever, any infomation
that you may obtain while engaged with the Company concerning any mafters affecting or relating to the business of
the company, its affiliates incorporators, directors, stockholders, officers, agents, or representatives, without regard to
whether or not such matter is deemed confidential, material, or important.

You further agree not to publish or make public any strategy, campaign, information created as part ol or othenrvise
about this Agreement. You will not furnish client lists, property listings, contact lists or any information to any person or
organization without formal written approval from the Company. You shall not use for your gain, financial or otherwise,
private data and information in any form disclosed by past or current customers of the Company.
