MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF DR.

CONFERENCE CALL ON 25 SEPTEMBER 2021

 COMMENCEMENT

The meeting commenced at 12:10 p.m.

Mr. Bankole Cardoso chaired the meeting and welcomed all present. Upon confirmation that a
quorum had been formed, the meeting was declared open. Thereafter, Mr. Bankole Cardoso read
the agenda of the meeting.

 MATTERS ARISING FROM THE MINUTES OF THE LAST MEETING

o Update on the point of Entry Project

Mrs. Williams gave a quick recap on the point of entry project – called Integrated Response to
Public Health Emergencies in Nigeria (IRPHEN) Plus – which was discussed at the last board
meeting. She informed the meeting that DRASA has been working at 4 (four) seaports, 4 (four)
land ports and 2 (two) international airports. She reported that the implementation process of the
project has been proceeding successfully.

She informed the meeting that 61% of the funds received have been expended. She also informed
the meeting that the project had not encountered any major or unexpected challenges. She
explained that there have been security issues in the north; Kebbi and Sokoto, resulting in a halt
of the implementation process in these States. She stated that the Nigerian Government has put a
telecommunication ban in the North which includes Jigawa and Katsina. As a result, although
DRASA has continued the programme in Jigawa and Katsina, they have not been able to send
external parties to assess the progress of the implementation in these States. In addition, she
stated that there have been issues with the team in Kebbi and Sokoto as additional restrictions
have been placed in the states including the capital. She reported that despite this, there was a
meeting last week in the capital city.

Mrs. Williams reported that herself and the team from Lagos have visited the three points of
entries in Rivers, the International Airport & the Seaport in Port-Harcourt as well as the Onne
Seaport. She also stated that the team also visited the International Airport in Enugu which will
officially be opened to international flights on the 1 st of October 2021. She informed the meeting
that Tin Can in Lagos was visited and that in the coming week the Warri Wharf in Delta State
will be visited.

Mrs. Williams reported that the external team in Abuja have also visited all the aforementioned
places as well as Kebbi State. She stated that the proposed end date of the project is the last week
of October or the first week of November. She stated, however, that Pro-Health International, the
partner to whom DRASA is the sub-grantee, has expressed their desire for DRASA to continue
the project, particularly in the north and in some additional waterfront seaports which
unofficially welcome vessels from Cameroon and other parts of Africa.

She stated that a detailed scope of the second phase of the project will be considered in the week
commencing 27 September 2021. Mrs. Williams informed that meeting that she did a project
review presentation to the partner at Abuja in August and they were pleased with the
implementation project.

Additionally, Mrs Williams reported that Pro-Health has applied for additional funding from the
senate in the United States which is currently being voted on in. She explained that more funds
for Pro-Health would mean more projects for DRASA to work on.

o Update on the publication in medical journals of the data collated from the ACT
Foundation COVID-19 in schools’ program

Mrs. Williams informed the meeting that the manuscripts which will be published are currently
being revised. She stated that in the meantime it has been presented as an abstract for an
international conference scheduled to hold in November. However, they still await feedback on
whether the submission was successful so that the data gathered can be presented at the
conference.

o Update on W.H.O school projects with the Lagos State Ministry of Education

Mrs. Williams reported that the W.H.O has requested that DRASA submit a proposal on the U.N
Website as the project is now opened on the U.N Website for bids. She explained that the W.H.O
is no longer able to award the project to DRASA directly as done in the past as the project has
now been opened to competitors to submit bids. She informed the meeting that the proposal is
due on the 8th of October 2021 and they are working towards submitting same on or before the
deadline. She informed the meeting that the scope of the project will be expanded from 10
schools to 20 schools in Lagos and an additional 10 schools in Osun State.

She informed the meeting that as a result of this expansion there would be a need to hire more
team members to implement this project; such as a project manager and a team of 15 people
because she would not be able to undertake this project with the current staff strength. She also
stated that the project is a 6-month project running from October 2021 to April 2022, however
she intends to request for an extension of time. This is because there is a need for additional time
to hire new staff and train them appropriately in line with the project objectives. Mrs. Williams
expressed her confidence in DRASA being a strong competitor in the bidding process due to its
qualifications and experience with the project.

Mrs. Williams reported that DRASA was featured in the WHO African Regions Annual Report
which covered all W.H.O projects from 2020 till 2021 including the school project. She stated
that the link to the online annual report will be shared with the board members once the minutes
are circulated.

Mrs. Williams also reported that in May 2021, that she went live on Twitter and Facebook with
one of the student ambassadors from one of the schools on the W.H.O platform because the
W.H.O wanted her to discuss their progress on the project in the schools and have a student
speak about their experience with the DRASA school clubs. She stated that DRASA has been
getting a lot of publicity as a result of this and the W.H.O also confirmed their commitment to
continue to work with DRASA as long as DRASA emerges as the preferred bidder.

o IPC Training Update: Intermediate 1, Advanced 1, Basic 2 cohorts

Mrs. Williams informed the meeting that she was at the College of Medicine University of Lagos
at the final examination day for the present batch of students that have come from 30 states in
Nigeria to participate in the IPC Diploma Course. She informed the meeting that the IPC Course
is a diploma course run through the College of Medicine University of Lagos, with DRASA as a
partner. She explained that the present set of students have completed the basic level of the
course which ran in January and February and the intermediate level which happened in June and
July.

She stated that they were currently completing the advanced part of the course which ran from
August to September. She stated that the course started with 33 people, but there are currently
only 22 people who graduated each level to make it to the advanced level. She explained that
only the students who pass the advanced level exam will be presented with the diploma
certificate. She reported that this project was in collaboration with Professor Ogunsola and her
team.

Mrs. Williams informed the meeting that a new batch of students will arrive on 26 th of September
2021 for the in-person basic level course as the basic course has been running virtually for the
past three weeks. She informed the meeting that the basic course will continue till the second or
third week in October.

She stated that that the students will run their intermediate and advanced courses in November
and December respectively. She reported that at the end of the year about 2 sets of students will
graduate from the IPC Course. She added that the new set of students will begin in January and
February 2022.
Additionally, Mrs. Williams reported that at the end of the set this year, and before the next set
there will be a retreat with all the partners and facilitators to review the curriculum and make
adjustments in relation to their experience with the two sets for the year 2021.

o ACT Foundation Course for Non-profits

Mrs. Williams reported that the ACT Foundation returned after the school program ran with
DRASA in April with another grant instructing DRASA to undertake another course for non-
profit organisations across Nigeria. She explained that the course was for non-profit
organisations who work across Nigeria in the pandemic and are highly exposed to Covid-19 and
have not been trained on protecting themselves and their teams as they proceed into their
communities and engage with their beneficiaries. She informed the meeting that ACT foundation
instructed DRASA to develop a course for this purpose.

She explained that the scope was developed and eventually extended to people outside the shores
of Nigeria which was successful. She reported that there was participation from about 20
countries across Africa and the US. She stated that 439 people registered in total but the target
was 100 people and therefore only 100 people could take the course.

She informed the meeting that as a result, another batch would be undertaking the course on the
4th and 6th of October 2021 respectively. She stated that preparations are ongoing on the training
for the second batch. She stated that as part of the course, participants are given homework and
assignments and instructed to give presentations. She indicated that ACT Foundation has been
impressed with the execution of the project and provided funding for them to do this in the
amount of a N2,000,000.00 grant.

o Memorandum of Understanding between DRASA and the Infection Control Africa


Network (ICAN) and Professor Ogunsola

Mrs. Williams reported that the MOU will be given to DRASA, however, there has been a delay
in the ICAN office because the administrative coordinator has suffered some health challenges.
However, she expects that the MOU will be signed shortly.

o Update on the meeting with the Dangote Foundation held on 16 June 2021

Mrs. Williams stated that the meeting with the Dangote Foundation was successful. She
confirmed that discussions have commenced on how both organisations can collaborate. She also
stated that any updates as regards to this will be given to the meeting.

o Update on the use of Dr. Ameyo Stella Adadevoh’s name to raise funds
(Trademark)

Mrs. Williams informed the meeting that the company secretary, ALP NG & Co. has
successfully been able to register the name and logo in 10 classes in the trademark registry. She
reported that as part of the registration process, the name has now been published in the
trademark’s journal and in the absence of any opposition within the prescribed notice period, the
trademark certificate of registration would be issued across the ten classes.

o Update on corporate bank account setup

Mrs. Williams explained that the bank account setup is still ongoing and due to some new grants
there has been a need to set up additional bank accounts as each funder and donor has requested
for their funds to be kept in a separate bank account. She stated that at least two more accounts
will be opened. She informed the meeting that she would be meeting with the directors for their
signatures.

o Simulation Center Update

Mrs. Williams informed the meeting that a location for the Simulation centre was found in Yaba.
However, the negotiations fell through because the owners were insisting on advance payment of
the rent for 5 years. She further stated that they were unwilling to accept instalmental payments.

She reported to the meeting that the property owners were unwilling to fix some of the issues in
the building or accept a lesser amount as rent in the event that DRASA fixes the problems and
renovates the property. She informed the meeting that the search for a suitable property has
continued.

Mrs. Williams informed the meeting that DRASA will be collaborating with the Nigerian
Society for Infection Control (NSIC) which was started by Professor Ogunsola in the 1990s and
the Centre for Infection Control and Patient Safety (CICAPS) which is Professor Ogunsola’s
new centre. She explained that the NSIC and CICAPS will be co-funding the project because
they are also involved in the IPC Course and are stakeholders in the need for a centre to provide
short courses including the Diploma Course. She indicated that the IPC Course does not have its
own dedicated space at UNILAG and there is a need for that.

Mr. Bankole requested to know whether the Training Academy remained part of the plan and not
just the simulation center. Answering in the affirmative, Mrs. Williams stated NCIS and CICAPS
were only interested in the simulation centre. However, the academy remains the larger concept.
She explained that the building would be a multipurpose space with different functions and the
simulation space would be shared. She stated that this was sensible in order to raise a pool of
funds enabling the project to be achieved quicker.

o Finance Update

o Sony Films and Entertainment

Mrs. Williams informed the meeting that DRASA was selected to receive a grant of $50,000
which has been paid to DRASA. She informed the meeting that the grant was received as a result
of the fact the Sony had funds that they wanted to release in Africa as part of their Covid-19
relief and they heard about DRASA’s projects.

She explained that the grant is unrestricted and would be used to pay for salaries, rent space and
other things that project funds do not cover. She confirmed that the payment was made in US
dollars and is in the Domiciliary account. She stated that payment was meant to be made in April
but was delayed and this was meant to be tied to the launch of a particular product but as result
of the delay this is no longer the case. She informed that meeting that Sony would like to do a
press release informing the public that DRASA and other organisations have been given the
funding. She reported that DRASA is the first NGO in Nigeria to receive such funding from
Sony. She stated that DRASA did not apply for the fund.

o ACT Foundation

She stated that ACT Foundation has returned after the completion of the project with the school
from February to April and given a grant in the sum of N2 million for a training course for non-
profit organisations. She informed the meeting that the sum of N1.5 million has been paid and
the outstanding would be paid upon the completion of the projects.

o Segal Family Foundation

Mrs Williams informed the meeting that the Segal Family foundation is a US based foundation
in New Jersey. She stated that she was introduced to the foundation through a friend. She
informed the meeting that due diligence has been completed on DRASA and they are now in the
process of receiving the sum of $20,000 but they are still going through the necessary
processing. She stated that the funding is unrestricted and would help with the hiring of new
staff.

o Acumen Angels Funding

Mrs. Williams informed the meeting what she was an ACUMEN fellow in 2019 and she has
applied for a $50,000 grant for the DRASA Academy though the network. She stated that she
submitted the application last week. She also confirmed that updates will be provided to the
board as to whether DRASA gets the funding in November.

o Roddenberry Fund Covid-19 Grant

Mrs. Williams informed the meeting that she also applied for the grant in the sum of $12,000.
She stated that an update on the outcome would be given in October.

o HR Updates

Mrs. Williams informed the meeting that she had to dismiss the communications officer working
for DRASA. The communications officer who was in charge of DRASA’s social media accounts
and all the communications work, broke DRASA’s code of conduct and the confidentiality
agreement. It was discovered that the dismissed staff had wrongfully delegated tasks to third-
parties without prior permission or approvals.

Mrs. Williams informed the meeting that there is formal documentation to this effect. She
reported that as a result of this dismissal there is need for a new communications officer. She
stated that she also needs to hire a central office project manager/coordinator to assist with all the
projects mentioned earlier.

Additionally, Mrs. Williams stated there is a need to hire about 20 people for the execution of
phase two of the point of entry project and for the WHO project in the schools in Lagos and
Osun states, Also about 15 to 20 people are required to be engaged by DRASA. She informed
the meeting that the cost for the recruitment of the WHO project will be embedded in the cost of
the project.

o Review and adoption of changes to Policies

Mrs. Williams stated that as a result of the dismissal of the communications officer she has
noticed the need for an amendment in the HR Policies to ensure that the code of conduct is clear
and that the non-compete agreement which they sign at the beginning of their employment is
reflected properly as well as the criteria for dismissal. She stated that these changes in the HR
documents and the Finance Policy will be made and shared with the directors via email with the
intention that same will be ratified at the next board meeting.

o Meeting with the Honourable Commissioner for Health of Lagos State

Mrs. Williams stated that the meeting with the Commissioner for Health scheduled to hold
before the end of September. She stated that she plans to meet the Commissioner with Professor
Ogunsola on an advocacy visit to discuss the IPC Course, the simulation centre and the other
projects run by DRASA, in order to partner with the state and get their support.

o London School of Hygiene and Tropical Medicine

Mrs. Williams informed the meeting that she applied for and was accepted into a Masters
programme in Public Health at the London School of Hygiene and Tropical Medicine on a
remote and distant learning basis which will commence on the 1st of October 2021. She stated
that the course will run for 2 – 3 years and confirmed that the course will not affect her duties to
DRASA.

 ANY OTHER BUSINESS

Mr. Olayemi Cardoso commended Mrs. Williams and the team for the efforts and work done to
build up DRASA and achieve the successes. He encouraged her to keep up her efforts. Mr.
Bankole also commended Mrs. Williams and congratulated her on her acceptance into the
London School of Hygiene and Tropical Medicine.

In the absence of any further business, Mr. Bankole Cardoso adjourned the Board meeting.
