CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL made and entered by

_________________________________ Philippines hereinafter referred to as the “SELLER”;

-in favor of –

_______________________________________________, Philippines, hereinafter

referred to as “BUYERS”.

WITNESSETH

Whereas, the SELLER is one of the children and surviving heirs of

____________________________________ who both died intestate at Iloilo City, Philippines
on __________________ and __________________, respectively;

Whereas, the late _________________________, is the registered owner of a parcel of

land covered by Transfer Certificate of Title with No. ______________situated in Jaro, Iloilo
City, Philippines with an area of _______________________________________ square meters,
more or less;

Whereas, the SELLER, as one of the heirs, is the owner of the

______________________square meters, more or less portion of the above-mentioned property
specifically Lot _____________________ as per Deed of Adjudication dated _____________
and Subdivision Agreement dated ___________;

Whereas, the SELLER offers to sell a portion of his land in the above-mentioned
property in the area of One Hundred (100) square meters, more or less which the BUYERS is
willing to buy;

NOW THEREFORE, for and in consideration of the total sum of FOUR HUNDRED
THOUSAND PESOS (P400, 000.00), Philippine Currency, the SELLER hereby agrees to sell,
transfer and convey the One Hundred (100) square meters, more or less portion of his share in
the above-mentioned parcel of land and the BUYERS hereby agrees to buy the same from the
SELLER subject to the following terms and conditions:

1. The principal and total consideration in the amount of FOUR HUNDRED

THOUSAND PESOS (P400, 000.00), Philippine Currency, is to be paid in the
following manner:

a. That upon signing of this Contract the amount of TWO HUNDRED FIFTY
THOUSAND PESOS (P200,000.00), Philippine Currency, shall be paid by the
BUYERS as down payment and the SELLER hereby acknowledges that the
said amount is received to his entire satisfaction;
 b. That the remaining balance in the amount of TWO HUNDRED FIFTY
THOUSAND PESOS (P200, 000.00), Philippine Currency, shall be paid by the
BUYERS to the SELLERS in installment basis, to wit:

b.1. ONE HUNDRED THOUSAND PESOS (P100, 000.00) payable on or

before December 31, 2023;

b.2. ONE HUNDRED THOUSAND PESOS (P100, 000.00) payable on or

before December 31, 2024.

2. The SELLER shall deliver to the BUYERS the possession of the subject parcel of
land upon payment of the down payment/signing of this contract.

3. The BUYERS shall be responsible of the expenses incurred during the survey and
shall pay the Capital Gains Tax at the Bureau of Internal Revenue and Transfer
taxes in relation to the transfer from the name of the SELLER to the BUYERS.

4. After full payment of the purchase price, the SELLER shall issue a final receipt as
proof of full payment and the BUYERS shall automatically become the absolute
owner of said One Hundred (100) square meters, more or less after the execution of
a final Deed of Absolute Sale in the latter’s favor.

5. Finally, the cost of titling, Documentary Stamp, Transfer Tax and other lawful
charges in connection with the transfer of the title from the SELLER to the
BUYERS shall be borne by the BUYERS.

IN WITNESS WHEREOF, the parties have hereunto set their hands this ________ day of
______________ in Iloilo City, Philippines.

 BEFORE ME, a Notary Public for the City of Iloilo, on this ________ day of
______________, the parties with their competent evidence of identity written below their
respective names personally appeared and attested to be the same persons who executed the
foregoing instrument and they acknowledged to me that the same is their own free and voluntary
act and deed.

This instrument consists of three (3) pages, which have been signed on each and every
page by the parties and their instrumental witnesses including the page on which this
acknowledgment is written.
