RESOLUTION OF THE BOARD OF DIRECTORS OF SAND & SUPPLY INC.

At the meeting of the Board of Directors of Sand & Supply Inc., held on

November 28, 2022 the following resolution were moved and passed.

A) The Director agrees to secure a bank loan at Hand in Hand Trust

located at Lot 62-63 Middle Street North Cummingsburg, Georgetown,

Guyana for the purpose of procurement of three (3) twin steer double

axel tripper/dump trucks and the balance to serve as working capital for

the company.

B) Amount to be borrowed is fifty million Guyana dollars ($50,000,000).

C) The trucks procured will be used as collateral.

D) Income from the contract between Sand Supply Guyana Inc. and

Metallic CC Guyana Inc. will be assigned to the Hand in Hand Trust.
