RESOLUTION NO. 001, s. 2023

The Board of Directors was advised that MS. MARIA AMERIZA S. BAUTISTA has
tendered her resignation as the Corporate Secretary of the BEEDEECEE UNIVERSITY,
INC. effective on 27 April 2023.

The Board then proceeded to elect MS. PATRICIA JOANNA L. BOTARDO as

corporate secretary of the Corporation effective immediately, and to serve as such until
the 31 December 2023, or until her successor is duly elected and qualified.

Upon motion duly made and seconded, it was RESOLVED that:

i. the resignation of MS. MARIA AMERIZA S. BAUTISTA as

corporate secretary of BEEDEECEE UNIVERSITY, INC. (the
“Corporation”) effective on 27 April 2023, be and is hereby
accepted;

ii. MS. PATRICIA JOANNA L. BOTARDO be elected as the

corporate secretary of the Corporation, effective immediately,
and to serve as such until 31 December 2023, or until her
successor is duly elected and qualified; and

iii. the relevant officers be, as they are hereby, directed to file the
necessary documents with the Securities and Exchange
Commission to reflect the above changes.

RESOLVED FURTHER, that the duly authorized, be, and are

hereby authorized to perform such acts as may be necessary or required
to implement the foregoing.

RESOLVED FINALLY, that these resolutions shall supersede all

resolutions previously passed by the Board on the foregoing matters and
that the Corporate Secretary of the Corporation be authorized to certify
these resolutions.
