MEMORANDUM OF UNDERSTANDING

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Understanding is made and entered into by and between:

DASCO ESTERPRISE, represented by Edgar Dasco of legal age and resident of Paracale,
Camarines Norte hereinafter referred to as the FIRST PARTY.

-AND-

ARK EAGLE DEVELOPMENT CROP, represented by FLORENCE BUMANLAG of legal age

and resident of North Fairview, Quezon City hereinafter referred as the SECOND PARTY.

WITNESSETH: THAT

WHEREAS, the FIRST PARTY is engaged in small scale mining of gold, mineral ore
and silica;

WHEREAS, the SECOND PARTY is is engaged in buying and selling gold, mineral ore
and silica and offering logistics and finances to small mining industry;

WHEREAS the SECOND PARTY will undertake to finance and sell the gold, mineral ore
and silica produced by the FIRST PARTY.

NOW THEREFORE, herein parties mutually understand to abide with the following:

SECTION 1. That the SECOND PARTY shall SELL the above produce _____kind of
ore_______ of the FIRST PARTY in the amount of $__________;

SECTION 2. That the FIRST PARTY after deducting all the expenses incurred in the mining
operation, agrees to give to the SECOND PARTY commission equivalent to TWENTY
PERCENT (20%) of the contract price;

SECTION 3. That the FIRST PARTY shall provide all the necessary permits and licenses
necessary for the conduct of operation of to be undertaken under this memorandum of
understanding.

ARK EAGLE DEVELOPMENT CROP, represented by FLORENCE BUMANLAG of legal age

and resident of North Fairview, Quezon City hereinafter referred as the SECOND PARTY.

WITNESSETH: THAT

WHEREAS, the FIRST PARTY is engaged in small scale mining of gold, mineral ore
and silica;

WHEREAS, the SECOND PARTY is is engaged in buying and selling gold, mineral ore
and silica and offering logistics and finances to small mining industry;

WHERAS the FIRST PARTY will locate sites for small mining to be explored for the
SECOND PARTY

WHEREAS the SECOND PARTY will undertake to finance and sell the gold, mineral ore
and silica produced on sites located by the FIRST PARTY.

NOW THEREFORE, herein parties mutually understand to abide with the following:

SECTION 1. That the FIRST PARTY shall locate sites for exploration of gold, mineral ore and
silica;

SECTION 2. That the SECOND PARTY shall finance and sell the gold, mineral ore and silica
produced on sites located by the FIRST PARTY;

SECTION 3. The PARTIES agree that after deducting all the expenses incurred in the mining
operation, agrees to the following sharing scheme;
FIRST PARTY= 40%
SECOND PARTY = 60%
