PRELIMINARIES

DESCRIPTION OF WORKS

A The proposed works are for construction of Basement Structure and External
Works within the compound of Schlumberger Trinidad Inc at La Romain, San
Fernando consisting of (i) the demolition of the existing small structures,
(ii) the construction of a new two Basement structure approximately 3700 square
metres, (iii) External Works.

B Generally the construction consist of a building with precast prestressed


concrete piles, reinforced concrete pile caps, strip foundations, columns,
retaining walls, ground beams and basement floor slab, reinforced concrete
water tanks; reinforced concrete columns, beams, shear walls and
suspended floor slab, plumbing and electrucal installations.

C External works comprise site preparations, drainage, concrete paving and


builder's work to Services.

D The attention of the Contractor is drawn to the need to visit the site and acquaint
himself with the existing conditions and that the works are to be carried out in
such a manner and phasing as to permit on-going operations to continue
without interruption and in safety and reasonable comfort to the
Employer's workers.

E The Contractor is advised to satisfy himself as to the full extent and character
of the works, the supply of and conditions affecting local labour, the conditions
affecting supply of materials and all local conditions and restrictions
affecting the works.

F If the labour position is or becomes unsatisfactory, the Contractor is to


augment his labour force from other areas in Trinidad & Tobago and include
for all payments, cost and expenses including higher and excess rates of
wages, transportation and subsistence incurred in providing and keeping an
adequate and effective labour force on the worksNo claim resulting from
failure to do any of the foregoing will be admitted.

DESCRIPTION OF SITE

A The site of the proposed works is the existing Building at South Trunk Road,
La Romain, San Fernando.

B Access to the site is from South Trunk Road.

C The Contractor is to visit, inspect and examine the site and ascertain the
nature of the works to be done, means of access and egress, the availability
and positions of essential services, conditions of the site, temporary crossings
and drainage and allow in his tender for all such factors which may affect the
execution of the works.

OBLIGATIONS IMPOSED BY THE EMPLOYER

D All precautions shall be taken by the Contractor to prevent any damage of


existing service installations.

E The Contractor shall keep his own and any sub-contractor's work people,
materials, plant, rubbish and debris within the limits of the site handed to him
and shall take all necessary steps to prevent unauthorised movement of
workpeople.

TENDERING INFORMATION

Pricing

F Price in ink each item in the Bills of Quantities which is considered to have a
money value. If the tenderer omits to price any item it will be deemed that
either he will perform the services described free of charge or that the cost of
such services has been included against items appearing elsewhere in the
Bills. The rates inserted shall be deemed to be in Trinidad & Tobago currency.

G Items shall be priced either net (i.e. excluding profit and overheads) or gross
(i.e. including profit and overheads). If items are priced net then the Contractor
shall make his addition for profit and overheads where provided on the
Summary Page. See Summary

H Include in the tender price for handing over the Works clean, functional
and complete, fit for immediate occupation and use as intended.

Pricing (Cont'd)

A The pricing inserted shall be deemed to include for the provision of all
labour, materials and plant, for transport, for deliveries to Site (where not
specifically mentioned in the description), for temporary storage of materials
and return of empties for the erection, maintenance and removal of
scaffolding, temporary stagings, plankways, protection etc and for all other
things necessary within the drawings and Bills of Quantities to the reasonable
satisfaction of the Architect.

Value Added Tax

B Items are to priced net of Value Added Tax. The Tenderer is to make his
addition for Value Added Tax where indicated on the Summary Page. See Summary

Tax Certificates

C At the time of the tender, the Tenderer will be required to furnish his Value
Added Tax, National Insurance Board and Board of Inland Revenue Clearance
Certificates.

Government and Local Ordinances, etc.

D Allow for compliance with all Government and Local Ordinances, Orders,
Rules and Regulations in so far as is not provided for elsewhere in the Bills
of Quantities.

E Allow for compliance with any regulations made by the Police for the
temporary parking of vehicles and the loading and unloading of persons or
goods.

Performance Bond

F Allow for furnishing a Performance Bond in the amount of ten-percent (10%)


of the Contract Sum. See Summary

Firm Price

A The tender price shall be a firm price. The Tenderer should therefore include
in his price for any increase in labour and materials which affect the work
and which in his opinion is not covered by the payment system under the
Conditions of Contract.

Specialist Sub-Contract Works

B The Tenderer is requested to submit the names of firms which he intends to


employ to carry out any sub-contract work.

Queries

C The Tenderer shall refer all queries arising out of this tender to the Lead
Consultant whose decision for the purpose of tendering shall be final. Queries
shall be raised not later than five (5) days before the closing date of tenders,
so as to permit the circularising of the replies to all tenderers, if this is
considered necessary. Such answers as are necessary shall be given as a
matter of assistance to the tenderer but they shall not be construed as
adding to or taking away from or otherwise altering the meaning and intent
of the tender documents and/or the Contractor's obligation thereunder which
can be varied only by a letter signed by the Lead Consultant.

Errors

D Significant arithmetical errors or obvious errors in pricing discovered in the


Tenderer's priced Bills of Quantities will be dealt with as described herein.

E The Tenderer will be informed of the amount and nature of the error/s and if he
wishes to stand by his tender or to amend it to correct error/s.

Errors (Cont'd)

A If the Tenderer elects to stand by his tender for the purpose of


administering the contract and for interim payment and settlement of
accounts, an endorsement, signed by both parties to the contract, will be
added to the priced Bills of Quantities indicating that all rates or prices
(excluding preliminary items, prime cost and provisional sums) inserted
therein by the Tenderer are to be considered as reduced or increased in the
same proportion as the corrected total or priced items exceeds or falls short
of the original total of such items. Alternatively, by agreement with the
Tenderer, the total net error shall be added to or deducted from the total
shown against the Preliminaries, so that the tendered sum remained the
same, and an endorsement signed by both parties to the contract will be
added to the priced Bills of Quantities.

B Where errors are discovered after acceptance of the tender, the errors will be
adjusted by either of the foregoing methods as the Tenderer would be deemed
to have stood by his tender.

C If the Tenderer amends his tender to correct the errors, the corrected
details shall either be initialed by the Tenderer in the priced Bills of Quantities
or confirmed by him in a letter which shall be conjoined with the acceptance
and the amended figured and rates in it shall be substituted for those in the
original tender.

Method of Measurement

D The Bills of Quantities has been prepared in accordance with the Fifth
Edition of the Standard Method Measurement of Building Works issued
July 1968 (Metric) qualified or modified to suit local conditions.

BILLS OF QUANTITIES, TECHNICAL SPECIFICATIONS AND


DRAWINGS

One Document

A Read the Bills of Quantities and Drawings as one document and carry out
everything for the proper execution of the works, whether or not specifically
described or shown therein, provided the same may reasonably be inferred
therefrom.

B Items in the materials and Workmanship Section of the Bills of Quantities are
deemed to qualify and to be part of every description of the work to be done
to which they refer.

Discrepancies

C Verify on drawings and on site all dimensions shown or given before


commencing construction. Work to figured dimensions only and in the
absence of any dimensions or in cases of discrepancies between dimensions
bring the matter to the immediate attention of the Lead Consultant for a decision.
For the purpose of Construction, the drawings shall take precedence over the
Bills of Quantities, but in all cases of discrepancies between the documents,
bring the matter to the immediate attention of the Lead Consultant whose
decision shall be binding.

Copies

D Two copies of the Bills of Quantities and all drawings shall be furnished free of
charge to the Contractor for his own use until the completion of the Contract.
They shall be accessible, at all reasonable times, to the Lead Consultant and
the Employer, to whom they shall be returned at the completion of the
Contract. Additional copies may be made but the cost of printing will be for
the Contractor's expense.

E The tenderers are required to submit with their tenders their proposed
outline programme for the Works.

A The Contractor shall prepare within seven (7) days of delivery of the
letter of acceptance, a revised programme and progress chart of the entire
Works, including all sub-contractor's work, for agreement with the Lead
Consultant. After such agreement, the Contractor shall produce four (4) copies
of the agreed chart for the Lead Consultant and shall display the chart on site
and record progress thereon during the execution of the Works. The
Contractor shall so programme his work as not to interfere with the free use
of any existing buildings, roads and other areas on or adjoining the site. The
Contractor shall update the programme as it becomes necessary.

PROGRAMME, PROGRESS CHART REPORTS AND PHOTOGRAPHS

B The Contractor shall keep a permanent written record on the site of the
progress of the Works. This record shall be open to the inspection of the Lead
Consultant at all reasonable times. A copy shall be furnished to the Lead
Consultant on request.

C The record shall show the dates of commencement and completion of all
trades and parts of the work coming under the Contract. It shall also include
particulars regarding daily weather conditions, excavation work, erection and
removal of formwork, pouring of concrete, etc., as well as the number of plant
equipment and employees of the various trades engaged on the Works.

D The Contractor shall prepare and submit a Cash Flow Forecast for the Works
within seven (7) days of delivery of the letter of acceptance.

Log Book

E Provide and keep on the site of the Works a suitable log book in which the
Lead Consultant may enter observations and/or confirm any verbal
instructions given.

Photographs

A The Contractor shall submit monthly for the full duration of the Contract
twelve (12) glossy print photographs, size 125mm x 75mm showing four (4)
clear views of the works as selected by the Lead Consultant. Photographs
shall be taken from the same point each month in order to show the
progress of the Works.

Record Drawings

B Keep accurate records, in a form acceptable to the Lead Consultant, of the


position and routing of all services internally and externally, whether
executed by own workmen or other, and deliver in duplicate fully detailed
drawings to the Lead Consultant not later than seven (7) days after
completion of the particular installation.

SITE PARTICULARS AND ACCOMMODATION

Generally

C The Lead Consultant in conjunction with the Contractor shall select areas for
all temporary buildings including areas for use by specialists sub-contractors
as may be necessary. The grounds on which temporary buildings are sited
shall be made good after removal of these buildings.

Site Visit

D Visit the site and ascertain the nature of work to be done, means of access
and egress, the availability and positions of essential services, viz. electricity,
water, etc., conditions of the site, necessity for and extent of sleeper roads,
temporary crossings and temporary drainage, working space and storage
for materials and allowance is to be made in the tender for all such factors
which may affect the execution of the Works.

Maintenance of Roads

A Maintain the public and private roads, footpaths, ditches, kerbs and the like.
Keep the approaches to the site free from excavated materials, mud and debris.
The Contractor is to make good any damage caused by his own or any
sub-contractor's or supplier's transport at his own expense or pay all costs
and charges in connection therewith.

Temporary Roads

B Provide, maintain and alter as necessary all temporary roads, tracks, paths,
hard standings, pavement crossings, temporary works and the like. Reinstate
the ground and all work disturbed.

Protection of Public and Private Services

C Protect, uphold, temporarily divert and maintain all pipes, ducts, drains,
sewers, service mains, overhead cables and the like during the execution of
the works. The Contractor is to make good any damage due to any cause within
his control at his own expense or pay any costs and charges in connection
therewith. Approval shall be obtained at lease two (2) weeks in advance if
any services have to be interrupted.

Water

D Provide water for the works including that for sub-contractors and specialists,
at the various levels and positions where required including all necessary
sumps, temporary plumbing and storage and pay all charges for drawing
water off mains supply.

Lighting and Power

E Provide all necessary artificial lighting and power, including that for
sub-contractors and specialists and pay all charges for drawing off mains
supply.

Site Telephone and Facsimile

A Provide telephone communication with the site and a facsimile machine for
the duration of the Works and pay all charges in connection therewith.

Staff

B Provide, erect and maintain suitable office accommodation and mess room for
staff and workmen and remove on completion.

Materials Storage

C Provide, erect and maintain suitable sheds for storage of materials and
remove on completion.

Toilet Facilities

D provide sufficient temporary toilet facilities or chemical toilets for the use of
workmen and authorised visitors to the satisfaction of the Lead Consultant
and Sanitary Authorities and empty and cleanse same as and when required
and remove on completion of the Works.

Consultants' and Site Engineer's Site Accommodation

E Provide, erect and maintain office accommodation for the Consultants and
Site Engineer in a location to be agreed with the Lead Consultant. The
office shall be approximately 20 square metres in area and of sound
construction with lockable doors, windows, drawing table, chairs, space for
hanging drawings, pin-up board, drinking water and toilet facilities, air
condition and electrical installation. Provide daily cleaning of the office and
remove structure on completion of the Works.

Watching and Protection

A The site of the proposed Works, shall be under the Contractor's sole
charge from the date of possession to the date of completion of the Contract.

B Provide all necessary day and night watching (including security guards if
necessary) to effectively protect the Works and materials stored on site
(including those of sub-contractors), workpeople and visitors and accept all
risks for damage or loss.

C Provide all necessary temporary hoarding, fencing, gates, barricades, fans,


planked footways, gantries, screens, etc in accordance with the Lead
Consultant details for the protection of the work people, occupants, access,
roadways, adjoining property and the public and alter, adapt and maintain
them as necessary and clear away on completion and reinstate all work
disturbed to the satisfaction of the competent authorities. Gantries shall be
constructed with ramps to allow unimpeded passage to physically
handicapped persons and children.

Trespass

D Prevent any trespass by unauthorised persons on the site of the Works and
any trespass on adjoining property by own employees or those of
sub-contractors and indemnify the Employer against any claims, costs or
proceedings whatsoever arising out of any trespass or alleged trespass.

Attendance

E Provide attendance upon, cut away for and make good after all trades and
in all trades performed by own workmen and own sub-contractors and
leave perfect on completion.

Protection of Works

F Case up and protect all work from any kind of injury and damage. Provide
all necessary temporary roofs, tarpaulins, screens, planking and general
protection that may be required and clear away when no longer needed
and reinstate any work which has become damaged or stained.

Advertising

A All advertising rights on the site are reserved to the Employer.

Siting of Temporary Works and of Permanent Disposal

B Obtain the approval of the Lead Consultant to the siting of permanent spoil
disposal and of the proposed siting of materials, of temporary spoil and
rubbish deposits and of temporary buildings, temporary roads and the like.

Temporary Water Disposal

C Provide and maintain temporary gutters, channels, drains and the like for
the disposal of surface and other water. Alter, shift and adapt from time to
time as necessary.

Hoarding

D Provide, erect, maintain, alter from time to time, strong adequate temporary
hoarding not less than three (3) metres high and lockable gates and doors for
the protection of the general public, Employer's workers and the proper execution
of the Works.

E The hoarding must be neat, strong, durable and meet in all respects the
requirements of safety. The Contractor is to dismantle and remove from
site on completion and make good any works disturbed.

MATERIALS AND WORKMANSHIP

Ordering of Materials

Best Quality

A materials and workmanship are to be of the best quality of their respective


kinds and those for which there is a British Standard or Code of Practice
are to conform thereto unless otherwise stated. Workmanship is to conform
to sound building practice.

Defective Work

B Any defective materials or substandard workmanship not in accordance


with this Contract shall be removed and replaced without charge.

Apply Throughout

C Descriptions of materials and workmanship given in any one Section are to apply
throughout the Bills of Quantities unless otherwise described.

Brand Names

D Where materials are described by brand or trade names, such names are
given as indication of type, quality, etc. Allow in tendering for these particular
materials but alternatives may be used with the Lead Consultant approval. If
approval is not given the materials described herein must be provided.

E All branded materials shall be used strictly in accordance with the


respective manufacturer's recommendations or instructions. The Contractor
shall be responsible for obtaining from the manufacturers all relevant details
regarding the use of their products. The Contractor shall bring immediately
to the attention of the Lead Consultant any difference between the
manufacturer's recommendation and the Bills of Quantities given herein
for a decision on which is to take precedence.

Tests

C Provide material for and pay all costs in connection with the carrying out of the
tests as specified in Materials and Workmanship Section of these Bills of
Quantities and as directed by the Lead Consultant.

D Provide provisional Sum of $10,000.00 for the carrying out of tests as and
when directed by the Lead Consultant. If the results of any tests are
unsatisfactory bear the cost of any resulting reconstruction which may be
ordered by the Lead Consultant. $ 10,000.00

LABOUR

Provide as Necessary

E Provide as necessary, all skilled, semi-skilled labour required for the


execution and completion of the Works.

F Provide a competent Site Engineer or equivalent in experience to the


satisfaction of the Lead Consultant and all other site staff such as Storekeeper,
Checker etc necessary for the proper supervision of the Works. Any
instructions given by the Lead Consultant to the Site Engineer shall be
deemed to have been given to the Contractor.

Availability

A Ensure that all labour will be available for the Works and allow in the tender
for the additional cost of any important of labour from other districts in
Trinidad & Tobago that may be deemed necessary.

Fringe Benefits

Sick Leave, Cost of Living Allowances, subsistence allowances, travelling time
and expenses and all other emoluments and expenses payable to or in
connection with the employment of persons for the Works.

Overtime

D No work is to be executed outside normal working hours without the prior


consent of the Lead Consultant. Include in the tender for any overtime which

nominated or otherwise.

TRANSPORT

C Provide all necessary transport for labour, materials and plant.

CLEAR AWAY AND CLEAN DOWN

D Clear away all plant and temporary work unless otherwise described or
directed and make good. Clear away all existing rubbish, debris and surplus
materials as they accumulate and at completion. Clean floors, pavings,
and all external surfaces and leave the Works clean and perfect at completion.

SAFETY, HEALTH AND WELFARE OF WORK PEOPLE

E The Contractor's attention is drawing to the provision of a safe environment


for his work people.

F The Contractor must comply with Schlumberger's standards (See


documents with tender package) and all applicable Laws and Regulations
(Protective Measures) Order 1977 and the Occupational Safety and Health
Act 2004, which is or are the approved standards of safety for this contract.

G Schlumberger's standards are to take precedent over the following Clauses.

H All employees must wear hard hats and safety boots at all times in all work
areas. It is mandatory that safety goggles and face shields be worn on
operations where eye protection is needed.

A Clothing shall be appropriate for tasks being done. Coveralls as specified are
the minimum requirements.

B It is mandatory that employees report all unsafe acts, unsafe conditions and
near-miss incidents to their Safety Officer. Report all injury or damage
accidents immediately.

C Only authorised personnel may operate specialist equipment. Manufacturer's


guards must be in position.

D All electrical hand tools must be grounded or double insulated.

E Hand tools must not be used for any other purposes than they are intended.

F Welding/burning operations will be carried out by qualified personnel using


the appropriate equipment.

G The following are prohibited at all times on the project.


a) Possession or consumption of alcohol or illegal drugs
b) Possession of firearms
c) Fighting, horse play, practical jokes
d) Theft or vandalism
e) Damaging, disabling or interfering with safety, fire fighting and first aid
equipment

Working from Scaffolds

H Work platforms must be fully planked.

I Guardrails consisting top rail, mid rail and toe board are required when the
platform is 2.5 metres (8'-0" feet or more) above floor level.

J Wheels and castors must be locked when personnel are working from the
scaffold.

Working from Ladders

A Ladders are to be used only on clean and even surfaces. Do no over-reach


while on a ladder. Climb down and move the ladder over to a new position.
Buddy system as specified to be used.

Working from Suspended Access Equipment

B A worker must wear a safety harness with the lanyard tied off to an
independent lifeline if (a) an independent lifeline if the stage has only two
independent suspension lines; (b) the stage if it has four independent
suspension line (two at each end).

Working near Unprotected Openings and Edges

C When exposed to the risk of falling more than 3.0 metres (10'-0") or into
operating machine, toxic substances, liquid tanks, or other hazardous
materials, a worker must wear a safety belt or safety harness with the
lanyard tied off to a fixed support.

Safety Belt, Safety harness and Lanyards

D Safety belts, safety harness and lanyards must be CSA certified. Such
equipment will carry the CSA label.

E Safety harnesses must be snug-fitting and worn with all the hardware and
straps intact and properly fastened.

F Lanyards must be 16 millimeter (5/8") diameter nylon or equivalent.

G When the lanyard is wire rope of nylon webbing, a shock absorber must be
used.

Safety Officer

H A qualified Safety Officer shall be appointed for the duration of the construction
period. Qualifications must be submitted to the Lead Consultant for
approval. The person so appointed shall be resident on site.

DAYWORK

Generally

A Where work arising under a variation ordered by the Lead Consultant cannot properly be measured
and valued, the Contractor shall be paid on a daywork basis. Such payments shall be the
sum of the prime cost of such work calculated in accordance with the following
"Defination of Prime Cost of Daywork" and the percentage additions to each section of the
prime cost at the rates set out hereunder by the Contractor.

DEFINITION OF PRIME COST OF DAYWORK

B This Definition applies solely to daywork carried out under or incidental to this building
contract but does not cover daywork ordered by the Lead Consultant to be carried out after
the date of commencement of the Defects Liability Period, which may be the subject of a
separate agreement.

SECTION (1) - LABOUR

C (1) The amount of wages paid at the rates applicable to workmen engaged on daywork.

D (2) The amount of wages paid at the rate applicable to workmen engaged on daywork and
operating mechanically-operated plant and transport and erecting and dismantling other
plant.

E (3) The time of principals, foreman, gangers and loading hands at the time rates for the trades
practised when actually working with their hands, unless previously otherwise authorised.

F (4) The cost of overtime, where specifically ordered or subsequently sanctioned in writing by
the Architect to be worked on daywork.

SECTION (2) - MATERIALS

G (1) The cost of materials, including delivery to the site.

H (2) Materials supplied from the Contractor's stock at current prices plus justifiable charges for
handling and delivery to the site.

I The cost of materials referred to in paragraph (1) and (2) above is the cost less all trade discounts,
but including all discounts for cash not exceeding five (5) percent.

SECTION (3) - PLANT

J Use of mechanically-operated plant and transport for the time engaed in dayworks.

K Use of scaffolding, staging, trestles, tarpaulins and other non-mechanical plant, excluding hand
tools, specially provided for daywork operation for such time as the Lead Consultant considers
reasonable.

SECTION (4) - OVERHEADS

A Overheads for the purpose of this Contract shall mean the following:-

(1) Head-office charges.

(2) Site-supervision and site staff.

(3) Overtime other than that allowed under Section (1) (4).

(4) Time lost due to inclement weather.

(5) Bonuses and all other incentive payments.

(6) Apprentices study time.

(7) Employer's contribution to National Insurances, including graduated pensions.

(8) Contributions to annual and public holidays.

(9) Fares and time allowances for travelling.

(10) Subsistence and periodic leave allowances.

(11) Safety and Welfare facilities.

(12) Third Part and employer's liability insurances.

(13) Sick pay or insurance in respect thereof.

(14) Tool allowances.

(15) Use, repair and sharpening of small tools.

(16) All non-mechanically operated plant, erected scaffolding and staging and trestles, protective
clothing, artificial lighting, storage facilities and the like that may be in general us on site.

(17) All other liabilities and obligations whatsoever.

C Overheads as defined above and Profit shall be dealt with by means of a percentage addition to the
total of Prime Cost in each of the aforementioned Sections (1), (2) and (3) at the rate stated
hereafter:-
