EMPLOYMENT CONTRACT

This Employment Contract is drawn this 1st day of April 2020 by and between:

___________________________, a corporation duly organized and existing


under the laws of the Republic of the Philippines, with office address at
______________________________________________- represented by its
___________________, ________________________, hereinafter called “COMPANY”

and

_______________________________, Filipino, of legal age, residing at


________________________________and hereinafter called “EMPLOYEE”;

WITNESSETH: That

WHEREAS, the parties hereto desire to enter into this Agreement to define and set
forth the terms and conditions of the employment of the EMPLOYEE by the
COMPANY;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set


forth below, it is hereby covenanted and agreed by the COMPANY and the
EMPLOYEE as follows:

1. POSITION. The EMPLOYEE shall hold the position of


_____________________________________. The details of his duties and
responsibilities are attached to the contract marked as Annex A. The Employee
shall also be required to carry out related functions as the COMPANY may require
from time to time.

2. TERM and STATUS. The EMPLOYEE has a full-time position with REGULAR
EMPLOYMENT STATUS effective ____________________..

3. RANK AND SALARY. The EMPLOYEE has the rank of MANAGER and shall
receive an approximate monthly salary gross of ___________________________
including allowances.

4. WORKING DAYS. The EMPLOYEE shall render five working days per week.
New schedule may be set out by the Company from time to time but in any event
shall at all times be in compliance with the provisions of the Labor Code of the
Philippines on Working Conditions.

5. BENEFITS. The EMPLOYEE is entitled to all benefits mandated by law and


provided for by the company which are as follows:
a. Benefits provided by Social Security System (SSS), Philippine Health
Insurance Corporation (PHIC), Home Development Mutual Fund (HDMF)
for member-employees;
b. 13th Month Pay on a pro-rata basis;
c. One Hundred Five (105) days Maternity Leave for Female Employees, with
additional Fifteen (15) days for Solo Parent and up to Fourteen (14)
working days Paternity Leave for Male Employees (up to 7 days can be
taken from Maternity Leave) in accordance with Republic Act 11210.
d. Maximum of Seven (7) working days Leaves for Solo Parent in accordance
with Republic Act 8972.
e. Vacation Leave of Six (6) to Fifteen (15) days per year based on the
company policy
f. Sick Leave of Six (6) to Fifteen (15) days per year based on the company
policy.

6. The EMPLOYEE shall be bound by the following conditions:


a. All trade secrets and confidential information which the EMPLOYEE has
acquired or shall acquire during his employment with respect to the
business techniques of the COMPANY shall be held by the EMPLOYEE in
strict confidence. The EMPLOYEE shall not at any time, either during his
employment or subsequent thereto, reveal, divulge or publish such trade
secrets or confidential information.
b. The EMPLOYEE shall not at any time during his employment, directly or
indirectly engage in similar or competitive business to that of the
COMPANY, either individual or as an employee, consultant, or as an
officer, member or stockholder of a firm or corporation. The EMPLOYEE
shall not at any way solicit, divert, take away, or attempt to solicit, divert
or take away any of the customers, businesses or patronages of the
COMPANY.
c. If during his employment, the employee is able to create intellectual
property, the copyright shall belong to the COMPANY, even if the
creation of the object of copyright is not a part of his regular duties, if the
employee uses the time, facilities and materials of the employer and the
COMPANY, if the work is the result of the performance of his regular
assigned duties.
d. The EMPLOYEE further agrees that all policies, rules and regulations
promulgated by the COMPANY shall apply and bind him.

7. MANAGEMENT PREROGATIVE. The COMPANY may, at any time, exercise


management prerogative in hiring, termination, promotion, transfer or demotion
and development and implementation of policies and disciplinary action as
provided for by the Labor Code of the Philippines.

8. TERMINATION. The EMPLOYEE may at any time terminate this agreement


and his employment by giving not less than 30 days notice to the COMPANY. The
COMPANY in turn, may terminate this employment agreement for the reasons
cited on Article 282 of the Labor Code of the Philippines which are as follows:
a. Serious misconduct or willful disobedience by the EMPLOYEE of the lawful
orders of his employer or representative in connection with his work;
b. Gross and habitual neglect by the EMPLOYEE of his duties;
c. Fraud or willful breach by the EMPLOYEE of the trust reposed in him by
his employer or duly authorized representative;
d. Commission of a crime or offense by the EMPLOYEE against his employer
or any immediate member of his family or his duly authorized
representatives; and
e. Other causes analogous to the foregoing.

8.1 A damage fee of One Hundred Thousand Pesos (PhP 100,000.00) shall be applied
in the event that the EMPLOYEE fails to serve the required resignation notice.
9. NON- COMPETITION & NON-SOLICITATION. It is further acknowledged and
agreed that following termination of the EMPLOYEE’S employment with the
COMPANY for any reason the employee shall not hire or attempt to hire any
current employees of the COMPANY and shall not solicit business from current
clients or clients who have retained the COMPANY in a period of ONE (1) year
immediately preceding the employee’s termination.

10. VENUE OF SUIT. Any party who shall be violating any of the aforesaid terms
and conditions shall be liable to the other party for damages. The venue for any
action resulting from this contract shall be in court of __________________ only to
the exclusion of other venues.

This contract supersedes all prior undertakings, commitments and agreements,


whether verbal and written, by both parties on this subject.
