1) Among the 5 Corporate Governance Mechanisms (BGR, DT, ICSRMF, CSRC, DS) which of them is given
the most importance and the least importance by the 4 companies through the years 2017-2019? - The
Corporate Governance Mechanisms that is given the most importance is the CSRC because even though
there’s only a few responsibilities they still have more compliant compare to the non-compliant, while
the least importance is the BGR although they have more responsibilities, there's a point where they
cannot obey the BGR.

2) In what year each company performed good in Corporate Governance? In what year/s is it bad?

For the company Jollyville Holdings Corp. they have a good performance for the year 2017 while their
worst year is year 2018.

The company Liberty flour mills inc. preformed best in the year 2017 and their worst is 2019.

As a firm manager, the adjustment that I want to propose to the Board of Directors about the
existing Corporate Governance Mechanisms is that Monitoring organizational performance is an
essential board function and ensuring legal compliance is a major aspect of the board’s monitoring role.
It ensures that corporate decision making is consistent with the strategy of the organization and with
owners’ expectations. As a board, the directors should establish an agreed format for the reports they
monitor to ensure that all matters that should be reported are in fact reported. Boards must be aware of
their own strengths and weaknesses, if they are to govern effectively. Board effectiveness can only be
gauged if the board regularly assesses its own performance and that of individual directors. It is critical
that any agreed actions that come out of an evaluation are implemented and monitored.
