MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is entered into this __th day of <DATE HERE>, in the City of
Iloilo, Philippines, by and between

FUTURESMART RESOURCES + STRATEGIES, herein represented by its Business Developer,

BRYANT CAROLINO, hereto referred as the SERVICE PROVIDER; and

EMPRESS TRUCKING, herein represented by its General Manager, CYRIL HANSON CEMBRANO
hereto referred as the CLIENT;

WITNESSETH

WHEREAS, the SERVICE PROVIDER is a software corporation based in Iloilo City that offers
software services provided by competent and aggressive Software Engineers, committed to the creation
of new ideas in the development of its software model and design that are useful in accomplishing
cleint’s objectives;

WHEREAS, both parties intends to engage into this Memorandum of Agreement for the
provisioning of services required to support and to sustain the EMPRESS TRUCKING BILLING SYSTEM in
favor of the CLIENT;

WHEREFORE, premises considered, both contracting parties herein bind themselves to abide by
this agreement, subject to the following terms and conditions, to wit:

a. SERVICE SCOPE

The following services are covered by this Agreement:

§ Manned Telephone Support;
§ Monitored Electronic Mail (E-Mail) Support; and
§ Planned or Emergency on-site assistance.

b. CLIENT’S OBLIGATIONS

Client’s obligations and/or requirement in support of this Agreement shall include:

§ Payment for all support costs at the agreed interval; and

§ Reasonable availability of customer representative/s when resolving a service
related incident or request.

c. SERVICE PROVIDER’S OBLIGATIONS

Futuresmart Stratigies + Resources responsibilities, in support of this Agreement shall

include:

§ Project development based on the agreed system scope

§ Project installation and deployment three (3) months after the signed contract
agreement
§ Addressing system problems, complaints, and inquiries
§ Appropriate notification to the client for all scheduled maintenance; and
§ A free Forty (40)-hour training and orientation for the involved personnel

d. SERVICE ASSUMPTIONS

Assumptions related to in-scope services and/or components include:

● Any changes to this agreement shall be documented and be discussed upon; and
● Requests for new features and function may incur cost depending on how
urgent and how intensive the requirements are. Request will be noted and will
be discussed internally by the Service Provider before providing any feedback.

e. SERVICE AVAILABILITY

Coverage parameters specific to the service/s covered in this Agreement are as follows,
to wit:
● Manned Telephone Support: 8:30 am to 5:30 pm, Mondays to Fridays;
● E-Mail Support: Monitored 8:30 am to 5:30 pm, Mondays to Fridays;
○ Emails received outside of office hours will be collected, however no
action can be guaranteed until the next working day;
● Emergency Remote Assistance
○ Office Hours, from 8:30 am to 5:30 pm Mondays to Fridays. This service
is for free for twelve (12) months after the delivery, provided that the
problem is not caused by the client.
● Emergency On-Site Assistance
○ Free service within the City Area.
○ The company shall apply extra cost for the following on-site
troubleshooting:
■ During Non-office hours
■ During Weekends and Holidays
■ After the end of the maintenance period
■ Outside the city area

f. SERVICE MAINTENANCE

● Scheduled systems maintenance will be communicated to the client at least one

(1) day before the set schedule.
● Service Maintenance will be Free for twelve (12) Months from the date of the
product delivery.

i. PROJECT COST AND BREAKDOWN OF PAYMENTS

Project cost is at TWO HUNDRED THOUSAND PESOS (Php 200,000.00), and payment
thereof shall be broken down as follows, to wit:

● Twenty Percent (20%) of the Total Contract Amount upon Acceptance and
Signing of the Agreement;
● Fifty Percent (50%) of the Total Contract Amount shall be due and payable upon
deployment and installation.
● Thirty Percent (30%) of the Total Contract Amount thirty (30) days after
deployment and installation and training of personnel.

j. DATE OF COMPLETION

Project shall be completed within a period of Twelve (12) weeks from the execution of
the Agreement.

k. INTELLECTUAL PROPERTY AND PROPRIETARY INFORMATION

The CLIENT acknowledges that the product contemplated herein is the property of the
SERVICE PROVIDER and its corresponding components, trade/service marks or
proprietary marks used under and pursuant to this Agreement (hereinafter collectively
referred as “Marks”) are owned and are still being used/operated by the SERVICE
PROVIDER and further understands that its authority to use any or all of the product is
non-exclusive and that the SERVICE PROVIDER, in its sole discretion, has the right to

operate or contract with other entities/companies/third parties, to extend the same

services as it deems proper.
h. CONFIDENTIALITY

The parties agree to hold each other's Proprietary or Confidential Information instrict
confidence. The parties agree not to make each other's Proprietary or Confidential
Information available in any form to any third party or to use each other's Proprietary or
Confidential Information for any purpose other than as specified in this Agreement. Each
party's Proprietary or Confidential Information shall remain the sole and exclusive
property of that party. The parties agree that in the event of use or disclosure by the
other party other than as specifically provided for in this Agreement, the non-disclosing
party may be entitled to equitable relief. Notwithstanding termination or expiration of
this Agreement, Isotope11 and Client acknowledge and agree that their obligations of
confidentiality with respect to Proprietary or Confidential Information shall continue in
effect for a total period of three (3) years from the Effective Date.
