Article 5: Packing
All the goods are in export corrugated cartons which must be fixed firmly to minimize
damage during transportation. All of the goods shipped in one 40feet GP containers

Article 6: Shipping mark

Contract no. simple name of buyer, carton number, destination.

Article 7: Quality
100% brand-new, according to export standard and China’s quality standard and of Vietnam’s
government.

Article 8: Insurance
Insurance shall be covered by the Seller for 110% of the invoice value against.
Average and All risks as per China’s Insurance

Article 9: Terms of shipment:

9.1. The Seller shall, within 48 hours upon the completion of the loading of the goods, give a
shipping notice to the Buyer by EMAIL or FAX. The notice includes number of contract,
name of goods, quantity, net weight, gross weight, invoice value, name of carrying vessel,
date for arrival of the goods at the uploading place.
9.2. Partial shipment not allowed; transshipment not allowed.
9.3. The expenses resulted from the failure of the seller such shipment advice in time will be
for the seller’s account.
9.4. Free 1% spare part of each container
9.5. Free demurrage charge for container as 14days.
9.6. Penalty:
For each complete day of delay, due to the seller in the delivery term, the buyer will be asked
for the following liquidated damages: one point five percent (0.5%) the amount of total for per
day of the delayed. The maximum payable amount for delay shall not exceed 5% of the total
amount of contract.

Article 10: Claim:

10.1. In case the quality and/ or quantity of the goods found by the Buyer are not in
conformity with the Contract after arrival of the goods at the port of destination, the Buyer
may lodge claim with the Seller supported by survey report issued by an inspection
organization agreed by both parties, with the exception, however, of those claims for which
the insurance company and/ or the shipping company are to be held responsible. Claim for
severe quality discrepancy should be filed by the buyer within 10 months after arrival of the
goods at the port of destination, while for quantity discrepancy claim should be filed by the
Buyer within 120 days after arrival of the goods at the port of the destination. The Seller shall
reply to the Buyer no later than 10 days after receipt of the claim requirement.
10.2. The severe quality discrepancy said as clause 10.1. means:
10.2.1. Quartz is cracked or broken;
10.3. The Seller is not responsible for any quality discrepancy(ies) except that said as clause
10.2 under the condition of supplying 1% spare parts to buyer in free charge.

Article 11: Documents required for negotiation:

1. Signed commercial invoice in triplicate
2. Detailed Packing list in triplicate.
3. Certificate of Origin by FORM E. ASEAN-CHINA FREE TRADE AREA
PREFERENTIAL TARIFF CERTIFICATE OF ORIGIN( COMBINED DECLARATION
AND CERTIFICATE )
ISSUED IN THE PEOPLE'S REPUBLIC OF CHINA
4. Insurance Policy in triplicate
5. Full set of original clean on board Bill of Lading made out to order marked freight prepaid
notify applicant.

Article 12: FORCE MAJEURE:

12.1.The Seller shall not be held responsible for failure or delay to perform all or any part of
the Contract due to flood, fire, earthquake, drought, war, or any other events which could not
be predicted at the time of the conclusion of the Contract, and could not be controlled,
avoided, or overcome by the Seller. However, the Seller shall inform the other party of its
occurrence in written as soon as possible and thereafter send a certificate of the Event issued
by the relevant authority to the other party no later than 15 days after its occurrence.
12.2.If the FORCE MAJEURE EVENT last over 20 days, both parties shall negotiate the
performance or termination of the Contract.
Article 13: ARBITRATION
All disputes arising from the Contract, should be settled through friendly negotiations. Should
no settlement be reached through negotiation, the case shall then be submitted for arbitration
to Vietnam International Arbitration Centre at the Chamber of Commerce and Industry of
Vietnam arbitration rules of this Commission shall be applied. The award of the arbitration
shall be final and binding upon both parties .The arbitration fee shall be born by the losing
party unless otherwise awarded by the arbitration organization. During the course of the
arbitration, the Contract shall performed except for the part under arbitration.

Article 14: SPECIAL PROVISIONS:

14.1: All amendments and alterations to this contract are valid only after written confirmation
by both parties herein.
14.2 : In witness thereof, this Contract shall come into effect immediately after it is signed by
both parties in two copies: each parties hold one copy.
