Appointment as Authorized Priority Retailer of Being Human Jewellery Brand.

Dear Sir,

Subsequent to your interest to associate with Being Human Jewellery Brand as an Authorised Priority
Retailer (APR) and your discussions on the above subject with our management, we are pleased to offer
you this association through this Letter of Intent. Please note that this offer is subject to approval from
Being Human Foundation and our management.

About us:
SQJPL is the global licensee for the Being Human Jewellery brand, owned by Being Human Foundation
with Salman Khan”. The highlight of the brand is that with sale of every piece of this jewellery a part
proceeds go for charity that brightens up destiny of some underprivileged children in India. Being Human
Foundation primarily works for education and health care of the under privileged.

Being Human Jewellery Brand

Under Being Human Jewellery we have the diamond Jewellery and plain gold jewellery range. The details
of the brand are as under:

Being Human Diamond Jewellery

1. Under Being Human Diamond Jewellery we have exquisitely designed rings, earring, pendants,
bracelets and light weight necklets in 18KT gold studded with diamonds in SI-GH quality. The
product is priced in the MRP range of Rs 8000/- to Rs 50,000/-
2. Every piece is certified by GSI - Lab from USA. Every certificate certifies “Natural Diamonds” and
also comes with a QR code to enable consumers to download the details from GSI website.

Being Human Plain Gold Jewellery

1. Under Being Human Plain Gold Jewellery we have beautifully crafted rings, earring, pendants,
bracelets and light weight necklets. The gold products are available in 22KT and 18KT depending
on the preference in your market.
2. The product range is from 2gms to 15gms. The gold products are priced to consumer on the basis
of daily gold rate and does not have a fixed MRP.

 Brand Terms and Supports
An APR operates under following terms & conditions:
a) Initial purchase of Rs 25 Lakh worth of products of Diamond Jewellery and Plain Gold
Jewellery in the combination of 50% of each category.
b) Provides an exclusive counter space for display of Being Human Jewellery.
c) Company provides the branding and creative for In-store as well as outside store visuals.
d) Company provide you with all the Point of Sale material (Display Kit, Tent Cards, Posters,
Standee etc.) for the retailer showroom.
e) With every piece you get a unique packaging material with Salman Khan’s voice
thanking each and every consumer on their purchase as part proceeds go for charity.

Commercial Terms
As APR you are entitled for following margins on products
a) 24% discount on SRP in Diamond Jewellery
b) 12% margins on Plain Gold Jewellery as against our suggested selling price:

a. For 18KT our suggested selling price is 102% of the daily gold rate and you are
invoiced at 90% of the same.
b. For 22KT our suggested selling price is 116% of the daily gold rate and you are
invoiced at 104% of the same.

c) A onetime association fee of Rs 21,000/- is payable by APR

d) The APR maintains the minimum stock level of the initial purchase on average monthly
basis and undertakes to buy and replenish the sold stock.
e) In addition to your margins, you shall entitled to additional 2% on diamond jewellery
purchase and 1% of gold jewellery purchase for your local marketing activities. You are
expected to contribute the same and this re-imbursement is capped at 50% of the
spends or above % whichever is lower.
f) You shall be allowed to exchange 15% of your total yearly purchase from us with a
nominal service charge of 2% on Plain Gold Jewellery and 5% on Diamond Jewellery

General Terms

a) It is pertinent to note that we intend to operate Being Human Jewellery Brand with
utmost Business Ethics with the consumers.
b) As an APR you undertake the responsibility that consumer would not be misrepresented
about the Brand, its designs, quality and purity.
c) Buying and selling of the Being Human Designs from any other manufacturer or supplier,
copy of products/designs or counterfeits is strictly prohibited

 Upon your confirmation and payment of the association fees you shall be issued an Authorized
PR certificate along with your initial purchase
