PROSPECTING AGREEMENT

between

Libibing Mining and Construction

(No.59181)
(Hereinafter referred to as "Libibing")

and

VGN Mining Group Proprietary Limited

(No. 2020/691476/07)
(Hereinafter together with its successors in title, referred to as ("VGN")

PURPOSE
1. Libibing mining and construction grants VGN mining group proprietary limited
the prospecting rights to prospect on behalf of Libibing and submits all prospecting
report to Libibing.

2. Both parts agreed that VGN will take 70% and Libibing 30% of the net profit after
the selling of diamonds.

3. if VGN shall have not mobilised and started the prospecting on the project side by
the 09 January 2023 this agreement shall be automatically terminated without any
written notice.

4. Libibing shall have three (3) representatives in the project side at all time

DOMICILIUM AND ADDRESSES

The parties choose as their domicilium and as their addresses for purposes
of notices and payments in terms of these agreement, the following addresses:
