This Agreement is made effective on Nov 21, 2023 (hereinafter referred to as the “Effective Date”) by
and between Solvo Global referred to as “CLIENT” with its principal place of business located at 2425
Commerce Ave, NW Unit 300, Duluth, GA 30096 and Active RPO, referred to as “SERVICE
PROVIDER” with its principal place of business located at B-96, B-Block, Sec 65, Noida, 201301, India
CLIENT and Active RPO agree that Active RPO shall perform and that CLIENT shall purchase and pay for
the service of a Dedicated Recruiter or related miscellaneous services (“Miscellaneous Services”)
pursuant to the other applicable terms and conditions mentioned in the clauses of the contract.

1. EXECUTIVE SUMMARY
This agreement addresses the need for a full-time Recruiter (hereafter mentioned as DEDICATED
RESOURCE) that CLIENT is seeking. The DEDICATED RESOURCE will be a full-time employee of SERVICE
PROVIDER but will have and maintain direct relationship for 8 hours a day and 5 days a week with
CLIENT, as defined by CLIENT, and will follow all instructions and directions by CLIENT about strategies to
be implemented, services to be performed by him/her and deadlines to be met.

2. SERVICE CLAUSES

2.1 SERVICES OFFERED

SERVICE PROVIDER will offer CLIENT the services of a Dedicated Recruiter.

SERVICE PROVIDER further agrees to provide the following to the DEDICATED RESOURCE on a dedicated
basis to perform the duties for CLIENT:
1. Internet access
2. Dedicated workstation
3. Dedicated desktop system or laptop
4. Dedicated phone line
5. Job Boards

2.2 REPORTING RELATIONSHIP

Unless CLIENT’s contact person identified below advises otherwise in writing, SERVICE PROVIDER will
direct all communications related to this Agreement to such contact person as follows:

2.3 HOURS OF OPERATION

DEDICATED RESOURCE will perform services for 8 hours a day and 5 days a week. The hours of operation
will be negotiated between the DEDICATED RESOURCE and CLIENT. The fixed holidays periods will be as
follows:
Indian Holidays – 3 per year
Holi, Diwali, December 31st

USA Holidays – As per Client

If additional days off are accrued by the DEDICATED RESOURCE, CLIENT and the DEDICATED RESOURCE
agree to compromise in trying to reach a new set of hours to make up for time lost. If such an
arrangement does not compensate for the time lost, appropriate deductions shall be made in the next
invoice generated. In case the DEDICATED RESOURCE is occasionally asked to work extra time on any
day, additional payments/charges will be paid by CLIENT.

3. PAYMENTS & INVOICING

CLIENT agrees to pay all dues by the 5th day of the month for which the services will be given. Invoices
will be raised at the start of the month/ Start of engagement for the same and the client will be given a
duration of 5 days to pay the same invoice. However, any additional dues for the month – such as
incentives, etc. will be billed in the invoice for the next month. It is SERVICE PROVIDER’s standard
practice to invoice CLIENT on a calendar day basis and not on a business day basis. As an example, for
service to be provided in the month of January, the invoice will be raised on or before the 1st of January
and the dues will be paid for by the 5th of January. CLIENT further agrees to bear all costs related to the
transfer of funds. These costs will be added to the invoice every month as “TRANSFER CHARGES”.

3.1 BILLING SCHEDULE

It is SERVICE PROVIDER’s practice to invoice CLIENT monthly on the 1st of every month (Start of
engagement). In case the 1st of the month falls on a weekend/holiday, the invoicing is done on the last
working day preceding the 1st. Payment of these invoices is due within 5 days from the date of invoice.
If a payment is not made within a 5-days period from date of invoice, services can be terminated by
SERVICE PROVIDER and CLIENT agrees that he/she will be committed to the full financial commitment of
this agreement.

6. MONTHLY COST

Cost for 1 Recruiter: USD $1500/MONTH/Recruiter (All Inclusive)

The cost is inclusive of all facilities like dedicated phone line, resource’s salary, supervision team,
dedicated system, internet connectivity and other infra costs.

7. TERMINATION OR CANCELLATION
This agreement may be terminated/cancelled at any time by either CLIENT or SERVICE PROVIDER with a
notice period/prior notification of 02 Days, CLIENT however agrees that all legitimate dues will be
immediately payable upon termination/cancellation of agreement. SERVICE PROVIDER also agrees that
any overpayment made to them by CLIENT will be immediately refunded to them upon
termination/cancellation of agreement. If CLIENT wants to continue with SERVICE PROVIDER but wants
to change the recruiter, the replacement of the recruiter can be given within 24 hours. The replaced
recruiter will be of similar capabilities and background.

8. RENEWAL OF CONTRACT
It is SERVICE PROVIDER’S practice to renegotiate contract terms and pricing every:
The contract is renegotiated every 12 Month to compensate for changes as to include the appraisal of
the DEDICATED RESOURCE’s salary package. The renegotiated contract is largely based upon the
performance of the DEDICATED RESOURCE over last month of employment. All terms and pricing are
renegotiated between CLIENT and SERVICE PROVIDER on a mutually agreed basis.
This contract will be auto renewed unless terminated with given notice by either parties.

Note: This is a Month-to-Month Contract, Client can cancel the contract even after using our service just
for 1 month by giving 2 days prior notice to us.

9. WARRANTY TERMS & PERIOD

CLIENT hereby acknowledges that SERVICE PROVIDER has not made any representation or warranty
regarding the products and/or services to be provided by SERVICE PROVIDER pursuant to this
agreement. SERVICE PROVIDER hereby disclaims any implied warranty with respect to the
merchantability, design, condition, durability, performance, quality, capacity, technical compatibility or
fitness for a purpose of such products and/or services.

10. LIMITATION OF LIABILITY

In no event shall SERVICE PROVIDER be liable for any indirect, incidental, special or consequential
damages, including loss of profits, revenue, data, or use, incurred by CLIENT or any third party, whether
in an action in contract or tort, even if the other party or any other person has been advised of the
possibility of such damages. In no event shall SERVICE PROVIDER be liable for any liabilities, damages,
losses, costs or expenses incurred by any third party as a result or in connection with such third party's
use or access of CLIENT Internet, Intranet or Extranet sites. SERVICE PROVIDER will not be liable for any
liabilities, damages, losses, costs or expenses incurred by CLIENT or any third party because of any
portion of CLIENT sites that were developed by anyone other than SERVICE PROVIDER.

11. PRIVACY & CONFIDENTIALITY

SERVICE PROVIDER agrees to sign a non-disclosure agreement. The ownership for all work delivered will
remain the rights of CLIENT, provided all financial obligations are met by the CLIENT. CLIENT agrees to
sign a non-Compete agreement detailing that during the term of this Agreement, CLIENT agrees not to
engage directly or indirectly in any consulting, or employment to any employees of SERVICE PROVIDER,
including the DEDICATED RESOURCE(S) contracted in this agreement.

12. NON-COMPETE
For CLIENT to protect and maintain its significant investment in marketing and management services to
attain its clients, SERVICE PROVIDER (and its resources) agrees to refrain from providing services directly
or indirectly to any organization for whom SERVICE PROVIDER has provided services through CLIENT, for
a period of two (2) years after the dates of the termination of all assignments, unless specific written
permission is received from CLIENT.

AUTHORIZATION TO PROCEED
In witness whereof, the parties hereto have caused this Agreement to be executed by their respective
representatives as of the Effective Date. By signing below, each signatory represents and warrants that
s/he is duly authorized and empowered to do so on behalf of his/her respective party.
