• OFFER/PROPOSAL: "When one person signifies to another his willingness to do or to abstain from
doing anything, with a view to obtaining the assent of that other to such act or abstinence, he is
said to make a proposal"
• RULES OF ACCEPTANCE:

7. Rejected offers can be accepted only if renewed
• CAPACITY OF PARTIES:
"Every person is competent to contract who has attained the age of majority according to the law
to which he is subject, and who is of sound mind, and is not disqualified from contracting by any
law to which he is subject."
1. MINOR:
Minor’s agreement inoperative against him and is absolutely void
Ratification of minor’s contract is not valid
Minor is considered a beneficiary
2. PERSON OF UNSOUND MIND: The Soundness of mind of a person depends on two facts:
his capacity to understand the terms of the contract, and
his ability to form a rational judgment as to its effect upon his interests.
Three Types:
a. Lunatics
b. Idiots
c. Drunken or Intoxicated Persons – burden of proof
Contracts with a person of unsound mind is voidable at the option of an unsound
mind person
3. DISQUALIFIED PERSON:
I. Alien Enemies
II. Foreign sovereigns brand ambassadors
III. Convict
IV. Married Women – with qualified rights
V. Insolvent
VI. Joint stock company
