MEMORANDUM OF UNDERSTANDING

BETWEEN
EDIFICE PLACEMENT SOLUTIONS
AND
GEO ADITHYA TECHNOLOGIES
FOR
COORDINATION AND COOPERATION IN
STUDENT EDUCATION ENHANCEMENT & TRAINING

The M/s. Edifice Placement Solutions, Coimbatore has a wide range of courses and delivering
excellence in technical education and M/s Geo Adithya Technologies, Chennai herein after
referred to as the Parties, found it mutually beneficial to have a formal understanding between
them.

RECOGNISING the significance of their partnership for developing a student training

& development program to meet the growing talent gap in the industry, hereby agree to execute
this memorandum of understanding for the mutual benefit of industry and institution, free from
any financial commitments by either party.

PURPOSE

[1.] This MOU establishes the goals and responsibilities of each party to design, develop and
deliver a cost effective and, timely training programs to students and staff of both parties
enabling them to make better use of resources with the available technology.

[2.] This MOU shall address the talent gap prevailing in the Industry through industry
academia partnership and , shall establish opportunities for students to get trained for the
real field and thereby bridge the gap between academic output and industry expectations.

A. Role of M/s. EDIFICE PLACEMENT SOLUTIONS :

[1.] Edifice Placement Solutions will organise in establishing the Centre of Excellence with
the colleges for the M/s. GEO ADITHYA TECHNOLOGIES.

1.[2.] Edifice Placement Solutions will organise for the PG Diploma Course with the
colleges and M/s GEO ADITHYA TECHNOLOGIES should recruit those
candidates and salary package will be decided by M/s Edifice Placement Solutions.

2.[3.] Edifice Placement Solutions will organise Guest lecture, Seminar, Workshop, Implant
training , Internship ,Campus Placement training etc., for which M/s. Geo Adithya
Technologies shall depute resource persons.

3.[4.] After the completion of training programme, EDIFICE PLACEMENT

SOLUTIONS will organise placements for the campus interview for the selection of
candidates. The number of students recruited in placements depends upon the
performance of the students. The selection for fresh candidates will start from August &
will be completed before May.

4.[5.] Edifice will use M/s GEO ADITHYA TECHNOLOGIES logo for the marketing
purpose.

B. Role of M/s GEO ADITHYA TECHNOLOGIES:

1. During the training program GEO ADITHYA TECHNOLOGIES should sendt their
Technical Expert for guest lecture, Seminar, Workshop, etc., at a free of cost.

2. GEO ADITHYA TECHNOLOGIES should allow students for site visit, Internship, Implant
training & Placement training program for getting practical experience at a free of cost.

3. GEO ADITHYA TECHNOLOGIES should support M/s. Edifice Placement Solutions for
providing the company specific training.

4. GEO ADITHYA TECHNOLOGIES should recruits fresher & experience candidates
through M/s. Edifice Placement Solutions Only.

5. GEO ADITHYA TECHNOLOGIES should give training for M/s. EDIFICE

PLACEMENT SOLUTIONS faculties in Digital Photogrammetry, LiDAR, Mobile LiDAR,
Ortho, GIS, CAD, PLS CADD, Building Information Modelling, Cadastral Mapping, DGPS
Survey, Total Station Survey, UAV / Drone and techniques at free of Cost.

6. GEO ADITHYA TECHNOLOGIES should provide internal office space for M/s. Edifice
Placement Solutions in all office branches.

7. GEO ADITHYA TECHNOLOGIES should not tie-up with clients of M/s. Edifice
placement solutions.

8. GEO ADITHYA TECHNOLOGIES makes any tie-up with the client’s colleges /
Companies of M/s. Edifice Placement solutions, and then they should give Rs 10 Lakhs to
Edifice Placement Solutions.

9. GEO ADITHYA TECHNOLOGIES must introduce GIS, BIM, Drone, Total Station, Client
Companies, etc., with Edifice Placement Solution and for the PG Diploma Course and those
companies should tie-up / MoU with M/s. Edifice Placement Solutions only.

10. GEO ADITHYA TECHNOLOGIES should arrange their own accommodation, food, and
travel during the training program, Campus placement drive and, PG Diploma Training
Program.

Placement of Trained Students:

GEO ADITHYA TECHNOLOGIES will actively engage to help the in delivery of the training
and placingement of students of the M/s. Edifice Placement Solutions into internships/jobs; and
will facilitate placements for minimum 150 nos of the students. The GEO ADITHYA
TECHNOLOGIES will itself absorb at least 100 nos of the trained students.

SYLLABUS:

Syllabus for the training program will be fixed mutually by M/s EDIFICE PLACEMENT
SOLUTIONS & M/s GEO ADITHYA TECHNOLOGIES.

CERTIFICATION:

1. Certificate for Internship & Implant Training will be provided from M/s GEO
ADITHYA TECHNOLOGIES.
2. Software Training Program certificate will be given by M/s EDIFICE PLACEMENT
SOLUTIONS.

PAYMENT:

1. M/s. EDIFICE PLACEMENT SOLUTIONS will not receive any money from
M/s. GEO ADITHYA TECHNOLOGIES for the cCampus Placement rRecruitment
Driveprocess.

[2.] If M/s. GeoAdithya Technologies break the tie up with M/s. Edifice Placement solutions,
then it should break the tie up the Colleges having Centre of Excellence. aAnd also
should givecompensate M/s. Edifice Placement Solutions with
[3.] Rs 25 Lakhs. for the Edifice Placement Solutions.

I. ANNEXURES, AMENDMENTS & REVIEWS

1. Annually, the authorized person or the joint working group as formed under this
MOU shall review this agreement for purposes of determining if amendments are
needed as may be decided mutually between the parties.

2. This MOU can also be amended by mutual consent through an exchange of

correspondence between the two parties.

II. DURATION & TERMINATION:

1. This MOU shall become effective upon the date of approval of the last signatory.
Either participating party may terminate this agreement upon 120 days written notice
to the other.

2. IN WITNESS WHEREOF, the parties hereto have executed this agreement in

duplicate on the day and year herein after indicated.

Any divergence or difference derived from the interpretation or application of the

MoU shall be resolved by arbitration between the parties as per the Arbitration Act,
1996. The place of the arbitration shall be at District Head Quarters of the

 Edifice Placement Solutions. This undertaking is to be construed in accordance
with Indian Law with exclusive jurisdiction in the Courts of Coimbatore.
