CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Sale is made and executed and entered into by and
between:

__________________, of legal age, Filipino, single/married to

__________________, and a resident of
__________________________, hereinafter referred to as the SELLER;

-AND-

___________________, of legal age, Filipino, single/married to

______________________, and resident of ______________________,
hereinafter referred to as the BUYER;

WITNESSETH;

That the SELLER is the registered owner of __________________

(________ for brevity) ______________ Branch, located at
__________________, together with all the improvements found therein:

That and in consideration of the sum of

________________________, receipt in full is hereby acknowledged to
his entire satisfaction, the SELLER does hereby SELL, TRANSFER, and
CONVEY, unto the said BUYER/s, their heirs and assigns, the above-
described TL Mabuhay with all the improvements found thereon.

That the SELLER hereby warrants his title over TL Mabuhay, with full
right to dispose of the same, free from all liens and encumbrances, and that
henceforth, full right of ownership and possession of the business propriety
shall pertain to the buyers.

That the buyer agrees to take care of the name and goodwill of TL
Mabuhay Alcantara Branch and continue to carry out its intention to promote
safe and defensive driving.

That upon execution of this Contract, the SELLER will no longer be

connected to the said TL Mabuhay Alcantara Branch and shall not profit from
the same.

IN WITNESS WHEREOF, the aforementioned parties have hereunto
