COLLABORATION AGREEMENT

THIS AGREEMENT is entered into on this day, 18th of March, 2024, by

and between:

African Dream Community – An outdoor recreational community focused

on camping and travelling. (First Party) and Oga Tourist – A company
focused on tourism activities (Second Party) and Weekend Shutdown - A
promotion and event management brand (Third Party) (Collectively referred
to as the "Parties").

Purpose:

The Parties hereby agree to collaborate on the planning, organization, and

execution of an outdoor camping event titled "BUSH DOINGS 5", as
detailed in the proposal provided by African Dream Community.

Responsibilities:

African Dream’s Responsibilities:

● Setup of Camping Gear: African Dream shall be solely responsible for the
procurement, delivery, and setup of outdoor accommodation including
mattresses, pillows, blankets, and camping tents for approximately 100
individuals.
● Audio System: African Dream shall procure and manage the
comprehensive sound system, including speakers, mixer, and amplifier,
for the Event.
● Recreational Activities: African Dream shall acquire and facilitate the
necessary sports equipment and materials for the planned recreational
activities.
● Venue: African Dream Community shall assist in securing the chosen
venue and collaborate with Camping Gears Nigeria to ensure a seamless
event.
● African Dream shall be responsible for the organisation of other events
services, vendors and business around the events.

● African Dream shall join Oga Tourist and Weekend Shutdown for the
collective marketing and promotion of the Event through sponsored ads,
word of mouth, development of advertorials materials etc, ensuring
maximum participation.

Oga Tourist Responsibilities:

● Marketing and Promotion: Oga Tourist shall be responsible for the

marketing and promotion of the Event through sponsored ads, word of
mouth, development of advertorials materials etc, ensuring maximum
participation.
● Oga Tourist shall contribute all resources (human, physical not including
financial) they have at disposal to ensure a successful event afterwards

Weekend Shutdown Responsibilities:

● Marketing and Promotion: Weekend Shutdown shall be responsible for

the marketing and promotion of the Event through sponsored ads, word
of mouth, development of advertorials materials etc, ensuring maximum
participation.
● Weekend Shutdown shall manage the Outdoor Movie Night Experience
effectively.
● Weekend Shutdown shall contribute all resources (human, physical not
including financial) they have at disposal to ensure a successful event
afterwards

Budget and Financials:

The Parties acknowledge the budget breakdown provided in the proposal,

and it is agreed that the total budget for the Event is N 1,000,000. African
Dream shall procure Camping extras (Camping Gears, Audio System,
Recreational Activities, Vendor Offerings, Venue etc) from revenue
generated from Ticket sales.

Camping Fee and Revenue:

It is projected that the camping fee be set at N30,000 per tent for 50
campers for 2 days, generating a total revenue of N1,500,000. The net
income of N500,000 shall be divided into a percentage of 32.5% for
African Dream Community, 37.5% for Oga Tourist and 30% for
Weekend Shutdown. We have to understand that profit comes to us
when a minimum number of (50) tents are sold out. We look forward to
increasing our numbers in order to increase the net income. Other forms of
revenue generation is through vendor activities. Any other thing will be
communicated

Miscellaneous:

Any additional expenses not covered in the budget breakdown shall be

discussed and agreed upon by both Parties before implementation.

Term:

This Agreement shall commence on the Effective Date and shall continue
until the completion of the Event, as detailed in the proposal.

Termination:

Either party may terminate this Agreement with written notice if the other
party breaches any material term of this Agreement.

Governing Law:

This Agreement shall be governed by and construed in accordance with

the contract laws of the Federal Republic of Nigeria.
