We are a fast-growing international Governance, Risk, and Compliance (GRC) Consultancy with our
headquarters in the Dubai International Finance Centre (DIFC). We also have our own Technology
company creating bespoke cutting-edge RegTech solutions. Our business presence covers multiple
jurisdictions with offices in the UAE, KSA, UK & Ireland, Singapore, Canada, Pakistan and Qatar. We
provide Regulatory Governance, Risk, Compliance, Finance, Recruitment and Technology services (the
“Services”) to a large number of clients including global, regional and local financial services institutions,
governments and other industry partners. As part of our continued success, we are now looking for an
ambitious and experienced legal manager to join our growing team.

It is important to note that our Services are suitable for clients seeking to establish a business presence, as
well as clients with an established presence, who require GRC support to maintain that presence. As a
member of the legal team, you will be required to provide specific legal and corporate support under the
GRC framework.

Duties and Responsibilities

• Provide legal and governance support to the group and relevant stakeholders.
• Negotiate, draft, update and review legal documents such as contracts, agreements, engagement
letters, terms and conditions, non-disclosure agreements, etc.
• Develop and maintain key working relationships with external providers e.g., ADGM, DIFC, DWTC.
• Lead and provide instructions to junior members of the legal team when preparing internal legal
procedures, policies, and processes such as process flows related to company secretarial and
incorporation tasks.

• Collaborate and coordinate with other departments of the company (including, but not limited to,
finance, compliance, and project development) to ensure legal compliance.
• Ensure that an up-to-date knowledge bank is at all times maintained and provides relevant
training to staff on all relevant areas of laws.
• Identify risks and propose alternative structures to reduce risks involved in prospective
transactions.
• Possess and demonstrate sound knowledge and understanding of different corporate structures
(particularly financial-related structures) and provide clients with tailored advice related to
corporate structuring.
• Assist clients to establish a business presence either on mainland UAE, or within major financial
free zones. focused on entity formation/establishment.
• Demonstrate secure knowledge of company formation rules, regulations, and applicable laws
within the UAE.
• Access and proficiently use online company registration portals and platforms and provide
training to junior members of the legal team, on the same.
• Draft client proposals and provide accurate responses to corporate structuring queries.
• Act as a senior company secretary for outsourced clients, performing duties such as: attending
board meetings, filing company renewals, keeping up-to-date stakeholder records, preparing
resolutions, drafting minutes, winding up procedures, and maintaining share registers etc.
Experience providing company secretary support to listed companies is advantageous.

Experience (essential to any successful application)

• Proven work experience of minimum 8-10 years in a highly organized environment.

Skills
• Secure understanding of common law principles, especially those applicable to corporate matters.
Candidates with a strong grasp of UAE corporate laws, rules and regulations (applicable to
mainland UAE and the major financial free zones) are preferred.
• Strong corporate and legal drafting skills i.e., ability to draft both internal (company-related) and
external (client-specific) legal documentation.

• Familiar with key corporate documentation i.e., Articles of Association, Shareholder and UBO
Registers, Company Resolutions with proven experience in drafting such documentation.
• Excellent problem-solving skills with ability to work independently. It is crucial that the candidate
is a motivated self-starter with the drive and ability to provide timely solutions to both clients and
colleagues.
• Strong time-management skills with the ability to prioritize tasks effectively whilst meeting all key
deadlines to required regulatory standards.
• Strong oral and written communication and presentation skills, including the ability to effectively
interact with stakeholders at all levels.
• Detail-oriented and strong analytical and problem-solving skills.
• Demonstrable skill in interacting with staff from different cultural backgrounds and nationalities.
• Ability to work well in a fast-paced environment.
• Highly proficient in MS Office.

Qualifications

• An experienced legal graduate with a minimum of a bachelor’s degree from a leading university
who possesses a minimum of 8-10 years of relevant experience.
