WAIVER AND TRANSFER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This WAIVER AND TRANSFER OF RIGHTS is made and executed in to between

BEVERLY VARGAS-BALLESTEROS, of legal age, Filipino, married to MARLON
CARBONILLA BALLESTEROS and a resident of Barangay Port Barton, San Vicente,
Palawan, hereinafter referred to as TRANSFEROR and LEARY VINCENT ADAM
RECARZE LIBIRAN, of legal age, single and a resident of Barangay Port Barton, San
Vicente, Palawan, hereinafter referred to as TRANSFEREE;

WITNESSETH:

That the TRANSFEROR is the owner and/or rights holder of the Business Name
Registration for TRES TEQUILAS RESTO BAR located at Barangay Port Barton, San
Vicente, Palawan registered with the Department of Trade and Industry (DTI) under
Business No. 5555590;

That the TRANSFEROR is likewise the legal owner/right-holder of Mayor’s

Business Permit to operate said TRES TEQUILAS RESTO BAR under Business Permit
No. 2024-1705319000-0058.

That the TRANSFEROR hereby WAIVES, TRANSFRS and CONVEYS her

ownership and rights over said Registration, Business Permit and Establishment in regard
with this business unto and in favor the above TRANSFEREE, LEARY VINCENT ADAM
RECARZE LIBIRAN, her rights effective today, absolutely, and unconditionally;

That the TRANSFEROR do not and will not object to any legal transaction to effect
this transfer or waiver and this WAIVER is subject to applicable laws and rules.

IN WITNESS WHEREOF, we have hereunto signed this Waiver and Transfer of
