Introduction

INTRODUCTION

The amendment notified in the Companies Act, 2013 requires companies with a net worth of INR 5
billion (US$70 million) or more, or an annual turnover of INR 10 billion (US$140 million) or more, or net
profit of INR 50 million (US$699,125) or more, to spend 2 percent of their average net profits of three
years on CSR.

Prior to that, the CSR clause was voluntary for companies, though it was mandatory to disclose their CSR
spending to shareholders. CSR includes but is not limited to the following:

Projects related to activities specified in the Companies Act; or

Projects related to activities taken by the company board as recommended by the CSR Committee,
provided those activities cover items listed in the Companies Act.

Businesses must note that the expenses towards CSR are not eligible for deduction in the computation
of taxable income. The government, however, is considering a re-evaluation of this provision, as well as
other CSR provisions recently introduced under the Companies (Amendment) Act, 2019 (“the Act”).

CSR amendments under the Companies (Amendment) Act, 2019

Until now, if a company was unable to fully spend its CSR funds in a given year, it could carry the amount
forward and spend it in the next fiscal, in addition to the money allotted for that year.

The CSR amendments introduced under the Act now require companies to deposit the unspent CSR
funds into a fund prescribed under Schedule VII of the Act within the end of the fiscal year. This amount
must be utilized within three years from the date of transfer, failing which the fund must be deposited in
to one of the specified funds.

The new law prescribes for a monetary penalty as well as imprisonment in case of non-compliance. The
penalty ranges from INR 50,000 (US$700) to INR 2.5 million (US$35,000) whereas the defaulting officer
of the company may be liable to imprisonment for up to three years, or a fine up to INR 500,000 (US
$7,023), or both.

The government, however, is reviewing these rules after the industry objected to the strict provisions,
especially with respect to the jail terms for CSR violations, and is yet to operationalize them.

CSR trends in India

Since the applicability of mandatory CSR provision in 2014, CSR
spending by corporate India has increased significantly. In 2018,
companies spent 47 percent higher as compared to the amount in
2014-15, contributing US$1 billion to CSR initiatives, according to a
survey.

Listed companies in India spent INR 100 billion (US$1.4 billion) in

various programs ranging from educational programs, skill
development, social welfare, healthcare, and environment
conservation, while the Prime Minister’s Relief Fund saw an increase
of 139 percent in CSR contribution over last one year.

The education sector received the maximum funding (38 percent of the
total) followed by hunger, poverty, and healthcare (25 percent),
environmental sustainability (12 percent), rural development (11
percent). Programs such as technology incubators, sports, armed
forces, reducing inequalities saw negligible spends.

Taking into account the recent amendments to CSR provisions,

industry research estimates CSR compliance to improve and range
between 97 to 98 percent by FY 2019-20.

History

Mandatory provisions of CSR under section 135 of the Companies act, 2013 became effective from
01.04.2014.

The importance of inclusive growth is widely recognized as an essential part of India's quest for development.
It reiterates our firm commitment to include those sections of the society in the growth process, which had
hitherto remained excluded from the mainstream of development. In line with this national endeavor,
Corporate Social Responsibility (CSR) was conceived as an instrument for integrating social, environmental
and human development concerns in the entire value chain of corporate business. Ministry of Corporate
Affairs had issued 'Voluntary Guidelines on Corporate Social Responsibility, 2009' as a first step towards
mainstreaming the concept of Business Responsibilities. This was further refined subsequently, as 'National
Voluntary Guidelines on Social, Environmental and Economic Responsibilities of Business, 2011'.

The National Voluntary Guidelines (NVGs) on Social, Environmental and Economic Responsibilities of
Business released by the Ministry of Corporate Affairs (MCA) in July 2011, is essentially a set of nine
principles that offer Indian businesses an understanding and approach to inculcate responsible business
conduct. However, taking into account the national and international developments in the arena of sustainable
business since 2011, the NVGs have been updated and released as ‘National Guidelines on Responsible
Business Conduct’ (NGRBC) in March 2019 to reveal alignments with the United Nations Guiding Principles
on Business & Human Rights (UNGPs), UN Sustainable Development Goals (SDGs), Paris Agreement on
Climate change etc. The NGRBC provides a framework for the companies to grow in an inclusive and
sustainable manner while addressing the concerns of stakeholders.

These guidelines urge businesses to actualize the principles in letter and spirit. These principles are:

Businesses should conduct and govern themselves with integrity in a manner that is Ethical, Transparent and
Accountable

Businesses should provide goods and services in a manner that is sustainable and safe

Businesses should respect and promote the well-being of all employees, including those in their value chains

Businesses should respect the interests of and be responsive to all their stakeholders

Businesses should respect and promote human rights

Businesses should respect and make efforts to protect and restore the environment

Businesses, when engaging in influencing public and regulatory policy, should do so in a manner that is
responsible and transparent

Businesses should promote inclusive growth and equitable development

Businesses should engage with and provide value to their consumers in a responsible manner

Data Analysis
Rural Transformation

Empowering some of the most marginalised communities across rural India with innovative and
sustainable solutions since 2010, Reliance Foundation has catalysed change across multiple
levels to transform the lives of rural communities. Enabling them with opportunities, working
through direct implementation and also by working in collaboration with different social impact
organisations, private and government stakeholders, Reliance Foundation’s Rural
Transformation programme reaches out across 20 states and two Union Territories and more than
350 districts across India. As on August 2022, the programme has reached over 14.6 million
people.

Under the Rural Transformation initiatives, Reliance Foundation has two core programmes,
Bharat India Jodo (BIJ) and Reliance Foundation Information Services (RFIS). These
programmes complement and strengthen each other. BIJ, initiated in 2010 adopts an approach of
empowering communities to take collective action towards sustainable livelihoods through
multiple pillars. By leveraging digital platforms, RFIS reaches partners across the length and
breadth of the country, connecting rural communities to advisories, information and support on
weather, fishing, farming, livestock rearing and management.

With an integrated 360 degree approach to support Reliance Foundation builds resilient rural
communities. This is done by focusing on the key levers that can help create positive social
change, including women empowerment, nutrition security, climate resilience, water and
ecological security, rural livelihood security, strengthening community structures. With this
approach, positive social change has been fostered in rural communities, with strengthened
community structures, providing water, nutrition and livelihood security.

Water as a key pivot to improving lives and livelihoods: Creating water secure communities

Water as a key pivot

In alignment with SDG 1, ‘Zero Hunger’, SDG 6 ’Clean Water and Sanitation’ and SDG 13
’Climate Action.

Bringing together communities (Shramdaan or voluntary contribution), important partners and

stakeholders actualizing one goal for water resilience, Reliance Foundation uses various
approaches, plans and structures to help conserve and harness water in sustainable ways. This
enhances the community’s livelihood security and potential. Technical, financial and capacity
building support help plan and execute appropriate water security measures and Reliance
Foundation helps build capacities of representatives and leaders of community institutions such
as Gram Panchayats, SHGs, and youth groups.

Reliance Foundation has also been a principal funding partner of Paani Foundation since 2015,
supporting the work that this organisation is doing at the grassroots to help communities tackle
drought, achieve water security and make agriculture as well as other means of livelihoods in
rural India environmentally sustainable. These water initiatives are part of a larger holistic
approach to environmental sustainability.

Creating Nutrition secure rural communities: bringing alternate livelihood opportunities and a
bountiful platter to the community

Nutrition secure

In alignment with UN SDG 2 ’End hunger, achieve food security and improved nutrition and
promote sustainable agriculture’.

The Reliance Nutrition Garden (RNGs) is a model that bridges the nutrition gap in low-income
communities, especially for women and children, while helping them take up vegetable farming -
improving income and enhancing livelihoods. Not only families but also community institutions
like Anganwadis are encouraged and supported to develop RNGs to ensure nutritional self-
sufficiency.

The RNG is a cost-effective, scientifically designed kitchen garden, wherein fruits and
vegetables are grown using a multi-tier cropping system. As a low-cost initiative, it has helped
provide fresh fruits and vegetables, grown naturally, to rural households across the country. It
has also been a new source of income to many households as a site for imparting awareness on
importance of vegetables, fruit and nutritional diversity.

Creating, supporting and encouraging leaders of tomorrow: strengthening governance

encouraging leaders

Aligned with United Nations Sustainable Development Goals (UN SDGs) 16, ‘Peace, Justice and
Strong Institutions’, and 17, ‘Partnerships for the Goals’

By creating platforms for collective action and with support from stakeholders, Reliance
Foundation is helping to strengthen rural institutions and leaders to solve challenges and find
solutions. Engaged with 965 Gram Panchayats (GPs) across 11 states, Reliance Foundation
works towards institutional strengthening in cooperation with Gram Sabhas, Block and District
Panchayats.

Reliance Foundation contributes towards the preparation of an inclusive as well as participatory

development plan in the form of Gram Panchayat Development Plans (GPDPs), ensuring
ownership and effective implementation of plans made by Gram Sabha members.

Since 2017, Reliance Foundation has also worked with the Government of Maharashtra’s Village
Social Transformation Foundation (VSTF) on a unique initiative – to transform 1,000 villages
into ‘model villages’, by solving their social, economic, livelihood, infrastructure and
connectivity challenges. During 2019-20, Reliance Foundation directly supported 27 Gram
Panchayats under the programme, catalysing their transformation into sustainable model villages
through VSTF’s holistic development interventions. These initiatives are led on the ground by a
specially trained cadre of Rural Development Fellows, who are deputed to each village to
enhance service delivery.

Empowering women: strengthening women entrepreneurs across rural India

Empowering women

Aligned with SDG 5 to ensure ‘Gender Equality’.

Committed towards creating a battery of rural women leaders who then lead and support their
communities to solve some of the most complex challenges of our times, Reliance Foundation
works extensively with Women Self Help Groups (W-SHGs). They are supported to identify
diverse, sustainable and scalable livelihood opportunities at every step from skill trainings,
linking them to various government schemes, to making them market ready or bringing them
closer to financial inclusion. Reliance Foundation is thereby creating a network of grassroots
women leaders who can help transform the world around them. This in-turn ensures increased
women participation in rural economy and ownership of livelihood assets. Many women & W-
SHGs have turned micro-entrepreneurs and have embarked on their self-entrepreneurial journeys
through this mentorship

Transforming rural economies: facilitating market linkages

rural economies

In alignment with UN SDG 9 ‘Build resilient infrastructure, promote inclusive and sustainable
industrialization and foster innovation’.

Supporting market linkages for farmers through a variety of ways, one intensive and significant
approach of Reliance Foundation has been to nurture and strengthen over 100 Farmer Producer
Organisations (FPOs). Many of these have started providing mentoring support to other FPOs in
their districts, creating a cascading effect. FPOs provided with market linkages, helped other
FPOs establish and run Minimum Support Price (MSP) procurement centres and access
agricultural inputs providing overall training and capacity building.

Reliance Foundation Information Services: technology at the heart of our interventions

Information Services

Initiated in January 2013 to provide tailor-made value-added information at the right time from
the right source to the right target group towards improving lives and livelihoods, Reliance
Foundation’s Information Services (RFIS) have reached over 11.9 million people across 19
states and two Union Territories.

Bringing technology solutions and helping to address information gaps or asymmetry for
livelihood practitioners including agricultural farmers, marine and inland fishers, livestock &
dairy farmers. Reliance Foundation reaches communities by adopting a phygital model,
leveraging digital pathways like mobile phone services, digital media platforms, audio-video
conferences and YouTube, besides television, radio toll-free helpline and various other physical
interventions.

RFIS has been providing virtual advisories reaching diverse groups of beneficiaries’ year on year
with inputs on weather, better farming practices, disease and pest management and better
livestock management.

Advisories for fishing communities: Reliance Foundation endeavours to make fishing safer,
sustainable and more profitable for marine fisher folks along India’s expansive coastline with
information support from the Indian National Centre for Ocean Information Services (INCOIS)
and Central Marine Fisheries Research Institute (CMFRI). The advisories through digital
platforms- reach out to nearly 250,000 people annually.

A fishing-community specific mobile application, the Machli app provides real time updates on
weather and oceanographic parameters for all major landing centres. It also helps the fishers with
information on potential fishing zones ensuring optimum results

Future focus

Over the next five years, Reliance Foundation’s Rural Transformation programme aims to build
resilient and self-reliant rural communities by improving lives and livelihoods of 10 million
individuals across 45 districts, over five years through following interventions:

1) Climate Resilience for Sustainable Development (CR4SD) - Reliance Foundation aspires to

build climate smart & resilient communities through various interventions such as adopting
Climate Smart Agriculture (CSA), adoption of efficient irrigation & management of water
resources. Some of the other interventions are:

2) Integrated Value Chain Development (IVCD) – Reliance Foundation will seek to unlock value
for farmers in identified crop value chains through interventions from sowing to end consumer
markets.

3) Diversifying Rural Incomes via Women Entrepreneurship (DRIWE) - De-risking Household
incomes by diversifying into agri-allied and non-farm sources and also capacitate women SHGs
who then branch out as micro-entrepreneurs.

ASMAN – Project Alliance for Saving Mothers and Newborns

Affordable Healthcare in India

In 2015, Reliance Foundation partnered with Bill & Melinda Gates Foundation,
MSD India, Tata Trusts and the United States Agency for International
Development (USAID) to spearhead Project Alliance for Saving Mothers and
Newborns (ASMAN), a first-of-its-kind in India. The project’s aim was to
accelerate reduction in neonatal and maternal mortality by improving quality of
care provided to mothers and newborns, from the time of admission to the time of
discharge – a duration in which the risk of mortality is high.

Project ASMAN used an innovative approach by leveraging multiple technology-

based healthcare innovations in the states of Rajasthan and Madhya Pradesh to
strengthen the capacity of healthcare providers to ensure safe health outcomes for
mothers and newborns.

Overall the project aimed for technology enabled reduction in preventable maternal
and neo natal deaths in selected health facilities across 8 districts in the two states
of Rajasthan and Madhya Pradesh. Over 7.5 lakhs mothers and newborns were
reached through 81 government health facilities since the inception of the
programme in 2015. During April 2018 to June 2021, 433,100 cases were

registered and 165,000 (38%) high-risk cases were detected through the ASMAN
app.

ASMAN won Special Jury Mention Award under the Excellence in Social
Initiative category during the annual Healthcare Excellence Awards of the
Federation of Indian Chambers of Commerce and Industry in September 2020. To

COVID-19 Response

Health infrastructure support during the COVID-19 pandemic

Setting up health infrastructure support during the COVID-19 pandemic

To help meet the sudden demand for specialised healthcare facilities during
COVID-19, Reliance Foundation set up medical, quarantine and intensive care
facilities, providing for over 2,000 COVID-19 hospital beds across different
locations in India.

Reliance Foundation demonstrated its commitment and capacity to rise up to the

situation during the response to the COVID-19 crisis setting up the first, COVID-
19 dedicated hospital in India in just two weeks in March 2020, in collaboration
with the Brihanmumbai Municipal Corporate (BMC).

Gujarat’s first paediatric COVID-19 hospital at Jamnagar. All facilities were set up
in record time keeping the urgency of the prevailing situation in mind.

Reliance Foundation’s Mobile Medical Units continued to provide medical

assistance to the rural communities in the times of COVID-19 and also helped raise
awareness about precautionary measures like social distancing, wearing masks and
hand washing in surrounding villages.

Ensuring uninterrupted emergency services

To ensure uninterrupted emergency services, Reliance Foundation provided free

fuel to government notified vehicles and ambulances to ease the transportation of
COVID-19 patients. Reliance Foundation provided over 27 lakh litres (2.7 million
litres) of free fuel, supporting 70,000+ ambulances across 21 states and 3 Union
Territories. The mission to distribute free fuel for ambulances across 21 states was
taken up between May and September 2021 during the second COVID wave,
providing a much needed boost to emergency response services.

Mission COVID Suraksha

Mission COVID Suraksha

To raise awareness on prevention and safety, Mission COVID Suraksha focused on
the distribution of 1.4 crore masks across India to frontline warriors and
communities across 26 states and Union Territories, along with raising awareness
on the importance of COVID-safe behaviour. Reliance Foundation distributed
masks to police personnel, municipal workers and vulnerable communities with
high risk of exposure. A multi-lingual booklet, distributed with the mask, informed
users about proper ways to wear it along with mask hygiene.

In addition, over 9.5 lakh (0.95 million) sanitisers, 5+ lakh (0.5+ million) ORS
packets and 2+ lakh (0.2+ million) gloves were distributed across 20 states and
Union Territories.

To boost the nation’s COVID-19 vaccination drive, Reliance also launched

Mission Vaccine Suraksha in April 2021, as a mark of commitment to protect the
larger community. Mission Vaccine Suraksha enabled free COVID-19 vaccination
across the country, covering communities, employees and families across the
country. Vaccine doses were also provided through outreach efforts to vulnerable
communities in different locations.

Reliance collaborated with local authorities and governments through its Mission
Vaccine Suraksha initiative under the overall ‘We Care’ umbrella. This included
free vaccination doses provided to the governments of Kerala, Gujarat, Rajasthan,
and Maharashtra besides various other national and regional organisations to speed
up the vaccination drive.

Mission Vaccine Suraksha aimed to reach every last mile resident, including
people with disabilities, the elderly, homeless and those in far-flung locations, with
free COVID-19 vaccination. This initiative continues as vaccination is still the
only available protection from coronavirus, thus contributing towards the country’s
vaccination mission. Reliance Foundation also conducted vaccination drives across
India such as in Maharashtra, Tamil Nadu, West Bengal and Kerala, among other
states. These drives supported several vulnerable groups in accessing COVID-19
vaccination.

We have collaborated with the Bill & Melinda Gates Foundation, MSD for
Mothers, Tata Trusts and the United States Agency for International Development
(USAID) on Project ASMAN (Alliance for Saving Mothers and New-borns), a
unique initiative that seeks to reduce maternal and neonatal mortality across
Rajasthan and Madhya Pradesh. The project deploys innovative tech-enabled,
facility-based interventions that help healthcare service providers provide high-
quality care during childbirth and in the critical 48-60 hours just after delivery. It
plays a major role in helping healthcare professionals monitor cases and equipping
them to handle complications better. Over 7.5 lakhs mothers and newborns were
reached through 81 government health facilities since the inception of the
programme in 2015. During April 2018 to June 2021, 433,100 cases were
registered and 165,000 (38%) high-risk cases were detected through the ASMAN
app.

Under our Public Health Outreach Programme, women and adolescent girls are
screened for anaemia across various rural locations. In addition, under our Rural
Transformation initiatives, we have also been working to achieve nutritional
security in rural households by helping communities set up Reliance Nutrition
Gardens (RNGs) in their unused and waste lands. Spearheaded by the women of
the communities, these RNGs have empowered women to take up leadership roles
in setting up these gardens, have made rural households nutrition self-reliant and
helped in reducing anaemia among rural women.

Nasreen Mohamedi at The Met Breuer

One of the most significant artists to emerge in post-Independent India, Nasreen

Mohamedi (1937–1990) created a body of work that demonstrates a singular and
sustained engagement with abstraction. Her minimalist practice adds a rich layer to
our understanding of minimalism in a transnational context and to the history of
South Asian art and Indian modernism in particular.

The Metropolitan Museum of Art (The Met) inaugurated its new space, The Met
Breuer, with the retrospective of Nasreen Mohamedi (1937-1990) on March 1,
2016, Mohamedi’s paintings, drawings, photographs, and rarely-seen diaries have
been brought together from collections around the world in order to trace the
evolution of her aesthetic approach and shifts in artistic practice. With about 140
objects, the Met Breuer exhibition is the largest display of Mohamedi’s work in the
United States till date.
