MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and executed between:

The CAMARINES NORTE STATE COLLEGE, a private higher education created and existing
under the laws of the Philippines, with principal address at F. Pimentel Ave. Daet, Camarines Norte, and
represented by its President, DR. MARLO M. DE LA CRUZ, PECE, and hereinafter referred to as the
“HEI”.

and

DPWH – Camarines Norte DEO, organized and existing under and by virtue of the laws of the Republic of
the Philippines, with business address at F. Pimentel Ave, Daet, Camarines Norte represented herein by
ENGR. GUILBERT P. ROMERO, in his/her capacity as the District Engineer, and hereinafter referred to as
the “HTE”.

WITNESSETH THAT:

WHEREAS, the HEI, is a duly recognized higher education institution with a curriculum requirement
that the students enrolled therein undergo Engineering Job Immersion (OJT Program) where qualified
students will undergo industry exposure prior to their graduation in order to become adequately familiar to
the actual industrial operations and management, thereby augmenting their formal training.

WHEREAS, the HTE, supports the OJT Program of the HEI, and agrees to accept and
accommodate the qualified students of the HEI; and

WHEREAS, the HEI and the HTE shall endeavor to ensure that the OJT Program will forge strong
academic-industry linkage between them, and that it will complement existing course curricula to match
industry demand.

NOW, THEREFORE, for and in consideration of the foregoing premises, the HEI and the HTE to
hereby agree and stipulate on the following:

A. The HEI SHALL:

1. Recommend qualified students who will undergo OJT Program taking into consideration the
requirements of the HTE in terms of qualification and number of students;

2. Submit the documents required of the OJT Program to the HTE.

3. Together with the students and parents concerned, renounce and waive any claim against the
HTE for any injury that the student-trainees may sustain or any loss that they may suffer,
personal, or pecuniary, arising from the negligence in the performance of their duties and
functions while under training, except those which may arise from the willful or negligent act or
omission of the HTE, its officials, employees, representative or agents.

B. The HTE SHALL:

1. Deploy the student-trainees to the different operating units of the HTE for a period of 240 hours
for BSCE Program, unless extended upon a written agreement between the HEI and the HTE,
duly signed by their respective representatives;

2. Assign personnel, who shall orient the student-trainees on the rules and regulations of the HTE,
especially on such matters which pertain to safety and security precautions, and who shall
monitor and supervise the student-trainees.

3. Only involve the student-trainees in activities and task related to his/her field of specialization to
develop their work attitude and creative abilities to become professional employee;

4. Enforces such rules and regulations that will apply in the conduct of the OJT Program within its
premises. These rules and regulations shall be made known to the HEI and to the student-
trainees.

5. Accomplish the necessary forms (e.g. MOA, Performance Evaluation Report) required by the
HEI in connection with the training requirements of the student-trainees;
6. Issue a certificate of Completion to each student-trainee upon fulfillment of all training
requirements.

C. OTHER TERMS AND CONDITIONS:

1. It is expressly understood that there will be no employer-employee relationship between the


HTE and the student-trainee of the HEI.

2. The student-trainee shall abide by the HTE’s rules and regulations imposed under the OJT
Program; otherwise, he/she shall be excluded from further participation.

3. The HTE reserves the rights to discontinue the training of any student-trainee on reasonable
ground/s upon a 30-day written notice to the HEI.

4. The HEI may discontinue the training of any student-trainee from the HTE on reasonable
ground/s after a 30-day written notice to the HTE.

5. It is expressly understood by HEI and the student trainees that all information on technology,
manufacturing process, process standards, quality assurance methodologies, quality standards,
production capabilities, raw material purchasing, marketing, finance, and all other related
documents, manuals, operational, and technical matters that the HTE shall make available to
them shall be used for the sole purpose of student training. All of these matters are classified
as confidential in nature and proprietary to the HTE and thereby each student hereby
undertakes to prevent transfer of such information by any of its members to any party outside of
the HTE.

5. This agreement shall take effect immediately upon the signing hereof and shall continue to be
effective for a period of three (3) years, and shall be renewed by the parties upon their
expressed written consent, provided however that any of the terms and conditions in this
Agreement may be amended through a written agreement mutually consented and agreed upon
by both parties; provided further that the HTE and the HEI reserve their right to withdraw their
participation in this Agreement upon a written notice to the other, and upon mutual terms and
conditions agreed upon by both parties herein
