This Deed of Assignment is made this 17th day of July, 2020.
BETWEEN
VICTORY OCHUWA OYENIRAN of No 27, Infinity Estate, Off Addo Road, Ajah
Lagos (Herein referred to as the ‘ASSIGNOR’) which expression shall wherever the
context so admits include her, successors-in-title, assigns and receivers of the ONE
PART.

AND

LEARNED LIBRARY NIGERIA LIMITED a Private Limited Company registered


under the law of Nigeria with its head office at No. 12, Gani Olorunda Str Off Tola
Fagbenle Drive, Sangotedo, Lagos, Nigeria. (Hereinafter referred to as the ASSIGNEE)
which expression shall wherever the context so admits include its successors-in-title,
assigns and receivers of the SECOND PART.

WHEREAS:

i. The parcel of land hereinafter described and intended to be demised forms


portion of the vast area of land which from time immemorial belonged
absolutely to the OGUNSANWO family Igbo-Elerin Village Ibeju Lekki Local
Government, Lagos State, hereinafter referred to as THE PROPERTY

ii. The OGUNSANWO family became the beneficial owners of THE


PROPERTY vide inheritance from their ancestors who were the original
settlers/ founders of the land and the family is entitled to customary right of
occupancy under Yoruba Customary Law and practice.

iii. The VENDOR herein became beneficial owner of THE PROPERTY via a
Deed of Assignment dated 21st April 2010 executed her favor by the family
head, accredited representatives and principal members of OGUNSANWO
family Igbo-Elerin Village Ibeju Lekki Local Government, Lagos State.

iv. The VENDOR is the holder of Certificate of Occupancy dated 29th November
2010 with number 89 AT PAGE 89 IN VOLUME 2010 AD and Registered
Survey with Plan No: W00/LS/342B/2010 drawn by Surveyor Onasonde Jubril

v. The VENDOR has since then remains in full and active possession of THE
PROPERTY without any encumbrance, litigation, boundary issues or
disturbance from anyone or group of persons whatsoever.

vi. The ASSIGNOR is desirous of selling all its interest in the Property to the
ASSIGNEES and the ASSIGNEE isdesirous of and have agreed to purchase

the Property from the ASSIGNOR subject to the following terms

NOW IT IS HEREBY AGREED AS FOLLOWS

IN CONSIDERATION of the sum of (N8,090,000) Eight Million, Ninety Thousand


Naira only)receipt of which the ASSIGNOR hereby acknowledges. The
ASSIGNOR as BENEFICIAL OWNER hereby assign UNTO the ASSIGNEES all
that 200 plots, as shown in the layout, registered as 89 at page 89 in volume 2010 ad
Lying, Being, Situate At Lekki-Epe Express Road, Igbo-Elerin Village, Ibeju-Lekki
Local Government Area of Lagos State with all rights, easements, and things
appurtenant thereto TO HOLD the same UNTO the ASSIGNEES for the term
unexpired.

THE ASSIGNOR COVENANTS WITH THE ASSIGNEES AS FOLLOWS:

1. THE ASSIGNOR shall fully indemnify THE ASSIGNEE against all


claims, demands, loss, liability, damage, disturbance, interruption and/or
proceedings arising therefrom or due to any defects in THE ASSIGNOR
title or THE ASSIGNOR non observance or non-disclosure to the
ASSIGNEES of facts material to this agreement.
2. THE ASSIGNOR guarantees that to the best of its knowledge that The
Property is free from any acquisition, prior assignment or sale, mortgage,
charge encumbrance whatsoever.
3. THE ASSIGNOR shall assist THE ASSIGNEE in the legal facilitation of the
excision process, title rectification procedure or any other relevant
approvals in respect of the property at no additional cost.

4. That the ASSIGNEE shall have immediate, vacant, peaceful and exclusive
possession and enjoyment of the property without interruption by the
ASSIGNOR or any person claiming title through them.
5. THE ASSIGNOR further warrants that any essential document affecting
and relating to the property which should have been handed over by THE
ASSIGNOR but which is withheld from and/or not submitted to the
ASSIGNEE shall be null and void.

THE ASSIGNEES HEREBY COVENANT WITH THE ASSIGNOR as


follows:

1. The ASSIGNEE and all persons deriving title under it shall henceforth
and at all times pay all rates and charges in respect of the property and

shall perform, observe, and enforce of all conditions, covenants, and
stipulations affecting the property.

LOCAL GOVERNMENT AREA OF LAGOS STATE.
