RESOLUTION NO. 2019-5

RESOLVED, by the BOARD OF DIRECTORS of “CHICKEN WINGS POULTRY FARM,

INC.,” hereby attest that in our Board Meeting held on March 15, 2019 at the principal office of
the corporation at Seaview Heigths, Talisay City, Cebu, at which a quorum of the Board of
Directors was present, majority of the members of the Board being in attendance, the proposal
was unanimously approved and passed by the Board of Directors:

“Authorizing JONATHAN L. IMBOY to negotiate, execute, sign, and enter into a

Contract of Sale on behalf of CHICKEN WINGS POULTRY FARM pertaining to the
purchase of the following parcels of land:

1) Lot No. 2096 located at Alcantara, Cebu and covered by OCT No.
2019000427 ;

2) Lot No. 2037 located at Alcantara, Cebu and covered by Tax Declaration No.
01-0004-002345;

3) Lot No. 2097 located at Alcantara, Cebu and covered by Tax Declaration No.
01-0004-002040;

We further certify that the above resolution shall remain in force and effect until
superseded or otherwise revoked.
