despite a number of economic challenges (Euromonitor International, 2018). It

shows that Filipinos really love any kind of footwear so the business owners

decided to make a business on cleaning footwear. Shoes protect our feet from

many things and, if there is a foot condition, wearing shoes will keep feet

healthy, cut back on pain, and help promote healing. Keeping our shoes clean

is very important because it can keep us from the dirt that the shoes may bring.

Clean shoes can also be used for a long period of time especially if those pair

of shoes is our favorite. It can also let us to save money from buying again new

shoes especially if it is branded so it is really important to take good care of it.

The business about shoe cleaning was decided by the business owners

because it would bring a bring help to the consumers especially on having a

proper hygiene on having a clean pair of shoes. The business owners also

chose this because this kind of service is not commonly build by businessmen

here in the Philippines.

Clean N' Care Shoes Laundry is the name of the business because it is

about cleaning of shoes with care. It is also called laundry because it is like in

laundry shops were clothes are being cleaned and washed. Here in our

business, it is also like that but the only difference is that in our business, a shoe

is what we are going to clean and not clothes.

The nature of our business is service since it is laundry shop where the

shoes of the customers will be cleaned and handled with care.

Our business is located at Sen. Gil Puyat Avenue, Bel-Air, Makati city. We

decided to build our business nearby offices, restaurants and hotel wherein the

target market could easily see it and we are confident that our business is in a

good location to earn profit. We chose Makati because it is known as the

business capital of the Philippines where there are a lot of people, lots of nice

stores and big & tall buildings.

In our business logo, there is a shoe and brush above it. It simply shows

that our business is about cleaning shoes. Below this is our business name

"Clean N' Care Shoes Laundry" and our tagline. The color that we chose for

our logo is blue because according to the psychology of colors, when making

a logo, blue represents trust, cleanliness And also associated with authority

and success. Of course cleanliness is important here in our business since it

is about cleaning service. There should be trust from the customers so they

will let to serve them in cleaning their shoes. And most importantly the goal of

every business is the success to serve every customer to be satisfied and meet

their expectations or even exceed.

Shoes to clean and care to step with flair is our tagline and it means that

when you chose that your shoes is clean and handled with care, you can

that a person can walk normally and with confidence because of their shoes

and one of the qualities on having a confidence on walking is that having a

clean and proper care of shoes.

1. The Clean N' Care Shoe Laundry's main service is to clean with care

the shoes of its customer. The shop will ensure the cleanliness and care in

cleaning it even in a short period of time. We can clean any kind of shoes but

mostly, it is leather shoes since most of our target market is workers.

2. The Clean N' Care Shoe Laundry offers instant cleaner. If the

customers cannot come to the shop because of limited time, they can use our

CNCSL instant cleaner, just spray it to the shoes and it will become clean just

like a new shoes.

3. The Clean N' Care Shoe Laundry Shop offers an advantage card. It

costs 100 pesos and in every pair of shoes is equivalent in 1 point.

Target Market

Women

In Tamara, a senior fashion analyst's study on most preferred footwear of

women in year 2016, her respondents are aged 35 to 44. While on the survey

conducted by www.vouchercodespro.co.uk, they found out that women who

are 18 years old can already own a pair of shoes. So for the women, our target

market is ages 18-44 years old.

Men

According to the study of Steve Hawkes a Consumer Affairs Editor in 2013,

16-to-24 year-olds, with younger men spending £154, and men aged 35-to-44

spent £157 in buying shoes. So for men, our target market is ages 16-44.

Our target market for both men and women can be students,

unemployed or professionals. But mostly are professionals because our

business is located near offices, restaurants and hotels.

Employees are the target market since our business is located near

hotels, offices and restaurants and most of the population are employees. This

business will be a big help to them because as an employee, it is required to

be presentable from head to toe. They will really benefit in this business since

there are employees that tend to forget to clean their shoes because of being

in a hurry or being busy.

Our business is a service type and the thing that we offer is a service

where we are going to provide the cleanliness on our customers’ shoes. We

are going to use supplies and equipments for cleaning it. We also decided to

sell a product called CNCSL instant cleaner for the customers to be able to

clean their shoes on their own if they want to, for them to be able to clean it

even though they are in their house and they do not already need to go to our

store just to clean their shoe if they immediately need it. This kind of spray is

originally made by our business and only our store is selling it.

Price

Our business offers dry-cleaning and deodorizing (P100), removing

yellowish stains (P150), regular cleaning of leather shoes (P380), regular

cleaning of suede, nubuck, and white canvas upper (P500), and overall

cleaning (P850). And for the CNCSL instant cleaner, it is P400 with 250ml. As

of now, we only have one size but soon we will also have different sizes.

considering the social status of our target market, we chose Makati city

because the biggest concentration of the middle class is in Luzon, especially

in Metro Manila.

We will provide flyers since we are just starting a business, so that many

exists. We will also provide posters and tarpaulin in front of our store for them

new ideas on business activities that will make the customers to be

encouraged more, business owners will give them awards.

Business ownership

The business ownership of Clean N’ Care Shoe Laundry is a general

partnership because it is a legal relationship formed by the agreement between

two or more individuals to carry on a business as co-owners. Since the

business is only starting, there can be a sharing of skills and resources of the

owners and larger pool of capital. In a partnership, the share of profits depends

on partners’ investments and on agreement of partners.

I. Article of Partnership

A. Introduction

This partnership agreement is made on October 8, 2018. The partners

in this agreement are as follows: Sofia Angela B. Singson, Ashley Necole C.

Tatad, Lorelie Joy D. Ramos, Freedom T. Fagela, Masato S. Tokoro and

Nelson Alegro to form and herby do form, a partnership under the following

terms and conditions and subject to existing and applicable laws of Republic

of the Phillipines:

No one partner may make any voluntary contributions of capital to the

No partner shall lend or advance money to or advance for the

Partnership’s benefit without the approval of the other partners. If any partner,

with the requisite consent of other partners, lends money to the partnership in

addition to his or her contribution to its capital, the loan shall be a debt of the

partnership to that partner and shall bear interest at such rate as may be

agreed upon by the partners. The liability shall not be regarded as an increase

in the lending partner’s capital, and it shall not entitle such partner to any

increased share of partnership’s profits.

federal income tax return filed by the partnership for that year.

a partner’s income account, any balance or deficit remaining in such account

III. Rights and Duties of Partners

partnership, or, at such other place as the partners may, by unanimous

and on such day without notice as any partner may determine.

F. Power of Attorney

Each partner grants to other partner for such time as he remains a

partner to this Agreement, an irrevocable power of attorney for the purposes

of filling any notices or registrations as may be required by law in connection

with the existence or carrying on of the business of the partnership.

G. Banking Arrangement

The partners agree that the partnership shall enter into banking

In the event of the dissolution of the partnership, the partnership shall

terminate and a proper accounting shall be made of the capital and income

accounts of each partner and the profit or losses of the partnership to the date

of dissolution by the accounts. The assets of the partnership shall be liquidated

and the proceeds of such liquidation shall then be distributed as follows, unless

the partners otherwise unanimously agree:

a.) firstly, to repay all cost, debts, expenses, liabilities and obligations of the

partnership;

b.) secondly, to pay to each partner its share of the capital; and

c.) thirdly, to divide the surplus, if any, between the partners in the proportions

in which they are entitled to share in profits.

In the event that such liquidation proceeds shall not be sufficient to

satisfy the liabilities of the partnership, each of the partners shall contribute its

In the event that such liquidation proceeds shall not be sufficient to satisfy the

liabilities of the partnership, each of the partners shall contribute its pro rata

the liabilities of the partnership.

D. Agreement with Transferees

In the event that any partner pursuant to the terms and conditions

hereof, purports to transfer all, but not less than all, of its interest or share in

the partnership to any person, then no such transfer shall be made or shall be

effective until the transferee enters into an agreement with the other partner

hereto whereby the transferee agrees to assume and be bound by all f the

obligations of the transferor and to be subject to all of the terms and conditions

of this agreement.

E. Restraining Order

In the event that any partner shall at any time purport to transfer, charge

or mortgage its interest or share or any part thereof in the partnership in the

violation of the provisions of this Agreement, then the other partner shall, in

addition to any rights and remedies which may be available to such partner, at

law or in equity, be entitled to a decree or orer restraining or enjoining such

transfer, charge or mortgage.

purposes of convenience only and shall not form part hereof and shall not

Any notice, demand, request, agreement or approval which may or is

required to be given pursuant to this Agreement shall be in writing and shall

be sufficiently given or made if served personally upon the party or a

representative or officer of the party for whom it is intended, or mailed by

certified or registered mail, postage prepaid, or telexed, telegraph, or

telecopied, addressed at such address to such officers as a party may from

time to time advise to the other parties by notice in writing. The date of receipt

of any such notice, demand, request, consent, agreement or approval if served

personally shall deemed to be the date of delivery thereof, or if mailed as

aforesaid, the second business day following the date of mailing, or delivered

via telex, telegraph or telecopier, the business day following transmission.

C. Governing the Law

The validity and interpretation of this agreement shall be governed

exclusively by the laws of the Philippines applicable therein.

E. Effective Date

Notwithstanding the actual date of execution hereof, this Agreement

or more perfect and absolute performance of terms and conditions of this

J. Enurement

This agreement and the provisions hereof shall ensure to the benefit of

and shall be binding upon the parties hereto and their perspective successors

and permitted assigns.

K. Counterparts

This agreement may be executed in counterparts, each of which shall

be deemed to be an original and all of which taken together shall constitute

one and the same agreement.
