EMPLOYMENT AGREEMENT

(the “Employer”); and

paragraph 1 of the Schedule hereto (the
“Employee”).
NOW IT IS HEREBY AGREED AS FOLLOWS:
1. Employment
(a) The Employee shall be employed by the
Employer in the position of Sales
Manager, reporting to the [ __________ ]
or such other person as the Employer
nominates. The Employee represents that
he is fully qualified for such position and
undertakes to perform to the best of his
knowledge and ability all duties which
normally fall within the scope of this
position including without limitation those
stated in the Schedule to this Agreement.
The Employee further agrees to carry out
any other work which the Employer may
assign to him.
(b) The Employer shall have the right, subject to
the provisions of the Saudi Arabian Labor
Law and Regulations in force from time to
time during the continuance of this
Contract (the “Labor Regulations”), to
transfer the Employee to work in any
location in Saudi Arabia.
2. Remuneration
Basic Salary: SR. __________ per month
which payment is in respect of all
hours/days each month worked by the
Employee in performing his duties,
including any additional hours/days
worked.
Housing Allowance: You will be provided with a
housing allowance of SR. ________ per
month.
Car Subsidy Program: You will be eligible to
participate in the company car subsidy

Location Allowance:
You will be provided with a location
allowance of SR _______ per month
Vacation:
You are entitled to 30 (calendar) days
vacation per annum, inclusive of weekends
falling within the vacation period to be
taken in accordance with the Labor
Regulations.
Vacation Air Travel:
You will receive an annual vacation travel
allowance, equivalent to the cost of
economy class air tickets with an airline
determined by the Employer for yourself
and immediate family members residing
with you in Saudi Arabia (max. of 4
children below 21 yrs old) on the sector
Saudi Arabia / Syria / Saudi Arabia. You
may use this allowance for any air travel
tickets (to and from Saudi Arabia) for you
and your immediate family members
(parents, spouse, and/or children of any
age) up to the total cost of the entitled
tickets. The allowance will be prorated for
partial years and unused allowance during
a year can be carried over to future years.
Any unused allowance at the end of your
employment cannot be encasahed and is
forefeited.
3. Medical & Life Insurance Coverage
You will be eligible to participate in the
Employer’s medical scheme and life insurance
programs. This medical benefit is available to
you, your spouse, and your unmarried
dependent children up to age 19 or up to age
25 if a full-time student in an accredited or
recognized university. There is a nominal cost
of SR _______ per month for family coverage.
The coverage will be effective on the first day
of your employment and will remain while you
have active full-time employment with the
Employer. Further details will be provided
separately. This offer is contingent on you
successfully passing a complete physical
examination, with the report of the results
provided to the Employer’s doctor prior to
reporting for work
4. Period of Employment
(a) The Employee’s employment is for 2 years
from ______________ (“Initial Term”) and
is subject to obtaining and at all times
holding a valid work and residency permit
and to passing a complete
medical/physical examination

examined by the Saudi Arabia medical
centre upon arrival in Saudi Arabia) and
meeting all other requirements under the
Labor Regulations to work and reside in
Saudi Arabia.
(b) This Agreement shall at the sole option of
the Employer continue to be valid after
completion of the Initial Term unless
otherwise terminated by (a) the Employer
giving the Employee a 30 days written
notice or paying the Employee salary for
such period of 30 days in lieu of such
notice, and (b) the Employee giving the
Employer three (3) months’ written notice.
If the Employer does not wish to continue
the employment beyond the Initial Term it
shall advise the Employee of this before
expiry of the Initial Term.
(C) The period of 90 days immediately
following the commencement of
employment will be a probationary period
during which the Employer has the right to
terminate this Agreement without any prior
notice and payment of any compensation
or indemnity to the Employee. If the
Agreement is terminated by the Employer,
the Employer shall bear the travel
expenses for repatriation of the Employee
to the point of hire. However, should the
Employee decide to terminate this
Agreement during this period, the
Employee shall reimburse to the Employer
all expenses of the Employee relating to
his transport from the point of hire to his
place of work in the Kingdom and shall be
responsible for bearing his own costs of
transport back to his point of hire.
5. Termination
(a) Without prejudice to the Employer’s rights
under the Labor Regulations to terminate
this Agreement without indemnity, notice or
compensation, the Employer shall have
the right to terminate this Agreement at
any time without indemnity, compensation
or notice in any of the circumstances:
(i) If the Employee neglects to carry out
his duties and obligations hereunder or
commits any breach of his obligations
under this Agreement.
(ii) If, in the opinion of the Employer’s
medical adviser, the Employee
through accident or illness becomes
unable properly to fulfill his duties
hereunder.
(iii) If the Employee is convicted of any
offense under the laws and regulations
of Saudi Arabia.

‫ فيتاحمل صاحب العمل تاكاليف السفر‬،‫صاحب العمل‬
.‫اللزمة لعاداة الموظف إلى مكان استاقداامه للعمل‬
‫ إذا قرر الموظف إنهاء هذه‬،‫على الرغم من ذلك‬
‫ يقوم الموظف بتاعويض‬،‫التافاقية خلل هذه الفتارة‬
‫صاحب العمل مقابل تاكاليف نقله من مكان إقامتاه إلى‬
‫ كما‬،‫مكان العمل في المملكة العربية السعوداية‬
.‫يتاحمل تاكاليف سفره إلى مكان إقامتاه‬
:‫ إنهاء التفاقية‬-5
‫)أ( داون الخلل بحقوق صاحب العمل التاي تامنحها له‬
‫لوائح العمل والمتاعلقة بإنهاء هذه التافاقية داون دافع‬
‫ يحق لصاحب العمل إنهاء‬،‫تاعويض أو تاقدايم إخطار‬
‫هذه التافاقية في أي وقت داون تاعويض أو إخطار في‬
:‫أي من الظروف التاالية‬
‫( في حالة إهمال الموظف لتاأداية مهامه والتازاماتاه الوارداة‬1)
‫فيما بعدا في هذه التافاقية أو في حالة إخلله بأي من‬
.‫التازاماتاه وفقا لهذه التافاقية‬
‫( في حالة صار الموظف غير قادار –حسب رأي‬2)
‫ على تاأداية واجباتاه‬-‫المستاشار الطبي لصاحب العمل‬
.‫وفقا لهذه التافاقية وذلك بسبب حاداث أو مرض‬
‫( في حالة إداانة الموظف بأية تاهمة وفق قوانين ولوائح‬3)
.‫المملكة العربية السعوداية‬
‫( في حال ما طلبت الحكومة السعوداية أو أية جهة رسمية‬4)
‫بها من صاحب العمل تانحية الموظف عن عمله أو‬
.‫إبعاداه عن المملكة العربية السعوداية كلها‬
‫( في حال عجز الموظف عن اللتازام بأي من القوانين أو‬5)
‫اللوائح أو التاعليمات التاي يصدارها صاحب العمل‬
.‫من وقت لخر‬

(iv) If the Employer is required by the
Government or other official authority
in Saudi Arabia to remove the
Employee from his place of work or
from Saudi Arabia.
(v) If the Employee fails to observe any of
the rules, regulations or instructions
issued by the Employer from time to
time.
(vi) If the Employee engages in dishonesty or
disorderly conduct, including being
under the influence of alcohol or
narcotics.
6. Responsibilities of the Employee
(a) Without prejudice to the responsibilities and
obligations imposed by the Labor
Regulations, the Employee undertakes to
devote the whole of his time and attention
to his duties hereunder and to comply with
all rules, regulations, orders and
instructions prevailing in the Kingdom and
with all instructions, directions and orders
issued by or on behalf of the Employer.
(b) The Employee undertakes not to engage in
any other employment during the validity
of this Agreement without the prior written
authorization of the Employer or activity
which is prejudicial to the interests of the
Employer or which interferes with the
performance of his job, whether within or
outside the Employer’s working hours.
(c) The Employee agrees that during his
employment or after the termination of his
employment he shall not use or disclose to
any person, firm or company any
information or document relating to any of
the affairs or secrets of the Employer or to
the nature of any transactions or dealings
which have been undertaken by or on
behalf of the Employer.
(d) It shall be the obligation of the Employee
hereunder to obtain and maintain all
necessary official licenses and
authorizations to enable him to perform his
duties hereunder.
7. Non-competition
Without prejudice to and in addition to the
obligations on the Employee imposed by the
Labor Regulations, the Employee irrevocably
and unconditionally agrees that during his
employment and during the twelve (12) month
period from the date his employment ceases by
(i) his resignation; or (ii) for a reason stated in
clause 5 or Article 80 of the Labor Regulations ;
or (iii) termination of employment by the

‫السعوداية وبكافة التاعليمات والتاوجيهات والوامر‬
.‫التاي حيصدارها صاحب العمل أو من ينوب عنه‬
‫يتاعهدا الموظف بعدام الداخول في أي عمل آخر خلل‬ (2 )
‫مداة سريان هذه التافاقية داون الحصول على تاصريح‬
‫ أو مزاولة أي نشاط‬،‫كتاابي مسبق من صاحب العمل‬
‫من شأنه الضرار بمصالح صاحب العمل أو التاداخل‬
‫في أدااء وظيفتاه سواء كان ذلك خلل ساعات عمل‬
.‫الموظف أو خارجها‬
‫يوافق الموظف على أنه خلل مداة تاوظيفه أو بعدا‬ (3 )
‫إنهاء تاوظيفه لن يستاخدام أو يفشي لي شخص أو‬
‫منشأة أو شركة أية معلومات أو وثائق خاصة بأي‬
‫من شؤون أو أسرار صاحب العمل أو طبيعة أية‬
‫صفقات أو تاعاملت يتام إجراؤها من قبل صاحب‬
.‫العمل أو نيابة عنه‬
‫يتاحمل الموظف بموجب هذه التافاقية مسؤولية‬ (4 )
‫الحصول على جميع الرخص والتاصاريح الرسمية‬
‫اللزمة لقيامه بأدااء مهامه وفقا لهذه التافاقية‬
.‫والحفاظ عليها سارية‬
‫ عدم المنافسة‬-7
‫داون المساس بالتازامات الموظف التاي يفرضها عليه قانون‬
‫ يوافق الموظف بشكل غير مشروط‬،‫العمل وبالضافة إليها‬
‫وغير قابل للرجوع بأنه خلل عمله وخلل مداة اثني عشر‬
‫( شهمرا اعتابامرا من تااريخ انتاهاء عمله سواء من خلل‬12)
‫( لسبب من السباب المنصوص عليها‬2) .‫( الستاقالة‬1)
‫( من قانون‬80) ‫( من الماداة الثمانين‬5) ‫في الفقرة الخامسة‬
‫( إنهاء عمل الموظف من قبل صاحب العمل‬3) .‫العمل‬

‫داون موافقة كتاابية مسبقة من صاحب العمل سواء كان ذلك‬

‫( المشاركة في ملكية أو إداارة أو تاشغيل أو الرقابة على‬1
.‫أي من الكيانات التاجارية المنافسة أو المورداين الرئيسيين‬
‫( التاوظيف لداى الكيانات التاجارية المنافسة أو المورداين‬2)

Employer for willful or intentional persistent
and/or substantial breach or non-performance of
this employment contract and/or duties or
obligations to the Employer, he shall not in or in
relation to the Kingdom of Saudi Arabia, without
the prior written consent of the Employer,
directly or indirectly, and whether for
compensation or otherwise: (i) Participate in the
ownership, management, operation or control of
any Competing Business or Core Supplier; or,
(ii) Be employed by or connected in any manner
with any Competing Business or Core Supplier;
and/or (iii) Assist any person, company or legal
entity to establish a Competing Business.
“Competing Business” means a business that
competes with the business of the Employer.
“Core Supplier” means any supplier of goods
and/or services to the Employer which is in the
reasonable opinion of the Employer material to
the Employer’s business, for example, because
of the duration and/or exclusive nature of
relationship, volume, brand, profit margin,
market potential or strategic importance.
8. Non-Solicitation
Without prejudice to and in addition to the
obligations imposed on the Employee by the
Labor Regulations during the Employee’s
employment and continuing for twenty-four
months after the cessation of the employment,
the Employee shall not, without the Employer’s
prior written consent, directly or indirectly, as a
sole proprietor, member of a partnership,
stockholder, investor, officer or director of a
corporation, or as an employee, associate,
consultant or agent of any person, partnership,
corporation or other business organization or
entity (i) solicit or endeavour to entice away
from the Employer, any person or entity who is,
or was on the date of this Agreement, employed
by, or serving as a key consultant of the
Employer or (ii) solicit or endeavour to entice
away from the Employer, any person or entity
who is, or was on the date of this Agreement, a
customer or client (or reasonably anticipated to
become a customer or client) of the Employer.
9. Confidential Information
Without prejudice to and in addition to
obligations imposed on the Employee by the
Labor Regulations, the Employee
unconditionally undertake to the Employer that
during his employment and at all times after it
has ended for any reason you shall: (i) Not
disclose Confidential Information to anyone
outside the Employer except as necessary to
perform his duties, and (ii) Use, copy, store and
handle Confidential Information in accordance
with the Employers regulations, and without
prejudice to the requirements of any specific
regulation, generally use all reasonable care to
ensure Confidential Information in his

‫ل لي شخص أو شركة تاضامن أو‬ ‫مستاشامرا أو وكي م‬

‫المعلومات السرية لي شخص غير صاحب العمل عداا ما‬
‫( استاخداام وتاصوير‬2) .‫تاقتاضيه الضرورة للقيام بواجباتاه‬
‫وتاخزين المعلومات السرية والتاعامل معها وفقا لقواعدا ذلك‬
‫ وبذل كامل العناية المعقولة لضمان‬،‫لداى صاحب العمل‬
‫الحفظ المن للمعلومات السرية التاي في حوزتاه وحمايتاها‬
‫ وذلك داون‬،‫من الستاخداام أو الفشاء غير المصرح به‬
‫ "المعلومات‬.‫المساس بمتاطلبات أية قواعدا خاصة أخرى‬
‫السرية" وهي المعلومات غير العامة التاي تاكون في أي‬
‫صيغة سواء تام تاطويرها جزئيا أو كليا من قبل الموظف أو‬
‫نمت إلى عمله أو حصل عليها بأية وسيلة وبأي شكل )بما‬
‫في ذلك الستانتااج( وسواء كان ذلك بعلم صاحب العمل‬

possession or under his control is kept safe
from unauthorized disclosure and/or use.
“Confidential Information” means non-public
information in any form developed in whole or
part by you or which becomes known to or is
acquired by the Employee by any means or in
any manner (including by inference) and
whether with or without the knowledge and
permission of the Employer, and which (i) Is
commercially valuable and not generally known
outside the Employer or any of its affiliated
companies (within or outside Kingdom of Saudi
Arabia); and/or (ii) Relates to the Employer or
any of its affiliate companies or their respective
businesses, assets, liabilities, employees,
goodwill, plans, past, present or prospective
customers, manufacturing processes, marketing
data, acquisition targets or strategic business
alliances or expansion plans; and is either (a)
Marked or otherwise identified at the time of
disclosure, acquisition or acquirement as
confidential and/or proprietary; or (b) Is not so
marked or identified, but is from its nature or the
circumstances in which it was disclosed to, or
acquired by or became known to the Employee,
is information that a competent and
experienced person performing the Employee’s
duties would recognized or regard as non-public
commercially valuable or proprietary
information of the Employer or an affiliate
company.
10. Liquidated Damages
In case of violation by the Employee of any
provision of the Non-Compete or Non-
Solicitation or Confidentiality covenants herein,
then, without prejudice to the Employer’s right to
seek a temporary or permanent injunction to
restrain a breach of obligation, you will be liable
to pay to the Employer a lump sum equal to six
months basic salary in lieu of pre-agreed
compensation, not subject to reduction or
modification, and without prejudice to the
Employer’s right to claim actual damages
suffered, if higher than the liquidated damages
11. General Provisions
(a) This Agreement shall be governed in all
respects by the laws and regulations of Saudi
Arabia and the Labor Regulations shall be
the sole reference in all matters not explicitly
stated in this agreement.
(b) The Gregorian calendar shall be the only basis
for all dates and periods referred to in this
Agreement.
(c) The Employee’s point of hire shall be the
location of the Employee’s main residence
immediately preceding his entering into this
Agreement.

‫أصولها أو مسؤولياتاها أو موظفيها أو شهرتاها التاجارية أو‬
‫خططها أو عملئها السابقين أو الحاليين أو المرتاقبين أو‬
‫عمليات النتااج بها أو بيانات التاسويق أو مستاهدافات‬
‫الستاحواذ أو التاحالفات التاجارية الستاراتايجية أو خطط‬
(‫ )أ‬:‫ والتاي تاكون من أي من الفئتاين التااليتاين‬،‫التاوسع‬
‫المعلومات المبين عليها كتاابة أو بأي شكل آخر أنها‬
‫أو سرية في وقت الفصاح عنها‬/‫معلومات خاصة و‬
‫ )ب( المعلومات غير المبين‬.‫للموظف أو حصوله عليها‬
‫أو‬/‫عليها كتاابة أو بأي شكل آخر أنها معلومات خاصة و‬
‫سرية ولكنها نظمرا لطبيعتاها أو الظروف التاي تام الفصاح‬
‫عنها للموظف فيها أو حصوله عليها تاعتابر معلومات من‬
‫البدايهي لشخص مختاص وذي خبرة يقوم بواجبات‬
‫الموظف النظر إليها أو اعتابارها معلومات غير عامة‬
‫وذات قيمة تاجارية أو خاصة بصاحب العمل والشركات‬

‫التعويضات النقدية‬ -10
‫في حال إخلل الموظف بأي من أحكام بنودا عدام المنافسة‬
‫أو عدام الستاقطاب أو السرية المنصوص عليها في هذه‬
‫ داون المساس بحقه في طلب‬-‫ فيتاحمل الموظف‬،‫التافاقية‬
‫الحصول على أمر قضائي مانع مؤقت أو نهائي لوقف‬
‫ مسؤولية سداادا مبلغ إجمالي لصاحب‬-‫الخلل باللتازام‬
‫العمل بواقع ستاة أشهر من الراتاب الساسي كتاعويض‬
‫ مع عدام جواز خفض أو تاغيير هذه‬،‫متافق عليه مسبقا‬
‫ وداون المساس بحق صاحب العمل في المطالبة‬،‫القيمة‬
‫بالتاعويضات عن الخسائر الفعلية المتاكبداة إذا ما كانت أكبر‬
.‫من هذه التاعويضات النقداية‬
‫أحكام عامة‬ -11
‫تاخضع هذه التافاقية في جميع جوانبها لقوانين ولوائح‬ (1 )
‫المملكة العربية السعوداية ويكون قانون العمل ويكون‬
‫المرجع الوحيدا لما ينشأ من أمور غير مبينة بوضوح‬
