Please read and carefully consider the Terms and Conditions covering this sale:
A. Proposal. Our proposal is made in accordance with the interpretation of the plans, specifications or verbal advice of the customer; the
equipment, accessories, parts or services we shall supply shall be limited to those offered in this proposal and/or those confirmed by the
customer’s Purchase Order (P.O.) or Conforme. All clerical errors in the proposal shall be corrected if necessary.

B. Quoted items are subject to prior sale. Items are reserved only with the receipt of downpayment. Order Acceptance. Acceptance of
orders placed by the buyer, whether indent of forward sale or ex-stock shall be subject to the existing terms and conditions at the time of
order. No other terms and conditions shall apply unless expressly accepted by our company in writing, or agreed upon prior to the orders of
confirmation.

C. Delivery. Delivery is included. Delivery service limited to transporting the units from our yard and lifting the unit/s from the truck to
ground level  at the customer's designated delivery address.  Rigging, hoisting, lifting or hauling work required for bringing the gensets into
basements, inner premises or higher/top floors are NOT included, but may be availed of at a separate/additional charge.  Please give at least
2 days notice should you desire to avail of these services so that we may send the necessary equipment and personnel with the delivery.

D. Commissioning and Testing. Only labor shall be supplied free of charge. Materials such as fuel, lube oil, water DCA coolant,
transportable resistive load bank for load testing if required, as well as other testing consumables necessary are not included
and shall be supplied by the customer.
E. Installation Work. Mounting, positioning, wiring and other installation work are NOT included in this proposal but are available upon
customer request, and will be quoted and charged separately.

F. Delivery Date. Counting of days to delivery dates begin only upon receipt of downpayment, which confirms the contract. For check
payments, counting begins only upon clearance of the check at our bank. Completion dates are best estimates during the time of order
placement. We are not liable for damages, direct or indirect, caused by delays in delivery or non-performance of the order that are a result of
circumstances beyond our control, including acts of God or nature, civil war, strikes and riots, etc., as well as disruption in the delivery and
performance schedules of third party suppliers.

G. Payments and Terms. Customer agrees that the unit/s herein quoted remain to be the property of Frontier Power Technologies until full
payment is made. Partial payments made will be applied as unit rental fees and/or payments for transportation charges, costs of money, etc.
in favor of Frontier Power Technologies, should the customer fail to remit full payments or fund check payments made for the generator set,
30 days from the time of delivery.

H. Delayed/Re-scheduled Deliveries. For delays and reschedules in deliveries for reasons other than ours, we reserve the right to demand
and collect for applicable costs, including but not limited to storage fees, transportation fees, labor costs, opportunity costs, etc.
I. Cancellation. In case of cancellation of order for reasons other than ours, payments will be refunded less all applicable charges,
including but not limited to the cancellation charge, which is equivalent to 25% of the total contract price. We reserve the right to deem the
order cancelled if full payment is not received within 30 days from presentation of shipping documents or notice of availability, whichever is
applicable.
