NO CONFLICT OF INTEREST STATEMENT

I, Name, in my capacity as the (“Company”), with principal office address address after having been duly
sworn in accordance with law, do hereby depose, state, and certify that:

1. I have full and complete authority to represent the Company and execute this No Conflict of Interest
Statement (the “Statement”).

2. The Company [has entered] into a business transaction with the AboitizPower Group through the
provision of goods or services to [Davao Light and Power Co., Inc.] (the “Transaction”).

3. None of the Company’s officers, directors, controlling stockholders, members, or employees with a rank of
a manager (or its equivalent position) and higher (“Key Personnel”) are related by consanguinity or
affinity, up to the third civil degree, with any officer, director or employee of Aboitiz Power Corporation, or
any of its subsidiaries or affiliates.

4. None of the Key Personnel have granted, sought, attempted to obtain, or accepted, or will grant, seek,
attempt to obtain, or accept, any advantage, financial or in whatever form or kind, to or from any party
whatsoever, constituting an illegal, unethical, or corrupt practice, either directly or indirectly, as an
incentive or reward relating to the award or implementation of the Transaction.

5. I undertake to, promptly and without delay, notify or cause to notify the [Davao Light and Power Co., Inc.]
in the event that my personal relationship, or that of the Company’s Key Personnel, with any officer,
director or employee of Aboitiz Power Corporation or its subsidiaries or affiliates is altered at any time
during the period of the Transaction.

6. I acknowledge that my failure to truthfully disclose the information required under the Conflict of Interest
Form (the “Form”), a copy of which is attached hereto and made an integral part hereof, may result in the
disqualification of the Company to proceed or continue with its Transaction, or any other transaction or
form of arrangement, with the AboitizPower Group.

7. I acknowledge and accept that the AboitizPower Group reserves the right to verify all information
contained in the Form and the Statement, and in this regard, confirm that the Company has full authority
and all relevant consents and waivers required under applicable laws and contracts, to disclose all
information contained in the Form and the Statement.

8. I am executing this statement to attest to the truth of the foregoing and in compliance with the
requirements of the AboitizPower Group.
