SECTION 1A - SUMMARY OF THE WORKS 1A-1

1A-1 SCOPE OF THE WORKS

 The erection and successful completion of a one-storey New Blasting and Painting Workshop having a gross
floor area of approximately 1,000 m2 including an internal blasting hall (240 m2 area x 7.0m high) for both
automatic and manual grit recovery blasting systems, a internal paint spray room 9240 m2 x 7.0m ht) with
water wash extraction system (supplied by Company) and associated MCC room, offices, furniture and
delivery and load out areas. Other external works involves; compressor building, offloading A-Frame structure,
elevated water tank, diesel storage shed, sewage sump, drains, external lighting and concrete road.

Materials

Contractor shall supply all materials required for the completion of the works regardless of
whether such materials are stated in the specification or shown on the drawings.

1A-2 LOCATION OF SITE

a. The location of the site is that parcel of land that belongs to the Company at CSG facility in
Escravos, Nigeria.

1A-3 ACCESS OF SITE

a. The access to the site is by air or by boat.

1A-4 VISIT SITE

a. The Contractor is to visit the site by appointment with the Company and to acquaint himself with
local conditions, nature of the existing roads or other means of communication, access to the
Works, and available land for storage or other purposes (within or without the site), the nature of
the ground and subsoil to be excavated and the position of approved soil tips. The Contractor is
also to obtain his own information as to the availability of sand, aggregate, fresh water and all
other materials required for the Works. No claim resulting from failure to comply with the
conditions of this clause nor from want of knowledge will be entertained.

1A-5 RESTRICTIONS IN USE OF SITE, ETC.

a. The Contractor shall confine his activities and those of his workpeople to the confines of the site.
The Contractor shall not allow his workpeople to trespass onto neighboring sites or other areas of
Company property and shall be responsible for keeping unauthorized persons from trespassing on
the site. The Contractor shall not without the express permission of the Company's Representative
permit the loading or unloading of materials on the site outside normal working hours and he shall
endeavor to keep noise to a minimum throughout the Contract to avoid causing nuisance to staff
of the Company or occupants of adjoining or adjacent buildings and property.

1A-6 CARE OF EXISTING INSTALLATIONS AND WORKS

a. The Contractor will be held responsible for protecting and maintaining all pipes, ducts and cables
met in excavations for keeping all ditches, gullies and channels clear and unobstructed and for
making good any damage caused to public or private buildings, installations, roads, paths, curbs
and drains and is to pay all costs and charges incurred. The Contractor's and subcontractors'
vehicles shall not be parked on any public highway or private roadway.

1A-7 AGREEMENT DOCUMENTS

a. Within ten days after the execution of the Construction Contract, the Company's Representative
without charge to the Contractor shall furnish him with:

l) One copy certified on behalf of the Company of the Construction Agreement and of the
Terms and Conditions.

2) Three copies of the full-size Contract Drawings, and one half-size.

3) Three copies of the Specifications.

b. As and when from time to time or as may be necessary, the Company's Representative, without
charge to the Contractor, shall furnish him with two copies of such drawings or details as are
reasonably necessary either to explain and amplify the Contract Drawings or to enable the
Contractor to carry out and complete the works.

c. The Contractor shall maintain one complete set of documents and drawings at the job site so as to
be available to the Company's Representative at all reasonable times. All drawings maintained or
in use by the Contractor at the site shall be those stamped “Approved for Construction,” issued by
Company and endorsed by Company’s representative. Contractor shall not use any drawings
which are not stamped and endorsed by Company representative.

d. Thirty days after the execution of this Agreement the Contractor without charge to the Company
shall furnish the Company's Representative (unless he shall have been previously furnished) with
a schedule of the rates upon which the Contractor's estimate was based. Such schedule is
hereinafter referred to as "The Schedule of Rates."

e. Upon final payment, the Contractor shall if so requested by the Company's Representative
forthwith return to the Company's Representative all drawings, details, specifications, descriptive
schedules and other documents of a like nature which bear his name.

f. None of the documents hereinbefore mentioned shall be used by the Contractor for any purpose
other than .this Agreement.

1A-8 LEVELS AND SETTING OUT OF THE WORKS

The Contractor shall establish any levels required for the execution of the Work. These shall be verified
and approved by Company’s Representative. The Contractor shall be responsible for and shall entirely at
his own cost amend any errors arising from his own inaccurate setting out.

1A-9 MATERIALS, GOODS AND WORKMANSHIP TO CONFORM TO DESCRIPTION, TESTING


AND INSPECTION

a. All materials, goods and workmanship shall be of the respective kinds and standards described in
the Specification.

b. The Contractor shall upon the request of the Company's Representative furnish original vouchers
to prove that the materials and goods comply with the specifications.

c. The Company's Representative may issue instructions requiring the Contractor to open up for
inspection any work covered up or to arrange for or carry out any test of any materials or goods
(whether or not already incorporated in the Works) or of any executed work. The cost of such
opening up or testing (together with the cost of making good in consequence thereof) shall be
added to the lump Sum unless provided for in the Specification or unless the inspection or test
shows that the work, materials or goods are not in accordance with this Contract.

d. The Company's Representative may issue instructions in regard to the removal from the site of
any work, materials or goods which are not in accordance with the contract.

1A-10 CONTRACTOR'S CONSTRUCTION REPRESENTATIVE

Contractor shall maintain an English speaking Construction Representative in the field at all times who
shall act in full charge of Contractor's work and maintain field liaison between Contractor and Company's
Construction Representative.

Examples of his functions are to:

a. Represent Contractor in matters pertaining to construction quality, performance schedule and


accounting practice.

b. Represent Contractor during tests, including but not limited to all tests related to acceptance of
the facility.

c. Receive materials from Company as provided in this specification.

d. Negotiate and approve for Contractor the adjustment in compensation due Contractor arising from
a change.

1A-11 OMITTED

1A-12 ACCESS FOR COMPANY'S REPRESENTATIVE TO THE WORKS

The Company's Representative and his representatives shall at all reasonable times have access to the
Works and to the workshops or other places of the Contractor where work is being prepared for the
Contract, and when work is to be so prepared in workshops or other places of a subcontractor, the
Contractor shall by a term in the subcontract secure a similar right of access to those workshops or places
for the Company's Representative and his representatives and shall do all things reasonably necessary to
make such right effective.

1A-13 COMPANY'S CONSTRUCTION REPRESENTATIVE:

a. Company will maintain a Construction Representative in the field who will be the only Company
employee in the field authorized to represent Company with respect to the work.

b. Examples of his functions are to:

1) Establish and maintain field liaison between Contractor's Construction Representative


and Company.

2) Review Contractor's construction schedule.

3) Provide drawings and other detailed information.

4) Explain drawings and specifications as required.

5) Make such inspections as Company may desire in order to check the


quality and progress of the work.

1A-14 QUALITY AND QUANTITY OF WORK

a. Intent: The Facilities shall be complete in every respect, constructed in accordance with generally
accepted, current good practices of all the trades involved and the detailed requirements of this
Specification and ready to operate in the manner expressed or implied herein, regardless of
whether or not full details of such completeness or practices are contained herein.

b. Errors and Omissions: The specifications and drawings are not complete in every detail and
Contractor shall comply with their true intent taken as a whole, and shall not avail himself of any
errors or omissions to the detriment of the work. Should any error, omission or discrepancy
appear in drawings, specifications and instructions, Contractor shall notify Company prior to
submission
of tender, and Company will issue instructions to be followed. If Contractor proceeds prior to
receiving such instructions, necessary corrections shall be at Contractor's expense. Anything not
indicated on the drawings or specified in the specifications which is necessary for full and faithful
construction of the facility in accordance with the true intent of this Agreement or anything
indicated on the drawings but not specified, or vice versa, shall be provided and incorporated at
the expense of Contractor to the same extent as though fully set forth in both the drawings and the
specifications.

c. The specifications indicate qualities of materials and methods of workmanship, and the drawings
indicate dimensions, quantities, positions and details of construction. Figured dimensions take
precedence over scaled measurements; and supplementary details or instructions, revisions of a
later date, and addends take precedence over the original information and earlier addends. In case

of ambiguity in quantity or quality, the greater quantity or better quality shall govern.

1A-15 MATERIALS AND GOODS UNFIXED OR OFF-SITE

a. Unfixed materials and goods delivered to, placed on or adjacent to the works and intended
therefore shall not be removed except for use upon the Works unless the Company's
Representative has consented in writing to such removal which consent shall not be unreasonably
withheld. Where the value of any such materials or goods has been included in any Interim
Certificate under which the Contractor has received payment, such materials and goods shall
become the property of the Company. The Contractor shall take due care to ensure against loss or
damage.

b. Where the value of any materials or goods stored off site by prior agreement of Company has
been included in any Interim Certificate under which the Contractor has received payment, such
materials and goods shall become the property of the Company, and thereafter the Contractor
shall not, except for use upon the Works, remove or cause or permit the same to be moved or
removed from the premises where they are, but the Contractor shall nevertheless be responsible
for the cost of storage, handling and insurance of the same until such time as they are delivered to
an placed on or adjacent to the Works. Such premises shall be inspected and approved by
Company’s representative prior to their use and shall completely separate; with a lockable
weatherproof enclosure, all of Company’s materials from any other materials stored or owned by
Contractor. All materials which are the property of Company shall be clearly marked or labeled
“Property of Chevron Nigeria Ltd.”

1A-16 DELAYS, SUSPENSIONS AND EXTENSIONS

a. Refer to Section 3 of the Terms and Conditions.

b. On the Date for Commencement stated in "Exhibit A", possession of the site shall be given to the
Contractor who shall thereupon begin the Works and regularly and diligently proceed with the
same, and who shall complete the same on or before the Completion date stated in "Exhibit A".

1A-17 ARTISTS AND TRADESMEN

a. The Contractor shall permit the execution of work not forming part of this Agreement by artists,
tradesmen or others engaged by the Company. Every such person shall be deemed to be a person
for whom the Company is responsible and not to be a subcontractor.

1A-18 LIGHTING AND PROTECTING THE WORKS

a. The Contractor is to provide all necessary lighting and protection by day and night for the Works
and the site and surrounding properties as required during the period of the Contract including
Sundays and Holidays and is to make good any loss or damage caused by his neglect of such
provision. Include for covering up and protecting from injury from any cause whatsoever all new
work including the provision of temporary doors, protection to windows and any other requisite
protection for the whole of the Works and make good any damage caused. Include for protecting

all projecting sills and moldings, all concrete and other steps and pavings during the progress of
the work by rough timber casings securely fixed and make good all damage. Include for
protecting all joinery and make good all damage. On completion, ensure that doors, windows,
ironmongery and all moving and mechanical parts whatsoever are left in sound working order.

1A-19 SURFACE AND SPRING WATER

a. All water which may accumulate on site during the progress of the Works or in trenches or
excavations from springs, rain, drains or other causes is to be removed at the Contractor's expense
by pumping, bailing or other means to the requirements of the Company's Representative.

1A-20 ADVERTISEMENTS

a. The Contractor shall not erect or fix, or allow to be erected or fixed any advertisement of
whatsoever kind to any part of the site or the Works thereon.

1A-21 NOTICE BOARD

a. The Contractor shall include for erecting two approved boards at locations to be indicated by the
Company's Representative and in accordance with tender drawings. The Contractor is to make
due allowance for all fees and charges arising from this item.

1A-22 WORK BY OTHERS

NOT USED

1A-23 SECURITY

Contractor to provide all necessary security personnel on the construction site during the entire
construction period. The contractor will be responsible for ensuring that all materials and equipment are
protected from damage or malfunction through the elements or by the action of workmen or others gaining
access to the site of the work.

1A-24 TERMS AND CONDITIONS

Refer to the Terms and Conditions of the Agreement that control all work on this project.

1A-25 INSTRUCTION - MAINTENANCE MANUALS

Within six (6) weeks of practical completion of the project CONTRACTOR shall furnish COMPANY with
as built drawings for each discipline comprising 1 set A1 paper, 2 sets A3 paper and one complete set
submitted in AutoCad 14 format and presented on 100MB IOMEGA ZIP disks, together with three sets of
Instruction Manuals, maintenance procedures and vendor recommended 2 years spare parts list on each of
the following:
Building Control System
Security System
Fire Protection System
Mechanical System (HVAC)
Plumbing System (including sewage treatment)
Electrical (including telecommunications)

The manuals shall be hard canvas binders, indexed and shall include plans, elevations, isometrics as
necessary, manufacturers' catalogs and instructions to clearly indicate operation and function of the
systems."

1A-26 CONTRACTORS PERSONNEL

Prior to commencement Contractor shall submit to Company a schedule of key personnel proposed to
carry out and supervise the construction works together with an organization chart noting position and
responsibilities.

Full details of all key personnel shall be provided including qualifications, previous experience and length
of service with Contractor.

Company reserves the right to reject any personnel which do not meet Company’s minimum qualification
and experience requirements as listed below (Section 1A-27 items 1 through 10).

1A-27 COMPANY’S MINIMUM QUALIFICATIONS FOR CONTRACTOR’S PERSONNEL

1. SITE MANAGER

Must possess a degree in civil engineering or construction and a minimum of 10 years


experience in the construction industry, 5 years of which must be international/overseas or
HND and 15 years experience 5 years of which must be international/overseas.

Should have a brief resume stating personal information, experience summary, references and
personal safety record. This resume must include direct supervision of at least three major
construction projects during the last five years.

2. GENERAL SUPERINTENDENT

Must have a minimum of ten (10) years experience in the construction industry.

Should have a brief resume stating personal information, experience summary, references and
personal safety record. This resume must include direct supervision of at least three (3) major
construction projects during the last five (5) years.

3. SENIOR SUPERVISOR

Must possess at least an OND or equivalent of a full City and Guilds of London certificate and a
minimum of 8 years experience in the construction industry.

Senior inspector shall at least meet the qualifications of one of the other supervisors and have a
brief resume stating personal information, experience summary, references, personal safety record
and show supervision along with training qualifications for duties related to specified trade.

4. CIVIL/STRUCTURAL SUPERVISOR

Must possess an HND or equivalent in construction and evidence of a five year indentured
apprenticeship with a reputable company and minimum 8 years experience in construction.
Should have experience and working knowledge of preparing materials take-offs. Setting out,
concrete sampling and testing, compaction tests of soils and working knowledge of construction
drawings and British and U.S. specifications standards and codes of practice.

5. ELECTRICAL SUPERVISOR/FOREMAN

Must possess an HND or equivalent in construction and evidence of a five year indentured
apprenticeship with a reputable company and minimum 8 years experience in construction.
Should have experience and working knowledge of preparing materials take-offs, construction
drawings, British and U.S. specifications standards and codes of practice including IEE
regulations, ANSI specifications and API practices. Must have experience with high, medium
and low voltage equipment, testing and pre commissioning procedures for motors, alternators,
switchgear, cables and transformers.

6. MECHANICAL SUPERVISOR

Must possess an HND or equivalent in construction and evidence of a five year indentured
apprenticeship with a reputable company and minimum 8 years experience in construction.
Should have experience and working knowledge of preparing materials take-offs, construction
drawings, British and U.S. specifications standards and codes of practice, construction of
ventilating and air conditioning systems, thermal insulation, fine protection, piping systems and
testing and pre commissioning procedures for compressors, pumps and drivers, cranes, meters and
other mechanical equipment.

7. HELPER (National - All Trade)

A minimum of one (1) year experience in construction industry with a minimum of six (6) months
full time employment by Contractor prior to being allowed to work offshore is required. This
allows continuity for individual contractors safe work program and technical procedures and basic
requirements for employment showing qualification to duties related to specific trade.

8. PAINT FOREMAN

Should have a minimum of six (6) years experience with construction industry coating systems
along with training qualifications for duties related to specific trade.

9. CRANE OPERATOR

A minimum of five (5) years of experience with construction is required. Should be tested and
certified by approved instructor. Should have a brief resume stating personal information,
experience summary, list of clients, references and personal safety record showing qualification
for duties related to specific trade.

10. SURVEYOR

Must possess and HND or equivalent in land surveying and a minimum of 8 years experience in
surveying/construction.
