• Provision of safety supervisor.
• Substation accessories such as fire extinguishers, rubber mat, framed SLD, danger sign, etc.
• Switchboard floor frame.
• Equipotential bonding cable to the nearest main earth bar for all exposed metallic equipment and structure.
• Earthing cable between the nearest ground bar and switchboard earth bar.

ANNEXURE: D COMMERCIAL TERMS & CONDITIONS

PRICES

Quoted Prices are Ex works Kundli, Sonipat, Haryana.


The prices are to be understood for the entire scope offered by us. We reserve the right to change our prices in case of
change in technical arrangements. Tests at site are not included in our offer.
All costs for client or third party inspections including air fare, hotel accommodation, living expenses etc. have to be
borne by the purchaser.
Please note that offered prices are valid for the above project only for the quoted validity.

TERMS OF PAYMENT
30% of the total contract price as interest free Advance within 1 week of issue of LOI/PO, Balance 70% after submission
Performa Invoice against readiness of Switchboards.

DELIVERY TIME
Delivery on Ex works basis can be made within 12-16 working weeks after receipt of uninterrupted manufacturing
clearance along with approved drawings. The above delivery time is given in good faith, based on present indications of
workshop loading and must be confirmed when placing an order.

The delivery time is based on:


A technically and commercially clear order, within the validity period of this quotation comprising full and final
information allowing us to start and proceed uninterrupted with design and production.

In case any of the above is delayed beyond the date agreed upon in the contract, we reserve the right for a
corresponding delay in delivery and adjustment of the price if necessary. The present rate is 0.5 % price increase per
month postponement.

PACKING & FORWARDING


Material will be supplied in suitable packing. Stretched Polythene & cardboard packing will be provided FOC.
In case of wooden packing, Crate packing OR Sea worthy packing requirement, need to be specified and shall be charged
extra unless specified and confirmed from our side.

FREIGHT
Above quoted prices are Ex-works prices. Applicable freight upto the required site / destination will be extra.

WARRANTY
We stand guarantee for the equipment supplied by us against bad material, faulty design and poor workmanship for a
period of 12 months from the date of commissioning or 18 months from the date of Ex-works delivery whichever is
earlier.
Our warranty/guarantee excludes collateral and consequential damages. The above warranty subject to purchaser’s
compliance with applicable warranty conditions as provided by Supplier. Parts and components, which are repaired or
replaced during such period, are warranted for the original warranty period.

This warranty shall not apply to defects resulting from:


i. Willful damage/negligence,
ii. Normal wear and tear,
iii. Wrong installation and/or maintenance by Purchaser or a third party,
iv. Misuse or abuse of Equipment,
v. Modifications or alterations made by Purchaser or a third party without supplier’s written consent.
vi. Failure of Purchaser to maintain environmental conditions in accordance with Supplier’s instructions, including, but
not limited to, adequate electrical power, temperature and humidity control.
vii. Customized Equipment manufactured by third parties for incorporation into Equipment and for resale to Purchaser
except that Purchaser shall be entitled to the benefit of any warranty or guarantee given by such third party
manufacturers, and Causes beyond supplier’s reasonable control.
viii. Any activity during Erection & commissioning without the notice / presence / written consent of Trisquare Service
personnel.

CONSEQUENTIAL LOSSES

Under no event, the Supplier or Supplier’s suppliers (Sub-Suppliers) shall be held liable for any incidental or
consequential damages (direct or indirect) such as loss of use, loss of data, loss of profit or revenue, loss of production,
cost of capital or costs connected with interruption of operation, or for any reason whatsoever.

TAXES AND DUTIES


All taxes, or duties, whatsoever levied on the equipment or services are specifically excluded from this tender, shall be
levied on the Purchaser at actuals at the prevailing rates.

TECHNICAL DOCUMENTS
The technical documents submitted in this quotation (outline drawing and circuit diagram) are also valid as technical
order documents. TRISQUARE's offered price and delivery time are contingent upon receipt of document approval with
the purchase order. If the documents are not approved, comments should be submitted to Trisquare Switchgears Pvt.
Ltd. before order date and Trisquare shall be entitled to claim a change of price and delivery time.

PRODUCT IMPROVEMENT
TRISQUARE is working to improve continuously the product range. Therefore should there be a change in the specified
product after the time of the offer or an order, TRISQUARE will have the right to supply the newer model, provided that
it complies with the technical specifications for the product concerned contained in the offer or order.

TESTING IN WORKSHOP
Testing during manufacturing is limited to normal routine/production testing of individual units
As specified in enclosed routine test programs which conforms to applicable IEC/ANSI-standards. The equipment prices
quoted does not include any type-, acceptance- or special tests. In case any new or repeated tests are required, they will
be charged separately.

CUSTOMER INSPECTION AND WITNESSING OF TESTS


Trisquare accepts inspection and witnessing of routine tests by Final Customer, Consultant or Purchaser. In such an
event, the request shall be conveyed to us at time of the order and the inspector shall be present on the date(s) as
determined by us and conveyed to you approx. 07 days prior to the test date(s).
If no Inspector is available at the time for the tests, we reserve the right to perform the tests according to our planned
schedule and present the test reports to the Inspector. In case tests have to be repeated due to this reason, we reserve
the
right to charge the additional costs incurred. Repeat of routine tests shall be limited to 10% (ten percent) of the total
number of units.
If shipment will be delayed due to delayed arrival of the Inspector, we reserve the right to charge the additional storage
and interest costs. At present this is 2 % (two percent) per month. Costs for tickets, travel expenses etc for Customer
representatives are not included in the prices quoted.

MARKING OF CRATES

Information of goods marking must be included in the purchase order. If this information is missing at the time of
packing, the Purchaser reference will be used as goods marking, and in case of sea transport, the port of destination. In
case information for goods marking is changed after the goods have been packed, any changes of the goods marking will
be charged to the Purchaser.

ERECTION & COMMISSIONING

Our scope does not include Erection & Commissioning of the supplied low voltage switchgear panels. However we
recommend that you use the services of our engineer to supervise Erection and Commissioning of the offered
equipment.
For this the following terms and conditions will apply:
Daily rate (8 working hours) for our service engineer will be intimated on man day’s basis. In addition to this the
Purchaser shall provide to & fro transportation charges to site. All charges for travels to site, including local transport
and charges for lodging and boarding will also be to the Purchaser’s account. The Purchaser will provide skilled and
unskilled labor including all facilities required for erection & commissioning of Transformers. Overtime will be charged
for services beyond 8 working hours and on local holidays on hourly basis for maximum 4 hours on working days and 10
hours on Holidays. For services beyond this period, overtime rate will be negotiated and agreed. Under no circumstances
shall our Engineer be rendering services beyond 14 working hours in a day.
The payments for supervision of Erection and commissioning shall be released to us on fortnightly running bills for work
completed. Mobilization advance will be required before undertaking supervision of E&C. The same shall be discussed
based on the requirement.

FORCE MAJEURE

Neither party shall be liable for any loss, damage, failure or delay in performing its obligations under the contract to the
extent directly or indirectly caused by or arising from an event of Force Majeure, which shall include but not be limited
to acts of God, acts of governmental authorities, earthquakes, strikes, war, flood, epidemics, civil unrest, riots or other
causes beyond its reasonable control. The timelines shall be extended for a period equal to the time lost by reason of
delay plus such additional time as may be reasonably necessary to overcome the effect of the delay.

LIMITATION OF LIABILITY

Notwithstanding anything contained herein, TRISQUARE's maximum aggregate limit of liability whether under and/or in
connection with this contract or the performance or non-performance thereof or as a result of any fundamental breach
of contract, warranty including termination of this contract by the customer shall not exceed the total contract value or
payments received under the purchase order, whichever is lower.

EXCLUSION OF INDIRECT / CONSEQUENTIAL LOSSES

Notwithstanding any other provision of the contract, neither party shall, under any circumstances be liable to the other
for loss of profits, loss of use, loss of opportunity or any consequential or indirect or economic losses.

DISPUTE RESOLUTION
This contract shall be governed by the laws of India. Any dispute arising out of or in connection with the contract, which
cannot be amicably settled between the parties within a period of 15 days from the date of its initiation, shall be
referred to and finally resolved by arbitration to be conducted in accordance with the Arbitration and Conciliation Act,
1996.

ORDER CANCELLATION CHARGES


After drawings submission 15% of Contract Price
After ordering of major material 65% of Contract Price
After start of assembly 90% of Contract Price
After completion of assembly 100% of Contract Price

TEMPORARY STORAGE & INSURANCE FOR FAILURE TO TAKE DELIVERY


Once “ready for dispatch” advice has been issued to you, but you are not able to receive the goods at the agreed
delivery time, you will be charged for storage cost. The storage charges shall be 2% of contract Value per Month, not
inclusive of insurance which you will be separately charged. All storage and insurance charges will need to be fully
settled prior to delivery.

CUSTOMER CHANGES DURING ASSEMBLY/ FAT/ AFTER FAT


These changes shall be consolidated and executed at site against a separate service order.

VALIDITY
Offer shall be valid for 30 days from the date of submission of tender.
