AFFIDAVIT OF NON-OPERATION

            I, Margarita E. Verallo, of legal age, married, Filipino and with residence
address at Purok 6, Tugbongan, Consolacion, Cebu, after having been duly sworn to in
accordance with law, hereby depose and state:

1. That I am the Branch Administration Manager of GLOBAL CRITICARE INC.

with current business address at A2 J Kings and Sons Warehouse, Holy Name,
Cebu City;
2. That a particular business permit was processed and business permit no. 096274
was issued under the above-mentioned business name, dated 18 April 2007, by
the Office of the Mayor of Cebu City;
3. That since the issuance of above-stated permit number, GLOBAL CRITICARE
INC. never operated under the said business permit issued;
4. That for this reason there was no income generated the said business ever since;
5. That I am executing this affidavit to attest to the truth of the foregoing
statements to inform the proper authorities concerned, and for whatever legal
purpose this may serve.
