AGREEMENT

SUPPLY OF WATER
THROUGH ALTERNATE SOURCE
(REVERSE OSMOSIS PLANT)

This agreement is entered into as of 15thday ofDec, 2015

between

M/S. Dadabhoy Silk Mills Pvt Ltd, registered under the laws of Pakistan, having its registered
office at E/1(A) S. I. T. E.,, Karachi-75700, Pakistan(hereinafter referred to as ‘EMDS’), which
expression shall, where the content so permits; include its successors-in-interest and assigns,
of the one part

and

M/S. Bore And Bore, a sole proprietorship registered and existing under the laws of Pakistan,
having its registered office at R-85, Sector 15-A/4, Buffer zone, Karachi, Pakistan(hereinafter
referred to as ‘EMDS’) of the other part.

(EMDS and EMDS are hereinafter collectively referred to as the “Parties” and individually as a
“Party”).

BNB has entered in to agreement with EMDSto supply60,000 Imperial Gallons Per Day
treated water for ten years (300ppm or less TDS values) on BOO (Build Operate and
OWN) basis.

2. RESPONSIBILITIES OF BORE AND BORE

a. BNB will install complete Reverse osmosis plant having capacity to treat 60,000 IGPD
against 10,000 to 15,000ppm TDS raw water.

b. BNB will ensure to provide 60,000 imperial gallon per day product water which product
water TDS quality will be ranges between 100 to 300 ppm (parts per million).

c.BNB will manage all maintenance and operations of reverse osmosis plant and EMDS water
first well, if next well is required BNB will drilled at his own cost.

3. RESPONSIBILITIES OF EMDS

a. EMDS will pay Rs. 0.35 paisa per imperial gallon (350 rupees per 1000 imperial gallon)
ofraw water on monthly basis.

b. Any govt taxes will not be detected in monthly amount.

c.Monthly runningpayment must be made till 15th of month.

d. Annual increase will be at 10% per annum from the date of start of treated water supply to
EMDS.

4. TERMS AND CONDITIONS

a. Electricity will be provided by clientEMDS for drilling and pumping purpose

b. The new trial hole point will be provided by EMDS.

 c.The accommodation space will be provided by EMDS.

d. The security will be provided by EMDS .In Factory premises but R.O Plant and Bore
area are responsible by B&B

e. Complete plant with fittings will be commissioned within three months after agreement.
Treated water supply to EMD must be proved by B&B with in 90days after starting
commission of R.O Pant.

f. If product water requirement increase more than 60,000 IGPD, then its supply rates and TOR
will be same.

g. EMDS irrevocably agrees and undertakes to buy agreed minimum 1.25 million (80% of
60,000 IGPD for 26 days i.e. 1.56 million) imperial gallons water per month. In case EMDS
fails to buy agreed minimum water quantity during a particular month, EMDS shall be liable
to pay penalty on less water bought Rs. 350 per 1000 imperial gallons. Similarly if BNB fails
o supply less 1.25million imperial gallons of water per month, OWT will deduct the @ Rs.
350 per 1000 imperial gallons

h. Both parties No claim will be paid if plant stops due to any mechanical, electrical fault or
because of any force majeure and annual maintenance shut down or any public holidays.

i. If EMDS want to dissolve this agreement before ten years, then EMDS will be the project
cost of tubewell and depreciation of R.O plant agreed by both parties.10% Annual
depreciation.

This Agreement will remain enforce till ten years for EMDS project to supply 60,000 IGPD.

In witness whereof, we have signed and sealed this Agreement at Karachi on this the 15thday of
December, 2015.
