PARTNERSHIP AGREEMENT 

 
Fudzbyneney: Custom Cakes and Pastries and Godiva Chocolatier 
 
This partnership agreement is made on the_​ 18th ​ day of __​April_ ,​ 20​25​ by 
and between 
 
Fudzbyneney: Custom Cakes and Pastries​ (First Party) and ​ Godiva Chocolatier​.  
 
This partnership agreement is entitled of the following: 
1. Fudzbyneney: Custom Cakes and Pastries and Godiva Chocolatier should 
collaborate, participate, and give ideas to each other for a special product 
collaboration. 
2. The agreed special product for the collaboration will be promoted, sold, 
and distributed by both parties in their exclusive online and physical 
stores only.  
3. Godiva Chocolatier guarantees to provide exclusive chocolates and 
deliver toFudzbyneney: Custom Cakes and Pastries Physical Store 
located at ​ ​Main Road, TSwift Building No.13 Unit 8 Sto. Nino Village 
Marilao, Bulacan, Philippines, 3019​ every ​15th​ and ​30th​ of the month 
during the agreed duration of the collaboration for the special product. 
4. Godiva Chocolatier must always secure an invoice every delivery. 
5. Both parties guarantee that all the orders and sales that will be collected 
from the special product will be monitored, bookkept, accessible, and 
divided for the both parties through authorized exclusive personnels 
only. 
6. Both parties should have separate accounts to record and handle their 
capital contributions. 
7. Both parties’ profit and losses should be distributed fairly to their own 
separate capital accounts.  
8. Every decision that will be made for this collaboration should go through 
both parties before confirmation.  
9. Both parties should be held liable in case of damages because of the said 
collaboration. 
 
Both parties may enter into, perform and make all contracts and all other 
undertakings and engage in any and all transactions the Partners may deem 
necessary or advisable to carry out its purposes. 
 
This partnership is effective from the day that this contract is signed up to the 
18th​ day of ​April​, 20​25​.  
 
This agreement cannot be terminated during the duration of the agreement. 
 
This agreement is exclusive for Fudzbyneney: Custom Cakes and Pastries and 
Godiva Chocolatier only. 
 
If this agreement has been violated by the second party, legal sanctions may or 
may not be enforced.
