Prices do not include any taxes, duties or fees and are based on the details specified in the "Scope of
Supply" below.

Please refer to Section 7 for Terms & Conditions applicable to this proposal.

The quotation is based on material surcharges listed for the month of May 2021 on Allegheny
Technologies Incorporated's website at https://www.atimetals.com.

Due to the current volatility of the metals market, additional material cost increases may be necessary
during placement of purchase orders.

If the cost of materials increases based on the material surcharges at the date of purchase order as
compared to the last quote date, the overall cost of the equipment will be adjusted.

This adjustment will be based on the equipment raw material weight times the variance from the
surcharges listed on Allegheny Technologies Incorporated's website at https://www.atimetals.com.

The same consideration will be given for long lead time orders requiring 18 weeks or longer from
purchase order date until ship date. For these orders, the surcharge date used will be 8 weeks prior to
ship date.

We are in the process of assessing the impact of the new tariff legislation upon our business. As the
conditions of the new tariffs and any corresponding impact become clearer, Sulzer Chemtech reserves
the right to adjust pricing of the proposal.

Validity of the Proposal

This quotation is valid for 30 days.

SECTION 2.0 – DELIVERY

Delivery Time

This quotation is based on the following schedule:

Approval Drawings*: 8 weeks after receipt of order, with all technical


information and commercial details.
Allowed Approval Time: 2 weeks.
Shipment: 6 weeks after receipt of approved drawings and
release for manufacturing.
*Please note that Approval Drawings will not be released until the Terms and Conditions of
Purchase Order have been agreed upon by both parties.

Precise delivery times can be discussed according to your requirements.

EX-Works (EXW)
Sulzer Chemtech will supply the equipment EXW ready for shipment at our workshop(s) in Mexico City,
Mexico.
Sulzer will load the equipment on the customer's preferred carrier at our shop.

SECTION 3.0 – PAYMENT TERMS / CANCELLATION

Payment Terms

Payment terms are due Net 30 Days upon receipt of purchase order.

Cancellation Charges

In the event of a cancellation, the following cancellation table shall apply and constitute Seller’s sole
compensation unless otherwise mutually agreed in writing between the parties:

Scope of Supply

The scope of supply described in the offer contract is binding.

Included in our Scope of Supply are:

SECTION 6.0 – SULZER STANDARD PRACTICES

GENERAL REMARKS

GENERAL REMARKS

There have been no reported problems with personnel safety or installation procedures with our
standard manufacturing processes. Completely smooth or rounded edges may require additional
grinding at an extra charge. Sulzer Chemtech uses automated punch press equipment with well-
maintained dies and tooling along with plasma arc cutting.

The equipment which we supply is all non-pressure bearing internals. Any specification applying to
pressure bearing equipment, including weld maps, does not apply. We will supply welding procedure
specification(s) and procedure qualification record(s) when specified in the purchase order. NDT and/or
Hydro testing do not apply to the scope of equipment which we supply.

CLEANING AND SURFACE TREATMENT

Equipment is fabricated using lubricating oils and will have some residual oil left on the surface. Steam
cleaning can be performed to remove the residual oil. If steam cleaning is required, please advise us
and the price will be supplied.

To ensure proper liquid spreading in aqueous services, equipment should be degreased to remove
residual oil from the fabrication process. Class 3 degreasing (oil content <100mg/m2) can be
performed as an extra service. If Class 3 or a more stringent degreasing is required, please advice us
and the price will be supplied.

EQUIPMENT
Unless specifically requested, equipment must be installed when the tower is in the vertical position. All

performance warranties are void, if the equipment is installed or transported in the tower while situated
horizontally.
Unless specifically requested, the tower packing height and type of liquid distributor are specified based
on the assumption that there is no angular acceleration associated with motion during normal operation,
such as off-shore applications.

ORIGIN OF MATERIAL

As a global company, Sulzer acquires raw material globally. Our price and delivery time are based on
this condition. If specific country of origin is required for material, this may result in increased cost and
delivery time.

GLOBAL SOURCING

Sulzer Chemtech Ltd. is a company of the Sulzer Group, an internationally diversified Technology
Corporation. Companies belonging to the Sulzer Group (with a participation of 40% or more) are not to
be regarded as third parties or as subcontractors in connection with the present contract. Consequently
country of origin can vary from case to case.

CRATING

Our export crating of trays and column internals is constructed from solid wood boxes lined with plastic.
Crates have a typical width of 46 inches (1,170mm) and height of 36 inches (915mm). The length of the
crates is varied based on the size of the parts for a specific job. Bottom and side stiffening boards are
placed inside the frame members to prevent dislodging during shipment. The crates are secured by
staples and steel banding.

Inspection, Tests, Certificates

Sulzer Chemtech's standard practice is to provide the customer with the opportunity to review the
equipment during our trial layout and dimensional check performed just prior to shipment. The customer
must notify Sulzer Chemtech, prior to order, their intent to participate in the trial layout inspection.

Additional inspections, tests and certificates have to be arranged by contract, and have to be known at
the time of the order.

Wire Mesh Mist Eliminators

Our mist eliminators have an excellent track record as a low cost, highly versatile and efficient method of
removing liquid entrainment from gas streams. They can be used for a broad range of gas/liquid
separation problems, and can be easily tailored to suit most vessel shapes and sizes.

Efficient Functionality
Sulzer wire mesh mist eliminators are produced as a
bed of knitted mesh that presents a tortuous path and large surface area to the droplets entrained in the
gas stream. Separation is achieved by impingement on, and capture by, the filaments of the mesh
where the droplets coalesce and drain.
Standard designs are available for routine applications, providing excellent separation efficiency down to
droplet sizes as small as 2 μm, and with a pressure drop typically less than 2.5 mbar.

Easy and Flexible Installation


Installation can be performed in several ways, but the gas flow is usually either vertically upwards, with
the liquid draining counter current to the gas flow, or horizontal, with the liquid draining in a direction
perpendicular to the gas flow.

Most wire mesh mist eliminators are supplied complete with rigid support grids, which allow direct
installation onto appropriate supports such as beams and rings within the vessel. Sectional installation
allows ease of handling and access through vessel man ways. Accessories such as tie wire, bolting,
clamps and support beams can be supplied where necessary.

Sulzer VSIR Distributor / Collector Tray:


Sulzer utilizes the VSIR distributor / collector
in columns where collection and distribution
of relatively high liquid loads is required over
the entire cross sectional area, most typically
over random or structured packing beds.
The VSIR style includes curl tubes instead of
ground holes to help resist fouling.

The VSIR resembles a chimney tray, and


may have round or rectangular risers. The
upflowing vapor passes through the chimney
risers and is segregated from the liquid which
collects in the pan outside of the risers. The
segregation minimizes entrainment of liquid
with the vapor for good separation
performance. Curl tubes are mounted to the
inside wall of the risers, and fed from the tray through elevated orifices drilled into the riser wall. The
liquid is then distributed over the packing below through the curl tubes.
The VSIR and other orifice pan distributors lack the means to hold liquid on the distributor deck, making
normal distributor level testing in the workshop impossible. Flow testing the VSI-type distributors
requires special accommodates where a mock-up of the column section is constructed to simulate the
tower wall and to allow a liquid level to be established.

Sulzer RPB & GIS Random Packing Support Plates:


The support plate is used with random packings and serves as a gas injection tray to distribute the gas
to the bottom layers of packing.
The random packing is dumped directly over
the support plate, to settle within the valleys
of the structure. In this way, the RPB acts
as a support grid for the random packing
elements, with a large open area to allow
gas injection and distribution.
Perforation size and number, as well as
overall crimp height is dependent on
process conditions and required support load. The RPB typically rests on a support ring, welded to the
column wall.
Sulzer RPBTM Random Packing Bed Limiter:
The RPB is used with random packings and
serves as a bed retention device to prevent
migration of packing elements above the
bed.
The RPB consists of wire mesh welded to
the underside of grid frames, and may be
either suspended from a liquid distributor
above it or bolted to a support ring welded
to the column wall.

SECTION 7.0 – TERMS & CONDITIONS

Conditions of Supply:

In accordance with the attached Sulzer Chemtech General Terms and Conditions of Sale. Should there
be any conflict between these and your own Conditions of Purchase, we would be pleased to discuss
any critical differences close to the time of ordering.

Sales Tax Exempt Certificate:

Should Sulzer Chemtech be awarded this project, a sales tax exempt certificate will be required upon
issuance of purchase order, if applicable.

Shortages:

Sulzer Chemtech’s quality process assures customers that all equipment, as indicated in the Scope of
Supply, will be provided at the time of delivery. In the unlikely event that a shortage of equipment is
encountered, the customer must contact Sulzer Chemtech within 3 days of discovery of the shortage.
Sulzer Chemtech will not be liable for any shortage unless contacted within that 3 day time period.

Sulzer Chemtech has the right to visit the location of the equipment and check for the missing
equipment. If the equipment is found, then the customer must reimburse Sulzer Chemtech for
reasonable transportation, expenses, and manhours used to find the equipment. In addition, if
replacement equipment was manufactured and/or shipped, the customer must pay for all applicable
replacement equipment and shipping costs.

Warranty and Back Charges:

The warranty agreed to in this order will terminate immediately if the customer or a third party
undertakes inappropriate or improper modification or repairs, or if the customer, in case of a defect,
does not immediately take all appropriate steps to mitigate damages and notify Sulzer in writing of its
obligations to remedy such defects. Any back charge claim by the customer must be submitted to
Sulzer Chemtech within 5 business days of discovery of the defect. The customer’s back charge claim
must contain a written time and material estimate and no repair work can begin without Sulzer
Chemtech’s written authorization to proceed with the work. Sulzer reserves the right to send our site
supervisor to the customer’s facility to inspect the effect and assess the resultant charges. If the back
charge is accepted by Sulzer, then the cost of sending our site supervisor will be to our account. If the
back charge is not accepted by Sulzer then the cost of the site supervisor will be charged to the
customer. Failure by the customer to follow the above procedure may result in a rejection of the back
charge claim by Sulzer Chemtech.

Correction of non-conformities in the manner and for the period of time provided above, shall constitute
fulfillment of all liabilities of Sulzer Chemtech to the customer, whether based on contact, negligence or
otherwise, with respect to such equipment. THIS WARRANTY IS EXCLUSIVE AND IS IN LIEU OF ALL
WARRANTIES OF MERCHANTABILITY, FITNESS FOR PURPOSE, OR OTHER WARRANTIES OF
QUALITY, WHETHER EXPRESS OR IMPLIED.
