DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale is hereby made and executed by:

XXXXXXXXXXXXXXX, of legal age, Filipino citizen, married to XXXXXXXXXXXXXXX, with


residence and postal address at XXXXXXXXXXXXXXX;

XXXXXXXXXXXXXXX, of legal age, Filipino citizen, married to XXXXXXXXXXXXXXX, with


residence and postal address at XXXXXXXXXXXXXXX

represented herein by their Attorney-in-fact XXXXXXXXXXXXXXX Filipino Citizen, of legal


age, with residence address at XXXXXXXXXXXXXXX with the virtue of the XXXXXXXXXXXXXXX
and notarized by XXXXXXXXXXXXXXX copy of which is attached hereto as Annex “A”;
(hereinafter collectively referred to as the “VENDORS”);

- and -

XXXXXXXXXXXXXXX, single, Filipino citizen, of legal age, and a resident of


XXXXXXXXXXXXXXX ty (hereinafter referred to as the “VENDEE”).

WITNESSETH:

WHEREAS, by virtue of Extra Judicial Settlement of Estate of the Estate of


XXXXXXXXXXXXXXX dated February 08, 2021, the VENDORS are the owners of a parcel of land
located at XXXXXXXXXXXXXXX with an area of XXXXXXXXXXXXXXX (the “Property:”) covered
by Tax Declaration XXXXXXXXXXXXXXX in the name of XXXXXXXXXXXXXXX, copy of which is
attached hereto as Annex “B”

WHEREAS, the VENDORS have offered to sell and the VENDEE has agreed to purchase
the same under the terms and conditions set forth in this Deed;

NOW THEREFORE, the parties agree as follows:

For and in consideration of the payment by the VENDEE of the sum of


XXXXXXXXXXXXXXX Philippine Currency, receipt in full of which is hereby acknowledged by the
VENDORS, and the fulfillment of the VENDORS’ warranties and representations as provided for
in this Deed, the VENDORS do hereby absolutely sell, transfer and convey unto the said
VENDEE and her successors-in-interest the rights, title, and interest of a portion of the Property
with an agricultural area of TWO HUNDRED FIFTY SQUARE METERS (250 SQM) more or less,
and in turn, the VENDEE purchases and acquires the same from the VENDORS, with full
warranty of a legal and valid title provided by law, free and clear from all liens, charges and
encumbrances.

The VENDORS and the VENDEE have agreed that any and all fees and expenses
necessary to the registration of the Deed of Absolute Sale transferring and conveying the
Property to the VENDEE and the issuance of the new certificate of title covering the Property in
the name of the VENDEE shall be defrayed and borne by the VENDORS;

The VENDORS covenant, represent and warrant to the VENDEE that:

a. The VENDORS are the lawful and exclusive owners of the Property and shall
defend the title to and peaceful possession of the Property by the VENDEE;
b. There is no litigation, proceeding or dispute pending or threatened affecting the
Property or the VENDORS’ rights, title or interest therein;
c. The VENDORS shall defend the VENDEE against all judicial or administrative
actions for eviction; and
d. The VENDORS are the only and surviving legal heirs of PABLO CRUZADA, and to
the best of the VENDORS’ knowledge, PABLO CRUZADA left no debts or
obligations in respect of the Property. Should there be claims filed by any person
claiming to be an heir and/or creditor of PABLO CRUZADA, the VENDORS shall
hold the VENDEE free and harmless from such claims and shall reimburse the
VENDEE for whatever expenses may be incurred by the VENDEE by reason of, or
in connection with such claims.
