The two parties hereby have agreed to enter this contract covering the following terms
and conditions:
Art 1. SCOPE OF THE CONTRACT
Party A places the following job work order for the items stipulated in article 2 with
party B and party B undertakes to process the garment. All necessary raw materials and
accessories included 3% wastage allowance shall be supplied by Party A or agreed to buy
in Vietnam.

The CMPT price is understood as including: Cutting, Making, Thread, Packing,

carton, PE polybag.
The correct price, style, delivery date will be fixed and confirmed by annexes laler.
Party B shall be responsible for purchasing in Vietnam some trimmings required by Party
A and party A will be responsible for making advance payments to cover the cost of these
trimmings. If Party A does not advise all the informations related to these trimmings or
don’t make advance payment which influences to the delivery date of these trimmings, the
delivery date of finish garments will be changed accordingly.

The machine will be provided by Part B. Incase Part A lend Part B, It will be completed
by Annex

Art 3. DELIVERY
1. Materials and Accessories: (Encluded the attachment of Materials &
Accessories)
- The delivery time of material and accessories: from Oct, 2020.

- Party A is responsible to supply complete and enough material and accessories
(except trimmings purchased in Vietnam by Party B) for production of the goods stipulated
in art 2 of the contract on time. In case party A supply material and accessories lately or
no completely or not enough which influences to production plan of party B, party A must
compensate for all the loss of party B accordingly.
- Party A will supply complete material to Party B under the condition of free of
charge on the basis of CIF Ho Chi Minh City Port (Incoterms 2010). Invoice, packing list
and Bills of Lading (B/L) will be faxed to party B within three day after shipment. The
following original documents must be sent to Party B within 03 days after B/L date:
Clean on board B/L.
Signed, sealed, precise Packing List in triplicate.
- The value of imported fabric, accessories will be mentioned in their invoice when
importing.
- Upon receiving materials and accessories, both parties will check and count all of
them immediately to make a report. If Party A delivers materials and accessories
late or no completely or there are any discrepancies between actual and
documentary list, Party A is responsible for resolving and/or must compensate Party
B for the losses occurred due to this matter (if any) after receiving the inform of
above matters from Party B. And so, the delivery time for finished garment will be
reconsidered by both parties, if necessary.
- After taking materials and accessories into production, if finding any discrepancies,
shortage or poor quality of them, Party B will make a minute of that confirmed by
Party A's representative. Party A will be responsible for settling and/or must
compensate Party B for the losses occurred due to this matter (if any).
- Party B will fully guarantee to keep all materials supplied by Party A in good
condition. If loss or damage of materials happen not due to fault of Party A, Party
B must compensate.
- After fulfilling all the work orders, Party B will be responsible for undertaking the
procedures to liquidate this contract. The sur-plus quantity of materials and
accessories after settling the contract with Vietnam Customs will be returned to
Party A by sea with “Freight Collect” or Party A will have to pay imported tax under
import-export tariff tax of the Socialist Republic of Vietnam or transfer these sur-

 plus material and accessories to the new contact for processing. - The excessive
fabric and material will be treated under Vietnamese Environment Law.

2. Finished Garment:
- Product will be exported to KOREA and under FOB HCM City condition of end
Nov, 2020.

- The Garments will be shown “MADE IN VIETNAM” on care labels

- Within 07 working days after B/L date, a full copy set of shipping documents will
be faxed to Party A‘ s office in UK, and the following shipping documents must be sent
to the party A including:
3/3 set of B/L marked “Freight Collect”.
3/3 set of Commercial Invoice.
3/3 set of Packing List.
One original Export Licence (if any).
One original Certificate of Original form textile (if any).
Inspection certificate issued by Party A (if any).
- Party B will be responsible for clearing Vietnam custom for importing materials,
accessories and exporting finished garments.
- When Party A found products are unqualified. Party A send that products back to
Party B. Party B will repair or re-produce without payment and ship to Party A again

- All fees for both importing material and exporting finished garments will be on
Party B’s account.
Art 4. PAYMENT
- Payment of job-work will be made by TT after shipments to A/C No:
0666370506656 (USD) - at VIETCOMBANK – JOINT STOCK COMMERCIAL
BANK FOR FOREIGN TRADE OF VIETNAM LONG AN BRANCH.
Art 5. INSPECTION
- Party A will send technician to control the quantity and quality assistance during
the whole production process.
- Party B shall be obliged to bear inspection from the inspectors authorized by Party
A.

Art 6. SAMPLES
- Approval samples: Basing on original samples and technical instruction Party B
shall submit 02 pieces of approval samples of each style before main production
starts and get approval for main production from Party A. Party B must always obey
the production instructions of Party A and above counter sample strictly.
- Shipping samples: Party B will submit 02 pieces of shipping samples for each style
made from main production before shipment.
- These samples will not be charged and not be counted as order quantity.

Art 7. LABELS
Party A must provide Party B with all legal document concerning trademark to be
sealed and/ or attached to the products in order to Party B registers them with
Vietnamese relevant authority, Party B has no responsibility if any copyright
violation occurred. Labels name are TUJE.

Art. 8: FORCE MAJEURE

- The executing obligation of this contract may be suspended or defferred in the case
of stoppage caused by circumstances beyond the control of either party including
fire, strikes, lock-outs, civil commotions, weather at sea or other force majeure.
- If the said force majeure continues for more than 30 consecutive days, this contract
shall be terminated, unless otherwise agreed by both parties.

Art 9. GENERAL CONDITIONS

- The two parties shall amicably settle all disputes arising during the performance of
this contract. Should no settlement of disputes or such difference of opinion be made
amicably, then the disputes and difference of opinion shall be settled by the Vietnam
International Arbitration Center (VIAC) in accordance with its rules.
- Any supplement, amendment or annex duly signed by both parties will institute an
integrated part of this contract.
- This contract is made into 06 English original of which each party keeps 03 copies
of the same validity.
- The contract will be effected until Nov 30, 2020.

Câu 2 (2 điểm):
So sánh hợp đồng nhập khẩu thiết bị toàn bộ và hợp đồng chuyển giao công nghệ
(về tên các điều khoản và nội dung quy định trong từng điều khoản).
Trình bày những quy định hiện nay của pháp luật Việt Nam về hoạt động nhập khẩu
thiết bị toàn bộ và loại hợp đồng này.

Câu 3 (4 điểm):
Sưu tầm các chứng từ liên quan các công việc tổ chức thực hiện hợp đồng xuất khẩu
hoặc tổ chức thực hiện hợp đồng nhập khẩu của một lô hàng xuất khẩu hoặc nhập khẩu.
Phân tích các chứng từ sưu tầm (người lập/cơ quan cấp, chức năng, nội dung trên chứng
từ, cách lập chứng từ/quy trình thủ tục xin cấp – đối với lô hàng xuất, cách kiểm tra chứng
từ - đối với lô hàng nhập).

Câu 4 (1 điểm):
Dựa vào thông tin ở câu 3, nếu là lô hàng xuất thì trên cương vị nhà xuất khẩu, nếu
là lô hàng nhập thì trên cương vị nhà nhập khẩu, hãy phân tích những rủi ro có khả năng
xảy ra trong tổ chức thực hiện hợp đồng của lô hàng này và biện pháp phòng ngừa, hạn
chế rủi ro.

Trình bày và nộp bài
- Sinh viên làm bài theo nhóm, mỗi nhóm không quá 05 sinh viên.
- Sinh viên làm trên file Word.
- Nộp bài: tải 1 file Word và 1 file PDF. (File PDF cùng nội dung như file Word) lên MS
Team. Nộp bài qua MS Team theo mã lớp mà SV đã nhận đề thi.
- Cách đặt tên file: XXXX_Hoten_YYYY. DinhDangTapTin
Trong đó: − XXXX: là 4 ký tự cuối của mã sinh viên làm nhóm trưởng. Ví dụ: Sinh
viên nhóm trưởng có mã số: 1821001718 thì XXXX là 1718 − Hoten: họ tên sinh viên
(ghi không dấu tiếng Việt với ký tự đầu mỗi từ viết hoa). Ví dụ: TranVienPhuc − YYYY:
là 4 ký tự cuối của mã lớp học phần. Ví dụ: Học phần có mã là: 2031101098502 thì
YYYY là 8502 − Dinhdangtaptin: là định dạng tập tin sinh viên làm bài. Ví dụ:
MS.Word có định dạng là .doc hoặc .docx
Minh họa cho quy ước trên: Sinh viên Trần Viễn Phúc có mã sinh viên là
1821001718 thi học phần có mã học phần là 2031101098502 và làm bài trên MS.Word
sẽ lưu tên tập tin là: 1718_TranVienPhuc_8502.docx

Nhóm trưởng đảm bảo phân chia công việc rõ ràng, công
bằng, thể hiện đầy đủ nhiệm vụ mỗi thành viên trong nhóm,
mức độ hoàn thành công việc và phải có sự thống nhất của
các thành viên trong nhóm.
Điểm của mỗi thành viên sẽ theo điểm nhóm x % hoàn
thành công việc theo báo cáo của nhóm trưởng.
Tiêu chí làm căn cứ để trưởng nhóm chấm điểm mức độ

lần mà sinh viên A vắng 1 lần thì đánh giá 75%.
4. Thái độ: tích cực đóng góp ý kiến, tham gia họp đúng
giờ: 100%, nếu không thì theo đánh giá của nhóm trưởng
mà trừ điểm.
