That to the best of the knowledge of the parties hereto, the deceased left no
debts nor any will, but this is without prejudice to any obligations or any will, which
may hereinafter come to the knowledge of the parties.

LUZON FRIAS, HERMILINO LUZON FRIAS, MERCELINDA FRIAS MASUBIA,

MAREVIC FRIAS LERITA, AVELINO LUZON FRIAS, and SATURNINO LUZON
FRIAS, agree to adjudicate and divide the above parcels of land, in co-ownership
among themselves, in equal shares

NOW THEREFORE, pursuant to Section 1, Rule 74 of the Rules of Court of

the Philippines, the herein parties, in person, possessing full civil capacity, do hereby
settle, adjudicate and partition between and among themselves the above-described

estate of the decedent in the manner above-stated.

The foregoing inheritance is subject however to the liabilities imposed by Section

4, Rule 74 of the Rules of Court of the Philippines regarding the right of any heir or
creditor who might have been deprived of his/her lawful participation in the estate of
the decedent for a period of two (2) years.

That the aforesaid heirs, herein appoint, name and constitute, AVELINO LUZON
FRIAS, and SATURNINO LUZON FRIAS, both of legal age, married and a residents
of Prk. Basak III, Barangay Binuangan, Maco, Davao de Oro, Philippines, to be their
true and lawful attorneys-in-fact, to perform individually or jointly, any and all of the

following acts and things to wit:

MARLINO LUZON FRIAS

1. To sell, assign and dispose of a parcel of land covered by TCT NO. T-28916,
situated in Binuangan, Maco, Davao de Oro, including the improvements thereon
under such terms and conditions acceptable to our Attorneys-in-Fact;
2. To sign, execute and deliver the necessary Deed of Sale covering such sale
including any and all documents that may be necessary or required thereto and
to deliver possession of the property to said Vendee;
3. To receive the proceeds of the sale, either in cash or in check and to pay

expenses that may be agreed upon between our Attorneys-in-Fact and the

4. To manage, maintain, administer our property covered by TCT NO. T-28916,

situated in Binuangan, Maco, Davao de Oro;

5. To enter into contracts such as, but not limited to, lease, usufruct, and antichresis involving
said property including the use thereof for quarrying activities;

6. To file proper legal action(s) against unauthorized and illegal occupants of the above
mentioned property and for that purpose in our name and in our behalf to do and execute all
or any of the following acts, deeds and things, to wit:
a. To sign and file the appropriate pleadings, documents and papers in connection
herewith, including the certificate of non-forum shopping and verification;
b. To represent us during the hearings in any state of the case including the preliminary
conferences, pre-trials, preliminary, conciliation and mediation conferences and enter
into compromise agreements, arbitrations and settlements, to make necessary
amendments to new pleadings, to make admissions or stipulation of facts or
documents, simplify issues and decide and consider other matters to attain all the
purposes of pre-trial in accordance with Rule 18 of the 1997 Rules of Civil Procedure
and to attain all the purpose of the preliminary and mediation conferences thereof.
c. To refer the case or the issues to a commissioner or to submit the case to alternative
modes of dispute resolution;
d. To engage the services of counsel;
e. To represent us in the event that the aforesaid case shall be appealed or elevated to
the Court of Appeals, Supreme Court and other tribunals or quasi-judicial agencies
and to sign any appeal, pleadings, petitions, memorandum and other documents in
connection thereto.

7. To execute, claim, sign or release any document or party in connection with the issuance of
the said title;
8. In general, to do all other acts, deeds, matters and things that may be required necessary or
incidental to carry out effectively any and all of the purposes for which this authority is
hereby given.
