INTRODUCTION
Warsan STP solar drying plant is currently operating to only half of its design capacity to
avoid odorous gas emission and nuisance to the surrounding community.
In line with this, Dubai Municipality invites bids for the covering of the solar drying beds
and equip it with odor treatment to mitigate odorous emission (zero odor) while
operating the plant to its full capacity. Dubai Municipality further invites bids for the
Operation & Maintenance of the sludge drying plant from reputed Contractors with
proven track records.
The contractors are required to offer their bids according to the requirements listed but
not limited in the scope of work. Contractors will be required to prove the ability and
furnish the details of resources at its disposal required to operate and maintain the
contracted facility with minimal external support.

Note: The above-mentioned plant solar drying plant is for the municipal sludge produced
at Warsan STP facility consisting of drying beds on which the sludge is expose to
solar energy. The excess quantity of dewatered sludge that the solar dryer facility
cannot handle shall be transferred and stored in twin storage steel silos of 423 m 3
capacity each. The excess dewatered sludge shall then be transported outside the
plant for land filling by third parties via trucks, in another project expected to finish
around third quarter of 2020.
BIDDERS QUALIFICATION
Bidders are required to submit the following as proof of their capabilities and experience.

ASSIGNMENT
Contractor shall not without the express prior written consent of Dubai Municipality
assign or charge to any third party the Contract or any part thereof, or any right, benefit,
obligation or interest.
In this contract, the following terms and expression shall have the meanings in the table
below
Terms Meanings
EMPLOYER Dubai Municipality (DM)
EMPLOYER’S Director of Sewage Treatment Plants Department and any person
REPRESENTATIVE designated by him for the operation of the contract.
CONTRACTOR Means the Organization or Company employed to provide the service
CONTRACTOR’S Means the named individual appointed by the CONTRACTOR to have
REPRESENTATIVE full charge of all operations of the Contractor with respect to the
SERVICE and full authority to represent the Contractor in all matters
concerning the PERFORMANCE.
FACILITY SITE Means the site(s) where the EMPLOYER’S plant, facilities, etc. are
located. All auxiliaries like power distribution facilities, stand by
generators, fuel storage tanks, porta cabins, rooms potable water
storage tanks, whether listed or not will be considered as part of the
site unless excluded in writing.
ASSETS Means all materials and equipment or things provided by or on
behalf of the EMPLOYER including buildings, supplies, equipment,
processes, tools, plants, pipes, any and all the facilities including
spare parts which will be under the control of the CONTRACTOR
during the term of the CONTRACT.
HANDOVER Means the transfer of responsibility for the ASSETS from the
EMPLOYER to the CONTRACTOR

SCOPE OF WORK
The contractor provides full management, technical and operations staff and services for
all on-site O&M activities on a 24HR/day 7days/week basis. This includes:

MANAGEMENT PROCESSES
CONTRACTOR REPRESENTATIVES
Within 15 business days after the Effective Date, Contractor shall appoint the Contractor
Representative. If Dubai Municipality objects to the appointment then Contractor shall
propose a replacement within 15 business days of such objection. Should Dubai

The Contractor Representative shall represent and act for Contractor at all times during
the currency of the Contract, including giving to and receiving from, Dubai Municipality all
Contractor's notices, instructions, information and all other communications under the
Contract.
Contractor shall not revoke the appointment of, or replace, the Contractor Representative
without DUBAI MUNICIPALITY's prior written consent (such consent not to be
unreasonably withheld or delayed).
The Contractor Representative shall appoint a deputy representative who shall have the
full authority and power to exercise all of the powers and duties vested in the Contractor
Representative in the absence or unavailability of the Contractor Representative. The
Contractor Representative shall notify DUBAI MUNICIPALITY of the identity of, and
contact details for, such deputy within ten business days of his appointment as Contractor
Representative. Any such appointment may be revoked at any time by giving DUBAI
MUNICIPALITY prior notice signed by the Contractor Representative. Such revocation
shall become valid when a copy thereof has been delivered to DUBAI MUNICIPALITY.
CONTRACTOR PERSONNEL
All Contractor Personnel must be fully skilled, competent, qualified and experienced in the
field and position specified in the Approved/Submitted Resources Plan. Staff shall have
previous experience of maintaining similar facility.
DURATION
The SERVICE shall be effective beginning on the COMMENCEMENT DATE, notified by the
EMPLOYER at the time of the award of the CONTRACT and continue for 10 years until the
COMPLETION DATE. By agreement between the PARTIES the duration can be extended for
a further period of up to 20 years at the EMPLOYER'S discretion.
PUBLIC RELATIONS
The CONTRACTOR shall maintain positive relations with the SERVICE AREA public and/or
public institutions
CO-ORDINATION

The EMPLOYER will assist the CONTRACTOR in co-ordination with both government and
private entities such as DEWA and Etisalat. However, the CONTRACTOR shall be
responsible if lack of coordination or unsuccessful coordination interrupts or threatens to
interrupt full compliance to the SERVICES. The CONTRACTOR shall obtain excavation
permits, vehicle registrations, telephone service, and so forth.
Dubai Municipality will not be responsible for the contractor’s local offices, storage, and
staff accommodations unless otherwise agreed and indicated. The Contractor shall
provide all necessary offices and accommodation and associated facilities for its staff.
CONTINUOUS SERVICE
The CONTRACTOR shall ensure continuous unbroken provision of the SERVICE between
the existing contracts and the CONTRACT. The CONTRACTOR shall liaise with those
providing the SERVICE under existing contracts as necessary.
COMMENCEMENT OF SERVICE
The CONTRACTOR shall take over full responsibility for the SERVICE on the
COMMENCEMENT DATE to be notified by the Employer in a written notice.
The CONTRACTOR shall supply and maintain sufficient furniture/office equipment and
supplies necessary for day-to-day operations.

the Facilities and such land as is necessary to enable Contractor to carry out the
Services.
2. Contractor acknowledges and agrees that it shall have non-exclusive access and/or
use of the Facilities and the land and may be required to share use of the Facilities
and the land with others. Failure by DUBAI MUNICIPALITY to provide Contractor
with access to the Facilities and the land and/or power reasonably, and directly
required for the delivery of the Services as aforesaid, shall entitle Contractor to an
equitable adjustment to the Performance Standards and the Incentive
Compensation Elements as determined by DUBAI MUNICIPALITY, to the extent
that the same are affected by such failure.
3. In the event where standby generators are used for supplying power to the facility
due to failure of permanent supply, the cost of fuels and/or procurement of
generators on rental basis will be reimbursed based on the standard supplies
contract of the variations. However, fuels consumed for idling and testing will not
fall under this category.
4. DUBAI MUNICIPALITY will be responsible for the provision of water where a
mains supply exists and for the provision of power reasonably and directly
required for the delivery of the Services.

1. INSPECTIONS
This Section describes the inspection requirements of the SERVICES. The CONTRACTOR is
required to inspect 100% of the ASSETS annually. The CONTRACTOR shall establish an
Inspection Plan at the commencement of the Contract, which will document inspection
schedules and frequencies that meet these requirements or such other frequencies as may
be mutually agreed by the EMPLOYER and The CONTRACTOR based upon:

5. Importance to operation
The CONTRACTOR shall, at all times maintain sufficient consumable supplies and
equipment necessary for the operations, maintenance and repair of the ASSETS, systems
and processes. Consumable supplies and equipment are defined as those items, which
are necessary for the sustained execution of the duties, requirements and
responsibilities listed herein.
The CONTRACTOR shall provide on-call staff at all times (24 hours a day) who can
respond to alarms, trips, failures and/or problems at any location within TWO (2)
Hours from the time they are notified.
The CONTRACTOR shall schedule preventive maintenance, which shall be not less than
described in the following unless mutually agreed with the EMPLOYER. The activities
detailed below are indicative rather than prescriptive. Actual frequencies and activities
shall be those defined by the CONTRACTOR in the agreed maintenance plan, which shall
take full account of manufacturer recommendations, actual operation hours, equipment
condition and other relevant factors.

At no time shall the CONTRACTOR perform an intrusive maintenance task that may
invalidate the warranty for new ASSETS.
The CONTRACTOR shall conduct the following maintenance activities on at least a once a
week basis or a daily basis where indicated, to maintain the expected level of
housekeeping.
The CONTRACTOR shall conduct the following on at least a once a month basis or as and
when necessary.
1. Vacuuming or blowing of dust and debris from MCC’s, Local Control Panels,
conveyor belt covers and other exposed parts and cleaning of accumulated sludge
and/or debris from Instrumentation.
2. Building maintenance including washing, hosing, sweeping, wiping, window
cleaning and vacuuming.
3. Lubrication of all rotating equipment or as per manufacturer’s recommendation in
O&M Manual.
4. Tightening/readjustment of fasteners and proper greasing of the conveyor belt
rollers.
The CONTRACTOR shall conduct the following maintenance activities on at least an annual
basis:
1. Draining and cleaning of all channels, beds, wet wells, sludge holding areas and
conveyors.
2. Painting and or recoating of valves, pipes, pumps, motors and Open Bed turning
machines if necessary.

The CONTRACTOR shall prioritize maintenance/repair needs that are identified during
regular inspections and preventive maintenance activities or result from a malfunction.
These activities, based upon their priority may have the impact of postponing other
scheduled maintenance tasks in the short term. Such postponement shall not exceed one
day or one tenth of the regular frequency whichever is the longer.
3. REPAIRS
SERVICES under this section are all to be performed on an as needed basis. However, the
CONTRACTOR shall ensure that not less than 90% of all major equipment is on-line and
available for duty at any one time. Major equipment which has been taken offline for
maintenance (not repair) activities, shall not be counted in this total. All repairs included
in this section are considered minor and are within the SERVICES.
The failure or breakdown of any single major plant item at a plant facility shall be treated
as an emergency if the failed asset is not supported by an installed standby, or if the failed
asset cannot be offline for more than 24 hours without adversely impacting the treatment
of sewage. The CONTRACTOR shall ensure immediate access to any and all equipment
needed to address equipment breakdown emergencies.
For non-emergency breakdowns, the CONTRACTOR shall have access to facilities capable
of performing major repair or maintenance on pumps, motors, compressors, mixers etc.
Non-emergency breakdowns shall be repaired and reinstalled in not more than 30-days
provided the CONTRACTOR shall at all times have more than 90% of the installed plant
available for service.
The following repairs are indicative of the type of repairs to be carried out on an as needed
basis. The list DOES NOT include every minor repair that might be needed during the
SERVICES.

4. Replacement of breakers, relays, fuses, bulbs, holders, terminal blocks, lights, lamps, and
contactors, etc. for 15 kW motors and below. These requirements DOES NOT include
incomer MCC fuses.
6. Filling, plastering, sealing of civil structures, fixing of windows air conditioners, sanitary
fixtures, kitchen appliances, laboratory equipment.
Typical examples of plant major repairs or maintenance not covered by the normal
SERVICES are:
3. Structural: Work connected with RCC failures, Excavation deeper than 2 meters, under
pavement or asphalt to attend to the leaks, replacement of major pipes, fittings, cables etc.
(A) The Contractor shall not be responsible for carrying out Capital Schemes promoted
and delivered by DUBAI MUNICIPALITY and or designated third parties.

4. OPERATIONS
The Contractor shall conduct laboratory analysis of the following types on a daily basis.
Site testing equipment for daily internal analysis of all relevant analysis to maintain the
plant operations at his own cost. The results shall be utilized for treatment process
monitoring and control. Dubai Municipality shall be given free access to all the data related
to plant performance.
Moisture Content testing shall be done daily for both feed and product.
Approved third party Laboratory Testing shall be done once per month and results shall
include: Heavy metals (Cd, Cr, Cu, Pb, Hg, Mo, Ni, Se, Zn), E. Coli, Total Coliforms, Fecal
Coliforms, Salmonella, Total Solids, Volatile Solids, Ammonium Nitrogen, Total
Nitrogen, Total Sulphur, Sulfides. Results shall be incorporated in the Monthly Report.

Dubai Municipality TECHNICAL GUIDELINE Number 13 from June 2011 will be used to
determine whether the product is suitable for reuse.
Contractor is responsible for the following and should build the costs within the
O&M fees:
Disposable safety supplies, sanitary supplies, Safety Equipment, Oils and grease
Minor consumables.
Compliance to all regulatory requirements from all governing bodies for the STP
and related to the O & M of the facility.
Disposal of all wastes resulted from plant operations including but not limited to
greens, other domestic wastes or wastes from workshop or maintenance activities.
Such disposals include transport, permits/NOC’s required by any government
entity, any kind of analysis to obtain such permits/NOC’s and all fees necessary for
disposal.
Dewatered sludge chemical dosing O&M shall be the responsibility of Contractor.
Chemicals shall be supplied by DM. Dosing to be adjusted in accordance with site
conditions and the supplier.
REPORTING
MONTHLY REPORTS
Within 7 days after the end of each month, Contractor shall prepare and submit to DUBAI
MUNICIPALITY a report summarizing (i) the Services undertaken in such month, having
particular reference to the Services scheduled to be provided during such Month pursuant
to the most recent Approved Service Delivery Plans, and (ii) the other matters described.
Report format must be approved by the employer and all data should be submitted in hard
copy and editable, digital format such as MS Word, MS Excel and any other approved
software. One hard copy of each report is to be maintained at the site in a secure cabinet
accessible by the employer representative. Report shall contain information on all
operational activities, maintenance, preventive and corrective and spare parts and
consumables uptake, incident log. Important woks and incidents shall be documented with
photos.
Delay in submission of monthly report will result in a penalty of AED 500 for each day
after the seventh day. Such penalties are restricted to a maximum of 10% of the month
O&M fees filled in the tender submission.
ANNUAL REPORTS

Within 30 days after the end of the Initial Contract Period, Contractor shall prepare and
submit to DUBAI MUNICIPALITY a report summarizing, (i) the Services undertaken in
such Initial Contract Period, having particular reference to the Services scheduled to be
provided during such Initial Contract Period pursuant to the most recent Approved
Service Delivery Plans, and (ii) other matters described in Scope of Services.
CONDITION REPORTS
The OPERATOR shall prepare the HANDOVER condition report for the ASSETS
at the COMMENCEMENT DATE within 30 DAYS of the COMMENCEMENT DATE for the
Assets covered by the existing contracts
Within 28 DAYS prior to the first anniversary and on each succeeding anniversary of the
COMMENCEMENT DATE, the OPERATOR shall prepare an ANNUAL CONDITION REPORT.
The annual condition report shall identify any shortfalls below those attributable to fair
wear and tear in the condition of the ASSETS since the previous condition report.
Within 28 DAYS prior to the COMPLETION DATE the OPERATOR shall prepare a
HANDBACK condition report. The HANDBACK condition report shall identify any
shortfalls in the condition of the ASSETS at the COMPLETION DATE below those
attributable to fair wear and tear.
Copies of all condition reports shall be submitted to the EMPLOYER within 7 DAYS of
their preparation. Hard copy to be submitted for employers ratification and digital
editable soft copy for any changes and reference.

If a condition report is not submitted within the prescribed time the OPERATOR shall
pay a PENALTY of 0.1% of the total inserted in the bid form per day up to a maximum
of 30 days. The EMPLOYER may deduct the PENALTY from any monies otherwise due to
the OPERATOR or recover such amount as a debt from the OPERATOR. In the absence of
any condition report the EMPLOYER'S opinion of the condition of the ASSETS shall be
deemed to be correct.
The OPERATOR shall submit KPI reports at the intervals required by the CONTRACT.
Failure to achieve the minimum values will entail penalties specified under the relevant
heading. KPI Reports to include the following.
1. Sludge quality as per the design parameters & criteria to be recorded from the first
month of the contract and quarterly average compliant/non-compliant samples to
be added thereon for each parameter.
2. Ratio between number of preventive and corrective jobs recorded.
3. Power consumption per ton of sludge
4. Number of Odor Complaints recorded during the month
5. Plant availability percentage
6. Product volume – number of interruption & duration to the sludge disposal
7. Health & safety compliance
8. Treatment cost AED/ton of sludge – contract cost + power and consumables cost
PENALTIES
Below list specifies the type of failures that will carry penalties.
In the event of the Contractor failure to maintain the quality of dry sludge within
the acceptable level stated in the Contract and for reasons within his
responsibilities under the Contract, as determined by the Employer or his
representative, the Employer shall impose a penalty of AED 500 per day for each
failed parameter will applicable on the Contractor.
It is to note that upon failure of the monthly sample, failure of achieving target
sludge quality will be considered as if the last week all failed to do so (not the
whole month) and the penalties shall apply, while the Contractor is strongly
recommended to take all necessary remedial actions. Such remedial measure are
to be verified by third party analysis on daily basis until the required results are
achieved at contractors cost.

In the event of the O&M Contractor’s failure to maintain the acceptable ppm value
of H2S & Ammonia gas in the atmosphere (where applicable) within the boundary
fence of the STPs, the Employer shall impose a penalty for value above that
recommended by the Contract recorded by each Odour control monitoring device,
and such penalty will be applied from the Date of Commencement. Reference is
made to WHO Standard for Air Emissions.
In the event that the contractor fails to treat the specified and agreed volume of
sludge for reasons not falling under force majeure the employer will have the right
to impose proportional penalties.
In the event of the Contractor’s failure to adhere to the approved Management,
Operation and Maintenance program or any of its parts Employer will impose a
penalty from AED 5000/- to AED 8000/- per month as determined by the
Employer or his representative’s decision with regard to the date of
commencement for application of the penalties. The Employer or his
representative’s Decision shall be final and binding.
In the event that the contractor fails to allocate the resources as per the approved
resource plan, Employer will impose a penalty from AED 2,000/- to AED 5,000/-
per month as determined by the Employer or his representative’s decision with
regard to the date of commencement for application of the penalties. The
Employer or his representative’s Decision shall be final and binding.
In addition to the above penalties, the Contractor shall be fully responsible for
paying any fines or penalties to be applied by any relevant Governmental
Authority, in case he commits any violation to their rules and/or regulations
during the performance of any of the Contract Works related to their activities.
Parts procured under the terms of contract variations are subjected to DM
Contract & Purchasing department rules. Delayed deliveries against approvals and
promised dates are liable for penalties as per the department rules. Contractor is
responsible for paying such fines.
For Delayed maintenance, DM will have the right to hire third party to carry out
the contractor scope after the specified period. The costs of such will be deducted
from the monthly invoice with a 25% over head. Penalties on such delays will be
additional to the cost of contractor un-delivered scope of service.
