works, marine engineering works and marine transportation services which
include dredging and land reclamation, marine piling, marine bore pile,
breakwater construction, rock revetment works, construction of port, jetty and
offshore stru<:tures, oil and gas work, petrochemical project, hire and charter of
barges, tugs and dredgers andtowage and salvage works.
(2) To carry on the business of general merchants, agents, exporters, importers, ·

wholesale and retail traders and general storekeepers.
(3) · To carry on in all its branches of business as a holding Company in particular to

invest in land, plantations, buildings, stocks and shares and any kind of real
properties. ·

4. The PoWer of a Company contained in Third Schedule to the Companies Act, 1965 shall
apply.
5. The liability of the members is limited.
6. The Authorised Capital of the Company is RM2,000,000.00 (Malaysian Currency)

divided into 2,000,009 ordinary shares ofRMJ.OO each. The Company shall have power
to increase or reduce its capital, to consolidate or subdivide the shares into shares of
larger or smaller amounts and to divide the shares forming the capital or increased or
reduced capital for the time being into several classes and attach thereto preferential,

Company and to issue additional capital with any such rights, privileges or conditions as

1. Subject as hereinafter provided, the regulations contained in Table A in the Fourth
Schedule of the Companies Act, 1965 shall apply to the Company with the exception of
Regulations 22, 71 & 90 of Table A.

2. The Company is a private company, and accordingly:-
(a) the right to transfer shares is restricted in the manner as prescribed in Table A.
(b) the number of members of the Company (counting joint holders of shares as one
person and not counting any person in the employment of the Company or its
subsidiary ol' any person who while previously in the employment of the
Company or of its subsidiary was and thereafter has continued to be a member of
the Company) shall be limited to fifty; provided that where two or more persons

paragraph be treated as a single member.
(c) Any invitation to the public to subscribe for any shares in or debentures of the
Company is prohibited.
(d) . Any invitation to the public to deposit money with the Company for fixed
periods or payable at call, whether bearing or not bearing interest, is prohibited.
DIRECTORS
3. (a) The number of directors shall be not less than two and not more than nine.
(b) The first directors shall be See Kim Boon and See Kim Hoay.
(c) There shall be no shareholding qualification for directors.
(d) A resolution in writing signed by a majority of the directors present in Malaysia
for the time being entitled to receive notice of a meeting of the directors, shall be
as valid and effectual as if it had been passed at a meeting of the directors duly
convened and held. Any such resolution may consist of several documents in
like fonn, each signed by one or more directors.
SECRETARY
4. (a) The first Secretaries of the Company shall be Tew Choon Ean.
(b) The office of secretary shall become vacant if the secretary resigns his office by
· notice in writing to the Company.
· TRANSFER OF SHARES
5. The directors may, in their absolute discretion and without ass1gmng any reason
therefore, decline to register the transfer of any share, whether or not it is a fully paid ·

SYARAT KELULUSAN SI)IL AKUAN PENDAFTARAN SYARIKAT
1. SYARAT AM
1. 1 Kelulusan lni diberi berdasarkan maklumat-maklumat yang telah disampaikan oleh plhak syarikat tuan.
1.2 Apa-apa perubahan ke atas maklumat-maklumat tersebut hendaklah dibuat kemaskini secara orrline di Modul Kemaskini Profil di
ala mat www.eperolehan.gov.my dalam tempoh masa dua puluh satu (21) harl dar! tarlkh perubahan tersebut berlaku dan
sekiranya gaga) berouat demikian boleh mengaklbarkan tindakJn seperti d1 para I.!; di bawah.
1. 3 Syarlkat hendaklah mengemukakan segala maklumat dalam tempoh yang ditetapkan apabila diminta oleh Kementerlan Kewangan
Malaysia. Kegagalan berbuat demikian akan mengakibatkan tindakan seperti di para 1.5 di bawah. :
1.4 Syarikat hendaklah memastlkan bahawa bidang yang telah didaftarkan dalam sijll inl tidak bertindih dengan bidang yang telah
dlluluskan ke atas mana-mana syarikat seperti berikut: '
1.4. 1 • Mempunyal Pemilik atau Lembaga Pengarah/Pengarah, Pengurusan dan Pekerja yang sama; atau
1.4.2 Beroperasi di premis yang sama.
1.5 Kementerlan Kewangan Malaysia berhak untuk membuat lawatan atau pemerlksaan audit pada bila·bila masa tanp~ dimaklumkan
terlebih dahulu. Kegagalan mematuhl syarat·syarat pendaftaran, kod bidang dan/atau pendaftaran syarikat tuan boleh
digantung/dibatalkan dan syarikat, Pemllik serta Lembaga Pengarah/Pengarah diambil tlndakan tatatertib termasuk
disenaralhitamkan tanpa apa-apa notls )lka didapati maklumat yang diberi tldak benar.
1.6 Syarikat yang baru didaftarkan tidak dibenarkan membuat sebarang perubahan ke atas Pemilik atau Pengarah dalam· tempoh enam
(6 ) bulan daripada tarlkh syarikat didaftarkan. --
' 1. 7 Kegagalan syarikat membuat permohonan pembaharuan pendaftaran selepas satu ( 1) tahun darl tarikh tam at tempoh
pendaftaran boleh mengakibatkan pendaftaran syarikat dengan Kementerian Kewangan Malaysia akan dibatalkan ~an dikeluarkan
secara automatik daripada Sistem ePerolehan. Syarikat hendaklah membuat permohonan baru. ·
2. PENGGANTUNGAN/PEMBATALAN PENDAFTARAN
2. 1 Pendaftaran syarikat akan dlgantung/dibatalkan sekiranya didapati syarikat melakukan kesalahan seperti berlkut:
· 2.1.1 Syarikat/pemilik/perkongsian/pengarah/mana-mana ahli pengurusan telah melakukan jenayah dan didapati bersalah
•oleh mahkamah di Malaysia atau luar negerl atau mengalaml tanggungan slvil.
2.1.2 Syarikat menarik bank tawaran sebelum tender dipertimbangkan atau menolak setelah tawaran dibuat.
2. 1.3 Syarlkat gaga( melaksanakan obligasi kontrak-kontrak yang telah ditandatangani dengan Kera)aan.
2.1.4 Syarlkat didapati meminda Sijil Akuan Pendaftaran Syarikat dengan tujuan menipu atau lain·laln maksud.
2. 1.S Syarikat membenarkan Sijil Akuan Pendaftaran Syarlkat dlsalahgunakan oleh tndivldu/syarlkat lain.
2.1.6 Syarikat didapatl membuat pakatan harga dengan syarikat·syarlkat Jain semasa memasuki tender Kerajaan atau sub·
kontrak tanpa persetu)uan terleblh dahulu daripada Agensi Kerajaan yang terlibat.
l. PEMBAHARUAN
3.1 · Syarikat tuan hendaklah mengemukakan permohonan pembaharuan pendaftaran tiga (l) bulan sebelum 'tamat tempoh
pendaftaran.
3.2 Permohonan yang diterima selepas tamat tempoh pendaftaran adalah dianggap pendaftaran pembaharuan.
4. HAK KERAJAAN
4. 1 Sljil Akuan Pendaftaran Syarikat yang dikeluarkan secara Virtual adalah HAK KERAJAAN. Kerajaan berhak untuk menarlk balik
pendaftaran/dlgantung/dibatalkan sekiranya syarikat dikenakan tlndakan tatatertib selaras dengan Surat Pekeliling
Perbendaharaan Bllangan 6 Tahun 201 0.
5. PENYERTAAN PEROLEHAN KERA)AAN

5.1 Dengan pengeluaran Sijil Virtual, Sijillni tldak lagl .perlu dltunjukkan semasa mengambll dokumen perolehan Kera)aan (pembelian
terus, tender/sebut harga dan lain-lain kaedah perolehan) kecuali bag! Agensi Kerajaan yang tlada capaian Internet.
5.2 Syarikat hendaklah memastlkan pendaftaran dengan Kementerian Kewangan Malaysia masih sah laku sepanjang tempoh kontrak
berkuat kuasa.
6. PERINGATAN MENGENAI KESALAHAN RASUAH
6. 1 Sebarang perbuatan atau percubaan rasuah untuk menawar atau memberi, meminta atau menerima apa-apa suapan secara rasuah
kepada dan daripada mana-mana orang berkaitan perolehan Kerajaan merupakan suatu kesalahan jenayah di bawah Akta
