 FORM OF SUBCONTRACT AGREEMENT

Between

General Electric International Inc (GEII), with a branch office in Israel.

(hereinafter called “the Contractor”) of the one part and

(hereinafter called “the Subcontractor”) of the other part

Whereas the Contractor is desirous that certain Works should be executed by the Subcontractor, Engineering,
Supply, and Execution of Acid Cleaning, Supply of Mirror Target Device for Validation Blow, Inspection and
Cleaning of Non-Blown Piping Sections, Steam Blow of Auxiliary Steam System, as further defined in the
technical documents and the remedying of any defects therein.

Now this Agreement witnessed as follows:

In this Agreement words and expressions shall have the same meanings as are respectively assigned to them
in the Conditions of Subcontract hereinafter referred to.

The following documents in the following order of precedence shall read and be construed as part of this
Subcontract and shall together constitute the Subcontract between the Contractor and the Subcontractor:

The Subcontract as heretofore defined constitutes a full statement of the contractual rights and liabilities of the
Contractor and the Subcontractor in relation to the Works and no negotiations between them nor any document
agreed or signed by them prior to the date of this Agreement in relation to the Works shall hereafter be of any
contractual effect. The Contractor is not bound to any provisions, printed or otherwise made available to the
Contractor by the Subcontractor, at variance or in addition to the terms of this contractual agreement that may
appear on any Subcontractor’s acknowledgment or other document unless specially accepted by the Contractor
in writing.

In consideration of the payments to be made by the Contractor to the Subcontractor as hereinafter mentioned
the Subcontractor hereby covenants with the Contractor to execute and complete the Works and remedy any
defects therein in conformity in all respects with the provisions of the Subcontract.

For all the purposes of the Subcontract the Commencement Date shall be XXXX 20XX

The Contractor hereby covenants to pay the Subcontractor in consideration of the execution and completion of
the Works and the remedying of defects therein the Subcontract Price of;
