DEED OF ASSIGNMENT AND TRANSFER OF RIGHTS

 KNOW ALL MEN BY THESE PRESENTS:


This deed, made and entered made and entered into this 21st day of November 2022 at the City of
Lucena, by and between:
ZAC AND ZETH FOOD KIOSK owned and managed by JO VINCENT BERMUDEZ, Filipino
citizen, of legal age, married to REINALYNDA M. BERMUDEZ, and with residence and postal
address at Daleon St. North Employees Village, Brgy. Gulang-Gulang, Lucena City, Philippines,
hereinafter referred to as the “ASSIGNOR/TRANSFEROR”
-and-
REINALYNDA M. BERMUDEZ, Filipino citizen, of legal age, married, and with residence and
postal address at Daleon St. North Employees Village, Brgy. Gulang-Gulang, Lucena City,
Philippines, hereinafter referred to as the “ASSIGNEE/TRANSFEREE”
WITNESSETH
WHEREAS, ASSIGNOR/TRANSFEROR is the franchisee of ZAC AND ZETH FOOD
KIOSK which is the lessee in an existing lease contract with the lessor, Pacific Mall Corporation
with their space code as FK1-02 having a total area of 4 square meters at the Ground Level;

WHEREAS, the ASSIGNOR/TRANSFEROR is assigning and transferring all his rights and
interests over the Lease Contract mentioned in the immediately preceding paragraph to the
ASSIGNEE/TRANSFEREE;

WHEREAS, with the assignment and transfer of all his rights and interests over the Lease
Contract the business name ZAC AND ZETH FOOD KIOSK is changed to REINBERRY
CAKES;
WHEREAS, with the assignment and transfer of all his rights and interests over the Lease
Contract, the security deposit of Sixty Thousand Pesos (Php60,000.00) given by the ASSIGNOR
to Pacific Mall Corporation will be used by the ASSIGNEE, REINALYNDA M. BERMUDEZ
to Pacific Mall Corporation for the same purpose.
NOW, THEREFORE, as consideration for the lease contract entered between ZAC AND ZETH FOOD
KIOSK and Pacific Mall Corporation, which the ASSIGNOR hereby acknowledged to have been
transferred to her name from the ASSIGNEE, the ASSIGNOR hereby assigns, transfers and conveys unto the
ASSIGNEE, all his rights, title and interest to the leased premises by virtue of the said lease contract, pursuant to
this Agreement and the ASSIGNEES by these presents hereby accept the assignment and agree to be bound by
the terms and conditions of the Deed of Assignment and Transfer of Rights entered into by all the parties
concerned on November 21, 2022.

IN WITNESS WHEREOF, the parties have hereunto set their hands on the date and place above written.
