DEED OF ABSOLUTE SALE

 
KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by:
 
       CESAR S. DACAL SR, of legal age, Filipino, married to CYNTHIA C. DACAL of legal
age, Filipino, and with residence and postal address at Purok Luy-a 3, Danlugan, Pagadian
City, representative of CD Construction and Home Development hereinafter referred to as
the SELLER
 
-AND-
 
       RAMON M. LARUBIS of legal age, Filipino, married, residing at Purok Curvada Dao,
Pagadian City hereinafter referred to as the BUYER.
 
WITNESSETH; 
 
       WHEREAS, the SELLER is the registered owner of a parcel of land with improvements
located at Barangay of Dao, Pagadian City, and covered by Transfer Certificate of Title No. T-
26,484 containing a total area of ONE HUNDRED FORTY-FOUR (144) SQUARE METERS,
more or less, and more particularly described as follows:
 
TRANSFER CERTIFICATE OF TITLE NO. T-26,484
 
       A certain land situated in CITY OF PAGADIAN PHILIPPINES, more particularly bounded
and described as follows:

LOT NO: LOT 13 BLOCK 12


LOCATION: BARANGAY OF DAO, CITY OF PAGADIAN
AREA: ONE HUNDRED FORTY-FOUR (144) SQUARE METERS MORE OR LESS

       WHEREAS, the BUYER has offered to buy the Property and the SELLER has accepted the
offer, subject to the terms and conditions hereinafter set forth;
 

       NOW THEREFORE, for and in consideration of the foregoing premises, the Seller and the
Buyer hereby agree and bind themselves as follows:

1. The Seller hereby sells, transfers and conveys unto and in favor of the Buyer, and the
latter’s assigns and successors – in – interest, all of the former’s rights and titles to,
interests and participation in the Property on an “AS IS, WHERE IS” basis. The Buyer
hereby represents that he/she/it has inspected and has ascertained the physical
condition and legal status of the Property and the title thereof to his/her/its
satisfaction.

2. The consideration of the sale is hereby fixed at PESOS: TEN THOUSAND PESOS ONLY
(P 10, 000.00) (the “Purchase Price”), paid in cash, receipt of which in full is hereby
acknowledged by the Seller.

3. The Seller is selling only whatever rights and title to, interests and participation it has
acquired over the Property, and the Buyer hereby acknowledges full knowledge of the
nature and extent of the Seller’s rights and title to, interests and participation in the
Property.

4. The Buyer hereby waives his/her/its right to be placed in actual possession of the
Property and agrees to have been constructively placed in possession thereof upon
execution hereof. The Buyer further agrees to undertake, at his/her/its expense, the
ejectment of any occupants of the Property.

5. The Buyer further waives his/her/its right to warranty against eviction and assumes
liability therefor and for any and all liens and encumbrances now affecting or which
may hereafter affect the Property.

6. The Buyer shall assume the payment of all taxes, imposts, assessments or other
charges and liabilities on the Property that may now be due or which may hereafter be
imposed by the Republic of the Philippines and any of its agencies or instrumentalities.
7. The Buyer shall cause the registration of the title to the Property from the Seller’s name
to his/her/its name and shall defray all expenses necessary or incidental to the
conveyance and transfer of the Property, including, but not limited to transfer tax,
documentary stamp tax, value – added tax, donor’s tax, notarial fees, registration fees,
and such other charges and expenses as may be necessary to give full force and effect
to this instrument.

8. The Buyer shall keep the Seller free and harmless from liabilities of whatever kind and
nature arising out of any legal claims, which may be filled by third persons involving the
Property.

9. The Buyer fully and comprehensively releases and discharges the Seller, its officers,
directors, managers, representatives, successors and assigns, from claims, demands,
obligations, liabilities, indebtedness, causes of action and expenses of every type, kind
nature, description or character, whether known or unknown, real or contingent, in
connection with or arising out of the sale of the Property.
