    TERMS OF SERVICE

    ENGAGEMENT: __BUSINESS REGISTRATION PROCESSING__

    ENGAGEMENT FEES AND TERMS OF PAYMENT

    Our fees for this engagement will be as follows:

    A. Php6,000 service processing fee, broken down as follows:


    A.1 SEC Incorporation Php 3,500.00
    A.2 BIR Registration 2,500.00

    B. Progress billing indicated below shall be observed:

    C. Out-of-pocket expenses (OPEs), such as transportation, reproduction, etc, which are


    incidental to the services embodied in this engagement, or for those services specially
    requested by the Client, shall be for the account of the Client. Out-of-pocket expenses shall
    be fully liquidated upon completion of the engagement.

    D. All invoices are due and payable based on the progress matrix presented in Item B above.
    E. If, for any reason, there is an increase in the amount of work and any variations from or
    additional work not related to the terms of this engagement proposal, the engagement team
    will sit down with the Company and discuss the necessary adjustments of the professional
    fees. Adjustments will only take effect upon the agreement of both parties.

    We hope the above terms correctly express our understanding.
