MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

The Memorandum of Agreement made and entered into this ________ day of ______ 2022 in
Barangay Baraoas Norte, Naguilian, La Union, Philippines, by and between:

NORTH POINT AGGREGATES INC., represented by its Plant Manager, ROGER G. TULALI,
Filipino, of legal age, with address at Sta. Cruz, Bacnotan, La union, hereinafter referred to as the First Party:

and

BARANGAY BARAOAS NORTE, NAGUILIAN, LA UNION, represented by its Chairperson, RAMON B.

GACUTAN, Filipino of legal age, with address at Barangay Baraoas Norte, Naguilian, La Union hereinafter
referred to as the Second Party.

WITNESSTH

WHEREAS, the FIRST PARTY is the holder of IP No. 96-00 covering a Contract Area situated within
Barangay Baraoas Norte, Naguilian, La Union.

WHEREAS, pursuant to Paragraph “a” Section 134 Chapter XIV of DENR Administrative Order No.
2010-21 (Providing for a Consolidated Department of Environment and Natural Resources Administrative
Order for the Implementing Rules and Regulation of Republic Act No. 7942, otherwise known as the
(“Philippine Mining Act of 1995” ), the First Party shall assist in the development of the host and neighboring
communities in accordance with a Social Development and Management Program (SDMP) to promote the
general welfare of the inhabitants living therein:

WHEREAS, the FIRST PARTY has prepared a SDMP that presents the activities for the development of
Barangay Baraoas Norte to promote the general welfare of the residents therein;

WHEREAS, the SECOND PARTY is the duly elected Barangay Chairperson of Barangay Baraoas Norte,
Naguilian, La Union and together with the barangay official and residents had been consulted on the proposed
community development programs;

NOW THEREFORE, for and in consideration of the foregoing premises the parties do hereby mutually
declare and agree on the implementation of the following activities for the development of Barangay Baraoas
Norte.:

a. The First Party shall extend assistance in purchase of school supplies that the elementary pupils of
Baraoas Norte Elementary School in the Barangay need:

b. The First Party shall include livelihood seminar/program;

 c. The First Party shall extend assistance in the maintenance of barangay roads in some selected areas;

d. The First Party shall assist the LGU in the campaign on affordable health care through the
distribution of basic medicine and the first aid kit in the Barangay;

e. The Second Party, other barangay officials and residents (as partner in the improvement and
development of the community) shall contribute the needed manpower complement as a counterpart
or equity; and

f. The Second Party, other barangay officials and residents shall be accountable for the safekeeping of
the materials delivered in the site for community development projects as well as the care and
maintenance of completed projects.

IN WITHESS THEREOF, the parties have hereunto affixed their signatures in the presence of witnesses
in Barangay Baraoas Norte, Naguilian, La Union this ______ day of _______ 2022.
