FACILITATORS’ AGREEMENT

KNOW ALL MEN BY THESE PRESENTS

This AGREEMENT, entered into and between:

TOTOWAO DEVELOPMENT CONSTRUCTION COMPANY, a juridical person created and

existing under the Philippine Law, with business address at 39 CHESNUT ST. WEST FAIRVIEW
PARK, QUEZON CITY, represented by ENGR. JOEMER A. CASTILLO, Filipino, of legal age,
married and a resident of ______________________________________, hereinafter referred to as the
FIRST PARTY;

EVELYN O. CO, of legal age, MARRIED, Filipino and a resident of 129 CALANDANG ST. BRGY.

All and cumulatively hereinafter referred to as the SECOND PARTY;

WITNESSETH That:

That the FIRST PARTY is the lawful and absolute owner of TOTOWAO DEVELOPMENT
CONSTRUCTION COMPANY, with business address at 39 CHESNUT ST. WEST FAIRVIEW
PARK, QUEZON CITY, the awardee of the project called "SOUTH COMMUTER RAILWAYS
PROJECT FOR PACKAGES CP S-04, S-05 AND S-06” in NCR, in the amount of

That the FIRST PARTY was scouted by the Second Party specifically for the above-mentioned
project;

That the SECOND PARTY was the one responsible for the validation of the company profile of
the FIRST PARTY, recommended the same to the PROJECT OWNER/PROPONENT, the owner of
"SOUTH COMMUTER RAILWAYS PROJECT FOR PACKAGES CP S-04, S-05 AND S-06” and
facilitated the negotiation, contract signing and Notice of Award;

That by the reason of the effort and labor of the SECOND PARTY, the said project was awarded
to the FIRST PARTY;
 That in consideration of the said service, the SECOND PARTY shall be entitled for a total
remuneration in a form of a service fee and shall be paid by the FIRST PARTY of THREE PERCENT
(3%) of the actual CONTRACT PRICE of ________________________________________________
(Php ____________________) to be distributed accordingly in full immediately upon the release of
Mobilization Fund and in a manner as stipulated below, to wit:

1. EVELYN O. CO, 1/3 share of 1% to be paid in cash equivalent,

2. DANILO V. BALMEDIANO, 1/3 share of 1% to be paid in cash equivalent;

3. LILIAN SABALLA, 1/3 share of 1% to be paid in cash equivalent,

4. MARLON JAMORA, 1/3 share of 3% to be paid in cash equivalent, and

5. LEONORA B. BABATIO, 1/3 share of 3% to be paid in cash equivalent;

That payment for the service fee shall be done in any commercial bank in Metro Manila

That this agreement is entered into by both parties freely and voluntarily.
