1. Introduction
Welcome to Assessment (3) of UAE Legal and Regulatory Environment, a part of your Master of
Business Administration Program. This assessment will require students to determine the most
appropriate business structure for a given entrepreneurial scenario and then justify the selection
in the context of other possible legal options. Students then must describe the various relevant
steps to create a business in Abu Dhabi given the business structure and industrial sector.

Salem, George and Ali had founded a Private Joint Stock Company in finance, and recently they
have been thinking of expanding their business by converting their company to a Public Joint
Stock Company. However, they are very concerned about their liabilities if the company suffered
losses. Moreover, they are very much concerned about the conditions for converting the company
including other relevant authorities’ approvals.

Assessment Requirement
1. Critically appraise how different is a Private Joint Stock Company form a Public Joint Stock
Company and the extent of the partner’s liability according to the relevant laws and
regulations. (CLO1 -5 Points)
2. Critically examine the procedures they should follow to convert their company to a public
joint stock company and how to obtain the required approvals from all competent authorities
and the license according to the relevant Laws and regulations and recent development of
the same. (CLO3, 10 Points)
3. Propose all methods for settling disputes between the company and its directors or between
the shareholders in the company. (CLO4, 25 Points)
