2. The First Party will allow the Second Party to supply

3. The Second Party is obligated to deliver the products
to the Locations agreed upon between the Parties, as

4. The Second Party shall be firmly committed to the
quantities and prices mentioned in the Purchase

5. The Second Party shall always remain liable for the

6. The Second Party guarantees that the products supplied
and available for sale at the Locations are of prime
quality and possess an uncompromised freshness,
and such quality, freshness and availability shall be
maintained. The Second Party shall also comply with
all food safety requirements and continually abide
by the statutory rules and regulations of the relevant
government authorities.
7. The Second Party will offer at least two products every
week for weekly promotions such as “Crazy Deals”,
and other promotions, such as during Ramadan, Eid
and other occasions. The rates of products offered on
promotion should be at least 25% less than the regular
price of the products.
8. Any dispute with respect to clear specifications of
the products must be reported to the First Party to
the attention of ........................... and the Second Party
explicitly accepts his/her decision which shall be final
and binding.
9. The Second Party shall remove from the Locations all
slow or non-moving and damaged products regularly.
The First Party reserves the right to carry out such
removal if the same has not been carried out by the
Second Party within five (5) days of a written notice
being served on the Second Party and an amount
equal to ...............% of the relevant Purchase Order will
be deducted from the Second Party’s account.
10. The First Party reserve the right to return all products
unconditionally to the Second Party, particularly all
near expiry, expired or damaged inferior, unfit and
banned goods.
11. The Second Party shall provide to the First Party:
• its trade license (acknowledging that such
trade license must be valid and permit the
carrying on of the relevant business activities
in the UAE) and insurance policy, in addition
to work permits and valid health/insurance
cards for the staff employed at the
Locations
• a certificate from the Ministry of Environment
that the products are organic or hydroponics
(original), for organic/hydroponic product
suppliers
• a Laboratory Certificate accredited that
organic item are as per specified standard
of organic and hydroponics (original)

‫ ويجب الحفاظ على‬،‫للبيع في المواقع بما ال يقبل المساومة‬

‫ذات الصلة في دولة اإلمارات العربية المتحدة) ووثيقة‬

‫الصحي الصالحة للموظفين العاملين في المواقع؛‬
‫شهادة من وزارة البيئة تفيد بأن المنتجات عضوية أو‬

14. The Second Party shall communicate to the

18. If the First Party disputes the amount appearing in any

19. All prices and payments shall be in UAE
Dirhams (AED) only.
20. The Second Party should submit a VAT certificate to
the First Party if the Second Party is required to be
registered for VAT in accordance with
UAE laws.
21. The First Party may terminate this Agreement
immediately and at its discretion after issuing two (2)
written notices concerning any of the following issues:
• Recurrent delays in the delivery of products
in the display
• Failure to supply the products as per
specifications and time advised
• Tampering with the products or modifying
the product’s origin, description or similar
information
• In case of poor quality and services
observed by the First Party
• Any other recurring breach of this
Agreement
22. Either Party reserves the right to terminate this
Agreement for convenience by providing the other
Party with 2 months prior written notice.
23. Upon expiry of this Agreement, the First Party
has the right to renew the Agreement for a period
of one year on the same terms and conditions herein
upon two weeks written notice to the Second Party prior
to such expiry.
24. This Agreement shall be governed by the laws
of the Emirate of .......................……. and the federal
laws of the UAE, to the extent they are applicable.
The Parties hereby agree that the courts of Sharjah
shall have exclusive jurisdiction to settle any dispute
arising under this Agreement.

‫عدم توريد المنتجات حسب المواصفات‬
•
‫والوقت المحدد؛‬
‫العبث بالمنتجات أو تعديل أصل المنتج أو وصفه أو‬
•
‫أية معلومات مشابهة؛‬
‫في حالة انخفاض الجودة والخدمات حسب تقدير‬
•
‫الطرف األول؛‬
.‫أي خرق متكرر آخر ألي من بنود هذه االتفاقية‬
•
‫يحتفظ كال الطرفان بالحق في إنهاء هذه االتفاقية من‬22.
‫خالل تزويد الطرف اآلخر بإشعار خطي مسبق مدته‬
