‫رغبة الطرفينـ في بناء عالقة عمل تخدم مصالحهما‬
‫ وحيث أن الطرفـ األول (نقوا) هو المالك‬، ‫المشتركة‬
‫الوحيد في المملكة العربية السعودية لألسماء التجارية لـ‬

‫تقوم نقوا بإنتاج المنتجات المدرجة في شهادة التسجيل‬
‫ويظهر اسمها جنبًا إلى جنب مع العالمات التجارية‬
.‫المذكورة أعاله‬
‫ترغب نقوا في استئجار تجهيزات التوزيـعـ الحاليــة (مخــزن‬
)‫ قوة عاملة وما إلى ذلك‬، ‫ سيارات مبيعات‬، ‫ مكاتب‬، ‫تبريد‬
‫لمبيعــات وتســويقـ هــذه المنتجــات في المنطقــة الجغرافيــة‬

:Introduction
The desire is of both parties to build a business
relationship to serve their mutual interests and whereas,
the first party (NAQUA) is sole owner in the Kingdom
of Saudi Arabia for the trade names of (Bahri &
NAQUA) and its Brand is registered with Ministry of
.Commerce
NAQUA is producing the products listed in the
Registration Certificate and its name appears side by
.side with the above-mentioned trademarks
NAQUA desires to rent existing distribution setup (cold
store, offices, sales vehicles, manpower etc.) for such
products sales and marketing in the geographical area of
‫وحيث أن الطرف الثــاني هــو مــزود خــدمات البنيــة التحتيــة‬ And whereas, the second party is a service provider with

.‫نقوا ألنشطتهاـ التجارية في جدة بالمملكة العربيــة الســعودية‬ NAQUA for its commercial activities in Jeddah,
‫لذلك اتفق الطرفان بأهليتهمــا القانونيــة الكاملــة للــدخول في‬ Kingdom of Saudi Arabia. So the two parties agreed
:‫هذا االتفاق بالشروطـ التالية‬ with their full legal capacity to enter into this agreement
according the following terms:

:)1( ‫بند‬Article (1):

‫مقدمة‬Introduction
The introduction above, appendixes, tables and forms
‫تعتبر المقدمة أعاله والملحــق والجــداول والنمــاذجـ جــز ًءا ال‬
are considered as an integral part of this agreement and
.‫يتجزأ من هذه االتفاقية ويتم تفسيرها وفقًا لذلك‬
interpreted accordingly.
:)2( ‫ بند‬Article (2)
:‫ تعريفات‬Definitions:
:‫ الكلمات والعبارات التالية لها األحكام كما يلي‬The following words and expressions have the
following provisions:
‫ منطقة محددة في المملكة العربية‬:‫المنطقة‬  ● Area: a specific area in the Kingdom of Saudi
.‫السعودية‬ Arabia.
‫منتجات الجمبريـ واألسماك التي تحمل االسم‬  ● Products Shrimps and Fish under the brand
‫" التي تنتجها‬NAQUA" ‫التجاري "بحري" و‬ name “Bahri” & “NAQUA” produced by
NAQUA as mentioned in Article 4.
.4 ‫شركة نقوا كما هو مذكور في المادة‬
● Trademarks: the trademarks registered for the

products and owned by (NAQUA).

● The Agreement: this exclusive service provider
‫ يشتمل عقــد مقــدم الخدمــة الحصــري هــذا‬:‫ االتفاقية‬ contract includes its annexes & appendixes

:)3( ‫بند‬Article (3)

:‫الغرض من هذه االتفاقية‬ :Purpose of the Agreement
‫ الغرض من هذه االتفاقية تأجيرـ مؤسسة إسماعيل أبو‬:3-1 The purpose of this agreement is to rent Ismail Abu :3-1

‫ ستغطي العمالء األفراد والشركات‬، ‫في هذا المجال‬ NAQUA products in Jeddah. In that area NAQUA will

‫ ســتكون نقــوا مســؤولة عن مراقبــة جميــع األنشــطة‬، ‫لــذلك‬ .numeric distribution as well as commercial activities
.‫التجارية في حين أن مؤسســة إســماعيل أبــو علي التجاريــة‬ Therefore, NAQUA will be responsible & controlling
‫ قــوى‬، ‫ مكاتب‬، ‫ستوفرـ البنية التحتية للتوزيع (مخزن تبريد‬ all commercial activities while Ismail Abu Ali Trading
‫ ســيارات مبيعــات ومــا إلى ذلــك) في حالــة تشــغيلية‬، ‫عاملة‬ Est. will be providing distribution infrastructure (cold
.‫ممتازة مع إيجار سنويـ ثابت ومتفق عليه‬ store, offices, manpower, sales vehicles etc.) in
excellent & operational condition with fixed agreed
.annual rent
‫ مزودـ الخدمة يجب عليه التاكــد من أن البنيــة التحتيــة‬:3-2 The service provider will ensure its agreed :3-2
‫ للتوزيع المتفق عليها في حالة تشغيلية ممتازة‬distribution infrastructure is in excellent & operational
‫ مثــل التخــزين‬، ‫يشترط تلبيــة المتطلبــات التشــغيلية اليوميــة‬ condition so as to meet day to day operational
‫البارد وفريقـ المبيعات والمركبات يجب أن تدار بشكل جيــد‬ requirements, such as cold store, sales team & vehicles
‫ الهيئة العامة للغذاء والــدواء لتوزيــع‬/ ‫وفقًا لمتطلبات البلدية‬ should be well managed as per Baladia/SFDA
‫ تظـــل ملكيـــة المنتج‬، ‫ ومـــع ذلـــك‬.‫المنتجـــات الطازجـــة‬ requirement to distribute fresh products. However
‫والمسؤولية عنــد نقـوا مـا لم تحــدث أي خســارة بســبب عــدم‬ product ownership & responsibility remain under
.‫االمتثال للمتطلبات المذكورة أعاله‬ NAQUA unless any loss occurred due to
.noncompliance of above requirement

‫ يلتزم مقدم الخدمة بعــدم االنخــراط في أنشــطة بيــع أو‬:3-3 The service provider is obliged not to get engaged :3-3
‫ توزيع منتجات نقوا للمأكوالت البحرية باستثناء ما تم تعيينه‬in NAQUA Seafood selling or distributing activities
.‫ بالفعل واالتفاق عليه بين الطرفين‬.except already assigned & agreed between both parties

‫ وال‬، ‫ هـذه االتفاقيـة مخصصـة فقـط لتـأجير الخـدمات‬:3-4 This agreement is only for services rental, and it is :3-4
‫ ال‬.‫يجوز للطـرف الثـاني التصـرفـ باسـم أو نيابـة عن نقـوا‬ not allowed for the second party to act in the name of,
‫تمنح هذه االتفاقيــة الطــرف الثــاني أي حــق في التعامــل مــع‬ or on behalf of NAQUA. This agreement does not
.‫اآلخرين باسم أو نيابة عن نقوا‬ award the second party any right to deal with the others
.in the name or on behalf of NAQUA

‫ تمتلك الشركة (نقوا) جميع الحقوق لتغيير المنطقــة أو‬:3-5 3-5: The company (NAQUA) has all the rights to
‫إضافة المزيــد من المنــاطقـ أو تعــيين مــزودـ خدمــة آخــر أو‬ change territory, add more routes, assign another service
provider or go direct for its own distribution
‫االنتقال مباشرة للبنية التحتية للتوزيع الخاصة بهــا في حالــة‬
infrastructure in case market needs better services to
‫احتياج السوقـ إلى خدمات أفضل لضــمان إمــدادات طازجــة‬ ensure fresh supplies everyday. In such circumstances,
‫ سيتم إخطار مزودـ الخدمــة‬، ‫ في مثل هذه الظروف‬.‫كل يوم‬ service provider will be notified for any change or
.‫بأي تغييرـ أو مطلب من قبل إدارة نقوا‬ requirement by NAQUA management.

)4( ‫بند‬ Article (4)

:‫المنتجات‬
‫يحتـــويـ المنتج على الجمـــبري واألســـماك أو أي منتجـــات‬
‫ مجمــدة ومــا‬/ ‫أخرى ذات صلة بالمأكوالت البحرية (مــبردة‬
‫إلى ذلك) تحت االسم التجاري "بحري" أو "نقوا" من إنتاج‬
.‫نقوا‬
:The Products
The product contains Shrimps and Fish or any other
seafood related products (chilled/Frozen etc.) under the
brand name “Bahri” or “NAQUA” produced by
.NAQUA

:)5( ‫بند‬ :Article (5)

:‫العالمة التجارية واالسمـ التجاري‬
‫ تم االتفاق على أن االسم التجاري والعالمة التجاريــة‬: 5-1
‫ ال يملــك‬.‫الموضــوعة على المنتجــات مملوكــة لشــركة نقــوا‬
‫الطرف الثاني أي حق في االسم التجاريـ والعالمة التجارية‬
‫أو االستفادة منهمـا ألي غــرض خالل مـدة هــذه االتفاقيـة أو‬
‫ ما لم ينص صراحة على خالف ذلك‬، ‫بعد انتهاء صالحيتها‬
.‫في هذه االتفاقية‬
:Brand and Trade Name
It is agreed that the trade name and trademark :5-1
placed on the products are owned by NAQUA. The
second party does not have any right in the trade name
and trademark or to benefit from them for any purpose
during the term of this Agreement or after its expiration,
unless expressly provided otherwise in this Agreement.
‫ جميــع الحقــوق المكتســبة من االســم التجــاري أو العالمــة‬All rights acquired from the trade name or brand are
.‫ التجارية مملوكة بالكامل لشركة نقوا‬.wholly owned by NAQUA

‫ ال يمكن للطــرفـ الثــاني تغيــير أو تعــديل أو حــذف أو‬:5-2 The second party cannot change, modify, delete or :5-2
‫إزالة العالمة التجارية أو االسم التجــاري الــذي تضــعه نقــوا‬ remove the trademark or trade name that NAQUA
‫ يكون لـنقوا الحق‬، ‫ في حالة حدوث مثل هذا‬.‫على المنتجات‬ places on the Products. In the event of such occurrence,
‫في إنهاء هذه االتفاقية على الفور دون سـابقـ إنـذار وتحتفـظـ‬ NAQUA shall have the right to terminate this

ً ‫نقــوا‬ Agreement immediately without notice and NAQUA
‫والمطالبة بالتعويض عن الخسائر أو األضرار التي تســببت‬ also reserves the right to take legal action against the
.‫فيها‬ distributor and claim compensation for the losses or
.damages caused

‫ يجب على مزودـ الخدمة إبالغ نقوا كتابيًا فور حــدوث‬:5-3 5-3: The service provider shall inform NAQUA in
‫أي هجوم أو سرقة أو ضرر عنــد إعــداد التوزيـعـ وســيتولىـ‬ writing immediately after any, attack, theft or damage
‫جميـــع اإلجـــراءات القانونيـــة الالزمـــة ويتحمـــل التكـــاليف‬ occurs at distribution setup and will take care of all the
.‫والمصروفات المتعلقة بمتابعة هذه اإلجراءات‬ necessary legal procedures and shall bear costs &
expenses related to the follow up of such procedures.
:)6( ‫بند‬ :Article (6)
:Agreement Terms & Expiry
:‫شروط االتفاقية وانتهاء الصالحية‬ The term of this agreement is for one year starting :6-1
‫ مــــدة هــــذه االتفاقيــــة لمــــدة عــــام واحــــد تبــــدأ‬:6-1 from: …./…/…… until: ……/…../…………and

‫إشعار خطي للطرف اآلخر بشأن نيته في عدم التجديــد قبــل‬ to the other party about its intention to not to renew
‫ يجب إعــادة خطابــات‬.‫) أشهر من تاريخ انتهــاء االتفاقيــة‬2( prior (2) months of the expiry date of the agreement.
‫ الســند اإلذني إلى الطــرف الثــاني‬/ ‫الضمان الخاصة بالبنــك‬ The guarantee letters of the bank/promissory note
.‫في حالة عدم وجود مطالبات مالية من قبل الطرفـ األول‬ should be returned back to the second party in case there
.is no financial claims by the first party

‫ ســيكون الطــرف األول‬، ‫ في حالة إنهاء هــذه االتفاقيــة‬:6-2 In the event of termination of this Agreement, the :6-2
‫ والطرفـ الثاني مسؤوالً عن تسوية جميع المستحقات المتفق‬first party and second party both will be liable to settle

‫ يجــوزـ لـــنقوا إنهــاء هــذه االتفاقيــة عن طريــق إرســال بريــد‬EXCEPT as provided in this agreement, NAQUA :6-3
:‫ مسجل موجه إلى الطرف الثاني في الحاالت التالية‬may terminate this Agreement by sending a registered
mail addressed to the second party in the following
:cases

‫ فيجــوز‬، ‫ إذا لم يلتزم الطرفـ الثاني بشــروطـ العقــد‬:6-3-1 If the second party fails to adhere to the terms of :6-3-1
the contract, the agreement may be terminated by
‫ في حالــة عــدم‬.‫ إنهاء االتفاقية بإخطارـ كتابي للطرف الثــاني‬written notice to the second party. In case of non-
‫ يجوز لشركة نقوا استخدام‬، ‫ االمتثال من قبل الطرف الثاني‬compliance by the second party, NAQUA may use its
.‫ حقها في إنهاء هذه االتفاقية‬.right to terminate this Agreement

‫ في حالـــة حـــدوث تغيـــير في الهيكـــل القـــانوني أو‬:6-3-2 6-3-2: In the event of a change in the legal structure or
.‫ المركز المالي للطرف الثاني أو إعساره‬financial position of the second party or when he is
insolvent.

‫ في حالة قيامـ الطرف الثاني بالترويج لمنتجات‬:6-3-3 6-3-3: In case the second party promotes the products of
.‫شركات أخرى على نفس السيارة‬ other companies on the same vehicle.

‫ إذا حـــاول الطـــرف الثـــاني التنـــازل عن االتفاقيـــة‬:6-3-4
‫ أو إذا انضــم الطــرفـ الثــاني لآلخــرين‬، ‫بطريقة أو بــأخرى‬
‫ أو في حالــة تصــرف الطــرف الثــاني‬، ‫دون موافقــة نقــوا‬
‫بطريقة غير شريفة أو غادرة أو قام بأعمال مخالفــة ألحكــام‬
‫هذه االتفاقية‬
6-3-4: If the second party tried to waive from the
agreement somehow, Or if the second party join others
without the consent of NAQUA, Or in the case of the
second party acting dishonest or treacherous or carrying
out acts contrary to the provisions of this agreement.

‫ إذا خـــالف الطـــرف الثـــاني التزاماتـــه األساســـية‬:6-3-5 If the second party violates his basic obligations :6-3-5
‫ فــإن هــذه االلتزامــات‬، ‫المنصوص عليهــا في هــذه االتفاقيــة‬ stipulated in this agreement, These obligations include
‫تشمل على سبيل المثال ال الحصــر االلتزامــات المنصــوص‬ but are not limited to the obligations under Articles 3, 5,
.11 ‫ و‬10 ‫ و‬9 ‫ و‬8 ‫ و‬5 ‫ و‬3 ‫عليها في المواد‬ .8, 9, 10 and 11

‫ إذا خالف الطــرف الثــاني متطلبــات سلســلة التبريـدـ‬:6-3-7 If the second party violates the requirements of :6-3-7
‫ يحق لشركة نقــوا إنهــاء االتفاقيــة‬، ‫ واتفاقيات صيانة الجودة‬the cold chain and quality maintenance agreements,
.‫ بعد إرسال تحذيرين كتابيين إلى الموزع‬NAQUA is entitled to terminate the agreement after
.sending two written warnings to the distributor

‫ يجــوزـ‬، ‫ في حالــة انتهــاء أو إنهــاء مــدة هــذه االتفاقيــة‬:6-4 In the event of expiry or termination of the term of :6-4
‫ ويتعين على الطــرف الثــاني‬، ‫إنهــاء العالقــة بين الطــرفين‬ this Agreement, the relationship between the parties
may be terminated, and the second party shall cease to

:‫ التزامات الطرف األول‬:Obligations of the First Party
‫ يجـوز لشــركة نقــوا تقــديم‬، ‫ بنا ًء على متطلبات العمــل‬:7-1 7-1: Based on business requirement NAQUA may
‫ مزود خدمة آخــر داخــل نفس اإلقليم في أي وقت خالل مــدة‬introduce another service provider within the same
.‫ االتفاقية‬territory at any point in time within the term of the
agreement.

‫ ستبذل نقوا جهو ًداـ لتقديم المشورة الفنية للطرف الثاني‬:7-2 NAQUA will make efforts to provide technical :7-2
.‫ فيما يتعلق بتخزين المنتجات عند الطلب‬advice to the second party regarding the storage of the
.products when requested

:)8( ‫بند‬ Article (8)

:‫سيقوم الطرف الثاني بما يلي‬ :Service Provider’s Commitment
‫ القيـام بكافـة األعمـال الالزمـة لتنفيـذ االتفاقيـة وتقـديم‬:8-1 :The second party will do the following
.‫كافة الخدمات الالزمة حسب االتفاقية‬ Perform all the necessary work to implement the :8-1
agreement, as well as provide all necessary services as
.per the agreement

‫ توفيرـ مخزن التبريد والمركبات والبنية التحتية‬:8-2 Provide coldstore, vehicles, and other agreed :8-2
‫ األخرى المتفق عليها في حالة جيدة ومجهزة تقنيًا لتمكين‬infrastructure in good condition and is technically
.‫ تخزين المنتجات وتوزيعها‬equipped to enable storage and distribution of the
.products

‫ ضمان الصيانة الدورية لجميع المرافق المؤجرة‬:8-2-1 Ensure regular maintenance of all rented facilities :8-2-1
‫ الهيئة‬، ‫وفقًا للمعايير التنظيمية المعمول بها في (البلدية‬ in accordance to applicable regulatory standards
‫ إلخ) وستتحمل‬، ‫ وزارة التجارة‬، ‫العامة للغذاء والدواء‬ (baladia, SFDA, ministry of commerce, etc) and will
‫ سيحتفظ الطرف‬.‫جميع التكاليف الناشئة عن هذه الصيانة‬ bear all costs arising from such maintenance. Second
.‫الثاني أيضًا بسجالت لهذه الصيانة وسيشاركهاـ عند الطلب‬ party will also maintain records of such maintenance
.and will share upon request
‫ توفير استبدال المرافقـ المستأجرة مثل مخزن‬:8-2-2
‫ التبريد والشاحنات والرافعة الشوكية وما إلى ذلك في حالة‬Provide replacement of rented facilities i.e. :8-2-2
.‫ الصيانة أو األعطال لضمان استمرارية العمليات‬Coldstore, Trucks, Forklift, etc. in case of maintenance,
breakdown or malfunction to ensure operations
‫ خسارة‬، ‫ أي خسائر تنشأ مثل (خسارة المنتج‬8-2-3 .continuity
‫ إلخ) نتيجة تعطل أو خلل في المنشآت‬، ‫تجارية‬
‫ يكون الطرف الثاني مسؤوالًـ عن تحمل هذه‬، ‫ المستأجرة‬Any losses arising such as (product loss, :8-2-3
.‫ الخسائر‬commercial loss, etc) from breakdown or malfunction of
the rented facilities, second party will be responsible to
.bear such losses
‫ توفير استبدال الموظفين المعيــنين خالل اإلجــازات‬:8-2-4
‫ في حالــة العثــور على‬.‫ إلخ‬، ‫المرضية الممتدة أو اإلجازات‬
Provide replacement of hired staff during :8-2-4
‫ و قــاموا‬،‫موظفين معينين ال تشملهم قــوانين وسياســاتـ نقــوا‬
extended sick leaves or vacations, etc. In the event of
‫بالمشــاركة في أي نشــاط يضــر بســمعة نقــوا أو يــؤديـ إلى‬
hired staff found not adhering to NAQUA policy or

‫بند (‪:)10‬‬ ‫‪Article (10):‬‬

‫أثر التصفية‪:‬‬ ‫‪Liquidation Effect:‬‬
