ACKNOWLEDGEMENT OF DEBT AND PROMISSORY

NOTE

I, JOFFER DE LEON and MARIA LUISA DE LEON, of legal ages,

married to each other, Filipino Citizens, and with residence and postal
address at Brgy. Pinagbobong, Tabaco City, Albay, after being duly sworn in
accordance with law hereby depose and state that:

1. That on June 7, 2023, we executed a Deed of Absolute Sale for a

portion of our real property covered by TCT No. 159081 located in
Brgy. Pinagbobong to GREEN BIOTECH SOLUTIONS INC. duly
represented by Jezza C. Noya in the amount of FOUR MILLION
( Php 4,O00,000.00 ) PESOS;

2. As a consequence thereof, we agreed to divide the corresponding

cost of Capital Gain Tax and Documentary Stamp Tax amounting
to THREE HUNDRED THOUSAND ( 300,000.00 ) equally as
indicated in the Deed of Absolute Sale;

3. That the reason for us being compelled to sell the portion above
property is our family suffered financial reverses and has to settle
our outstanding debts;

4. To date, we don’t have the financial capacity to pay our

proportionate share of the aforementioned taxes, thus hereby
consent for the BUYER, GREEN BIOTECH SOLUTIONS INC. to
advance the corresponding amount in order to avoid penalties and
surcharges;

5. That we will settle the same, once our financial capacity has
improved;

6. That we are executing this affidavit to attest to the truthfulness of

the facts stated above and for the purpose of acknowledging our
indebtedness once the amount is paid by the buyer to the
appropriate government agency.
