Subdivision on October 27, 2018

A RESOLUTION CONFIRMING/INSTALLING THE NEW BOARD OF DIRECTORS AND

APPOINTED OFFICERS OF VICTOR’S PLACE HOMEOWNERS AND RENTERS
ASSOCIATION FOR THE TERM OF OFFICE 2018-2019

WHEREAS, the Victor’s Place Homeowners and Renters Association is a legitimate organization of
homeowners of Victor’s Place Subdivision located at Tigatto, Davao City, with a pending application
for registration at the Securities Exchange Commission;

WHEREAS, an election for the Board of Directors of the association was held on October 14, 2018,
at the basketball court of Victor’s Place Subdivision;

WHEREAS, the Interim Committee on Election declared and proclaimed the winners of the
elections on October 14, 2018;

WHEREAS, the Directors-elect convened and elected among themselves the Chairman of the Board
and concurrent President and the Vice Chairman of the Board and concurrent Vice President, on
October 27, 2018;

WHEREAS, the new Board of Directors of the association appointed all positions of its non-elective
officers and mandated them to serve a co-terminus term;

WHEREAS, the Board of Directors and officers of the Victor’s Place Homeowners and Renters
Association are, as follows:

RESOLVED, THEREFORE, on motion of BOD Robin Delima and duly seconded to

confirm/install the new Directors of the Board and the appointed officers of the Victor’s Place
Homeowners and Renters Association, effective October 27, 2018, and shall serve their term of
office in accordance with the provision of its Constitution & By-laws;

RESOLVED FURTHER, that a copy of this resolution shall be posted in a conspicuous place
within the Victor’s Place Subdivision.

RESOLVED Furthermore, that a copy of this resolution shall be attached to the application for
registration when the same shall have been filed at the Securities and Exchange Commission.
